【摘要】：隨著國(guó)際經(jīng)濟(jì)一體化的發(fā)展,跨國(guó)并購(gòu)作為企業(yè)快速提升核心競(jìng)爭(zhēng)力的一條捷徑被大多數(shù)企業(yè)所青睞。進(jìn)入21世紀(jì)之后,企業(yè)為了在激烈的市場(chǎng)競(jìng)爭(zhēng)中尋求自身的生存與發(fā)展,紛紛走出國(guó)門(mén)進(jìn)行跨國(guó)并購(gòu)活動(dòng),尤其是基于技術(shù)提升的制造業(yè)企業(yè)。因此制造業(yè)跨國(guó)并購(gòu)對(duì)于企業(yè)技術(shù)提升的效果如何,值得我們深入探討。首先,本文之所以選擇制造業(yè)跨國(guó)并購(gòu)的技術(shù)提升效應(yīng)進(jìn)行分析,一方面是由于制造業(yè)跨國(guó)并購(gòu)在中國(guó)企業(yè)跨國(guó)并購(gòu)中占據(jù)相當(dāng)大的份額,對(duì)其進(jìn)行研究具有重要的現(xiàn)實(shí)意義；另一方面是由于大多數(shù)制造業(yè)跨國(guó)并購(gòu)是為了尋求技術(shù)提升,而目前很少有學(xué)者就技術(shù)提升角度對(duì)跨國(guó)并購(gòu)進(jìn)行研究,因此對(duì)其研究具有重要的理論價(jià)值。其次,我們采取了比較分析法分析了中國(guó)制造業(yè)技術(shù)水平與發(fā)達(dá)國(guó)家的差距,得出中國(guó)制造業(yè)整體技術(shù)水平較低的結(jié)論。接下來(lái),我們采取案例分析法分析企業(yè)跨國(guó)并購(gòu)的技術(shù)提升效應(yīng),本文選取了家電行業(yè)中的TCL集團(tuán)為具體分析對(duì)象,建立衡量企業(yè)技術(shù)進(jìn)步模型一索洛-肯德瑞克模型,將模型與TCL集團(tuán)相關(guān)數(shù)據(jù)進(jìn)行整合,通過(guò)Mat-Lab程序分析得出跨國(guó)并購(gòu)確實(shí)提升了其整體技術(shù)水平的結(jié)論。最后,提出了關(guān)于中國(guó)制造業(yè)企業(yè)跨國(guó)并購(gòu)提升技術(shù)水平的政策建議。
[Abstract]:With the development of international economic integration, transnational M & A, as a shortcut to enhance the core competitiveness of enterprises, has been favored by most enterprises. After 21th century. In order to seek their own survival and development in the fierce market competition, enterprises go abroad to conduct cross-border mergers and acquisitions. Especially the manufacturing enterprises based on technology upgrading. Therefore, the effect of cross-border M & A on the technological improvement of enterprises is worth our in-depth study. First of all. The reason why this paper chooses the technology enhancement effect of manufacturing transnational M & A is on the one hand because manufacturing transnational M & A occupies a considerable share in Chinese transnational M & A. It is of great practical significance to study it. On the other hand, the majority of manufacturing cross-border M & A is to seek technology improvement, but at present, few scholars on the perspective of technology upgrading research on cross-border M & A. Therefore, the research has important theoretical value. Secondly, we use comparative analysis method to analyze the gap between Chinese manufacturing technology level and developed countries. The conclusion is that the overall technology level of Chinese manufacturing industry is low. Next, we use the case analysis method to analyze the technological enhancement effect of cross-border M & A. This paper selects the TCL Group in the household appliance industry as the specific analysis object, establishes the model of measuring enterprise technological progress-Solow-Kendrick model, and integrates the model with the related data of TCL Group. Through the analysis of Mat-Lab program, the conclusion that cross-border M & A does improve its overall technical level is concluded. Finally, some policy suggestions on how to improve the technological level of Chinese manufacturing enterprises are put forward.
