【摘要】：隨著我國(guó)供給側(cè)改革的提出和倡導(dǎo),在全面深化改革、實(shí)施新型城鎮(zhèn)化等戰(zhàn)略方向的引導(dǎo)下,為解決經(jīng)濟(jì)發(fā)展瓶頸,鼓勵(lì)民間投資,緩解地方政府債務(wù)危機(jī),政府與社會(huì)資本合作模式(以下簡(jiǎn)稱(chēng)為“PPP模式”,即Public-Private-Partnership)在我國(guó)得到了大力推廣。產(chǎn)業(yè)園區(qū)項(xiàng)目的高效集約發(fā)展急需引入創(chuàng)新機(jī)制,而PPP模式的伙伴關(guān)系、利益共享、風(fēng)險(xiǎn)共擔(dān)特點(diǎn)恰好滿(mǎn)足了其發(fā)展要求。在產(chǎn)業(yè)園區(qū)中應(yīng)用PPP模式,通過(guò)政府規(guī)劃引導(dǎo),產(chǎn)業(yè)以市場(chǎng)化方式發(fā)展,有效地形成了產(chǎn)業(yè)聚焦,用較少的政府財(cái)政資金來(lái)撬動(dòng)較大的社會(huì)資本,這是一種多贏的創(chuàng)新模式�；诠P者對(duì)PPP項(xiàng)目法律實(shí)務(wù)的實(shí)踐經(jīng)驗(yàn)及對(duì)產(chǎn)業(yè)園區(qū)建設(shè)、運(yùn)營(yíng)探索中的思考,本文從以下三個(gè)方面對(duì)產(chǎn)業(yè)園區(qū)建設(shè)中的PPP模式進(jìn)行闡述。第一章敘述了產(chǎn)業(yè)園區(qū)的發(fā)展?fàn)顩r和產(chǎn)業(yè)園區(qū)建設(shè)中PPP項(xiàng)目的踐行模式。為進(jìn)一步促進(jìn)產(chǎn)業(yè)園區(qū)科學(xué)合理發(fā)展,通過(guò)探索PPP模式在產(chǎn)業(yè)園區(qū)建設(shè)、發(fā)展的過(guò)程當(dāng)中的踐行路徑,分析PPP模式的現(xiàn)狀、問(wèn)題和發(fā)展趨勢(shì),并以固安工業(yè)園區(qū)新型城鎮(zhèn)化項(xiàng)目、張江高科技園區(qū)等典型案例來(lái)闡述分析、借鑒學(xué)習(xí),以期在中國(guó)更好地實(shí)現(xiàn)PPP模式的價(jià)值,并發(fā)揮其在產(chǎn)業(yè)園建設(shè)中的特殊作用。第二章介紹的是產(chǎn)業(yè)園建設(shè)中踐行PPP模式的法律風(fēng)險(xiǎn)及成因分析。筆者通過(guò)與產(chǎn)業(yè)園相關(guān)的PPP模式實(shí)際的案例分析,重點(diǎn)闡述了PPP模式在踐行中存在的法律變更風(fēng)險(xiǎn)、項(xiàng)目合法性風(fēng)險(xiǎn)、項(xiàng)目運(yùn)作風(fēng)險(xiǎn)、項(xiàng)目公益性和商業(yè)盈利沖突風(fēng)險(xiǎn)四大法律風(fēng)險(xiǎn),并對(duì)其形成的原因進(jìn)行了具體的分析,為下一步在我國(guó)產(chǎn)業(yè)園區(qū)的建設(shè)和發(fā)展過(guò)程中更好地運(yùn)用PPP模式,對(duì)PPP模式進(jìn)行風(fēng)險(xiǎn)定性、風(fēng)險(xiǎn)識(shí)別,并能進(jìn)一步在實(shí)踐中完善防范法律風(fēng)險(xiǎn)的制度奠定了基礎(chǔ)。第三章中筆者針對(duì)產(chǎn)業(yè)園PPP項(xiàng)目中的主要法律風(fēng)險(xiǎn)提出了具體的防范措施,為產(chǎn)業(yè)園PPP項(xiàng)目的實(shí)踐操作提出了自己的建議。為使我國(guó)產(chǎn)業(yè)園PPP項(xiàng)目可以良性、穩(wěn)定、健康、可持續(xù)地發(fā)展下去,通過(guò)著重借鑒域外產(chǎn)業(yè)園PPP項(xiàng)目在防范法律風(fēng)險(xiǎn)方面的成功經(jīng)驗(yàn),筆者提出了應(yīng)對(duì)風(fēng)險(xiǎn)的防范措施,建議建立和完善產(chǎn)業(yè)園法律風(fēng)險(xiǎn)防范制度。本文總結(jié)了產(chǎn)業(yè)園區(qū)PPP項(xiàng)目的實(shí)務(wù)操作經(jīng)驗(yàn),探尋了產(chǎn)業(yè)園區(qū)健康穩(wěn)定發(fā)展的新路徑。
[Abstract]:With the introduction and advocacy of supply-side reform in China, under the guidance of the strategic direction of comprehensively deepening reform and implementing new urbanization, in order to solve the bottleneck of economic development, encourage private investment and alleviate the debt crisis of local governments, Government-social capital cooperation model (hereinafter referred to as "PPP mode", or Public-Private-Partnership) has been vigorously promoted in China. The efficient and intensive development of industrial park project needs to introduce innovation mechanism, but the partnership, benefit sharing and risk sharing of PPP model meet the requirements of its development. The application of PPP mode in industrial park, through the guidance of government planning, the development of industry in market-oriented way, effectively formed the focus of industry, with less government financial funds to leverage the larger social capital, this is a multi-win innovation model. Based on the author's practical experience in the legal practice of the PPP project and the thinking on the construction and operation of the industrial park, this paper expounds the PPP model in the construction of the industrial park from the following three aspects. The first chapter describes the development of industrial park and the practice mode of PPP project in industrial park construction. In order to further promote the scientific and reasonable development of the industrial park, this paper analyzes the current situation, problems and development trend of the PPP model by exploring the practical path of the PPP model in the process of the construction and development of the industrial park. With the typical cases such as the new urbanization project of Guan Industrial Park and the Zhangjiang High-Tech Park, this paper expounds and analyzes the model of PPP in order to realize the value of PPP model in China and give play to its special role in the construction of industrial park. The second chapter introduces the legal risks and causes of implementing PPP model in industrial park construction. Through the actual case analysis of PPP model related to industrial park, the author focuses on the risk of law change, project legitimacy risk, project operation risk in the practice of PPP mode. The four legal risks of project public welfare and commercial profit conflict risk, and the causes of its formation are analyzed concretely, so as to make better use of PPP mode in the construction and development of industrial parks in our country in the next step. The risk identification and qualitative analysis of the PPP model lay a foundation for further improvement of the legal risk prevention system in practice. In the third chapter, the author puts forward the concrete preventive measures against the main legal risks in the industrial park PPP project, and puts forward some suggestions for the practical operation of the industrial park PPP project. In order to make the PPP project of industrial park in our country develop healthily, healthily and sustainably, the author puts forward the preventive measures to deal with the risk by referring to the successful experience of the PPP project in foreign industrial park in preventing legal risk. It is suggested to establish and perfect the legal risk prevention system of industrial park. This paper summarizes the practical experience of industrial park PPP project and explores a new path for the healthy and stable development of industrial park.
