產(chǎn)業(yè)鏈延伸背景下J環(huán)保集團(tuán)收購(gòu)X公司的案例研究

【摘要】:隨著我國(guó)乃至世界對(duì)環(huán)境問(wèn)題重視程度的不斷提高,環(huán)保產(chǎn)業(yè)迎來(lái)了前所未有的發(fā)展機(jī)遇。而我國(guó)環(huán)保產(chǎn)業(yè)的集中度仍較低,產(chǎn)業(yè)的發(fā)展推動(dòng)我國(guó)環(huán)保企業(yè)迎來(lái)一輪又一輪的并購(gòu)熱潮。產(chǎn)業(yè)鏈延伸背景下的縱向收購(gòu)是企業(yè)并購(gòu)中的重要組成部分,隨著全產(chǎn)業(yè)鏈逐漸成為企業(yè)的核心競(jìng)爭(zhēng)優(yōu)勢(shì),以延伸產(chǎn)業(yè)鏈為目的的收購(gòu)可能會(huì)成為環(huán)保企業(yè)并購(gòu)的主流。本文通過(guò)案例分析的方式對(duì)一家環(huán)保企業(yè)基于產(chǎn)業(yè)鏈延伸的企業(yè)收購(gòu)行為進(jìn)行研究,通過(guò)對(duì)收購(gòu)依據(jù)、收購(gòu)中的管理、收購(gòu)過(guò)程及整合、經(jīng)營(yíng)戰(zhàn)略的變革以及收購(gòu)后的效益進(jìn)行分析,針對(duì)實(shí)際中出現(xiàn)的問(wèn)題進(jìn)行討論并提出建議。收購(gòu)是一項(xiàng)高風(fēng)險(xiǎn)的投資活動(dòng),而現(xiàn)階段對(duì)產(chǎn)業(yè)鏈延伸背景下的環(huán)保企業(yè)收購(gòu)研究卻很有限。因此,本文對(duì)未來(lái)的投資者來(lái)說(shuō)具有一定的借鑒和指導(dǎo)意義。通過(guò)對(duì)案例進(jìn)行分析,本文的結(jié)論是:(1)日益激烈的競(jìng)爭(zhēng)環(huán)境會(huì)催生企業(yè)實(shí)施多元化發(fā)展戰(zhàn)略,而當(dāng)企業(yè)意圖實(shí)施多元化發(fā)展戰(zhàn)略時(shí),并購(gòu)可以使企業(yè)加快進(jìn)入到新行業(yè)的速度,并降低企業(yè)進(jìn)入到新行業(yè)的壁壘限制;(2)產(chǎn)業(yè)鏈延伸背景下的環(huán)保集團(tuán)收購(gòu)行為中,選擇目標(biāo)企業(yè)時(shí),目標(biāo)企業(yè)與收購(gòu)企業(yè)的戰(zhàn)略目標(biāo)和戰(zhàn)略需求要高度一致,這樣有助于形成較好的協(xié)同效應(yīng),幫助收購(gòu)企業(yè)達(dá)成戰(zhàn)略目標(biāo);(3)企業(yè)收購(gòu)后的整合主要包括組織制度整合、生產(chǎn)經(jīng)營(yíng)整合、財(cái)務(wù)整合、人力資源整合、企業(yè)文化整合等方面,其中人力資源、企業(yè)文化的整合可能在現(xiàn)實(shí)操作中更易遇到困難;(4)企業(yè)在收購(gòu)后可能會(huì)出現(xiàn)管理團(tuán)隊(duì)合作不暢、新的管理理念方法和原有管理體制及人員不融合、客戶(hù)群丟失和市場(chǎng)占有率降低等問(wèn)題,可通過(guò)組織機(jī)構(gòu)調(diào)整、加強(qiáng)企業(yè)制度和文化管理以及積極拓展市場(chǎng)等方式加以改善和解決;(5)企業(yè)完成收購(gòu)后,可以根據(jù)內(nèi)外部環(huán)境變化,以提升企業(yè)核心競(jìng)爭(zhēng)力為目標(biāo),從組織機(jī)構(gòu)、人力資源、企業(yè)管理、經(jīng)營(yíng)模式和企業(yè)戰(zhàn)略轉(zhuǎn)型等方面進(jìn)行積極調(diào)整和改變。
[Abstract]:With the increasing attention to environmental problems in China and the world, the environmental protection industry is facing an unprecedented opportunity for development. However, the concentration of environmental protection industry in China is still relatively low. The development of industry promotes the development of environmental protection enterprises in our country to usher in round after round of M & A upsurge. Vertical acquisition under the background of extended industrial chain is an important part of M & A. As the whole industry chain becomes the core competitive advantage of enterprises, the whole industry chain gradually becomes the core competitive advantage of enterprises. The acquisition aimed at extending the industrial chain may become the mainstream of the merger and acquisition of environmental protection enterprises. This paper studies the acquisition behavior of an environmental protection enterprise based on the extension of the industrial chain through a case study. Management, acquisition process and integration, business strategy changes and post-acquisition benefits are analyzed, and problems that arise in practice are discussed and proposed. Acquisition is a high-risk investment activity. However, the research on the acquisition of environmental protection enterprises in the context of the extension of the industrial chain is very limited. Therefore, this paper has some reference and guiding significance for future investors. The conclusion of this paper is that the increasingly fierce competitive environment will lead to the implementation of diversification development strategy, and when the enterprise intends to implement diversification development strategy, M & A can speed up the entry of enterprises into new industries. Under the background of the extension of the industrial chain, the environmental protection group's acquisition behavior should be reduced. When selecting the target enterprise, the strategic objectives and the strategic demand of the target enterprise and the acquisition enterprise should be highly consistent. This will help to form a better synergy and help the acquisition enterprises achieve their strategic objectives.) the integration of enterprises after acquisition mainly includes organizational system integration, production and management integration, financial integration, human resources integration, and corporate culture integration, and other aspects, such as organizational system integration, production and management integration, financial integration, human resources integration, and corporate culture integration. Among them, the integration of human resources and corporate culture may encounter more difficulties in practical operation. (4) after acquisition, enterprises may have poor management team cooperation, and the new management concepts and methods will not be integrated with the original management system and personnel. Problems such as the loss of customer base and the reduction of market share can be improved and solved by means of organizational restructuring, strengthening enterprise system and cultural management, and actively expanding the market.) after completion of the acquisition, the enterprise can change according to the internal and external environment. In order to improve the core competence of enterprises, we should adjust and change actively from the aspects of organization, human resources, enterprise management, business model and strategic transformation.
