基于產(chǎn)業(yè)融合的LS集團(tuán)并購(gòu)研究

【摘要】:產(chǎn)業(yè)融合是由高速發(fā)展的網(wǎng)絡(luò)技術(shù)、信息技術(shù)以及數(shù)字技術(shù)帶來(lái)的經(jīng)濟(jì)領(lǐng)域伴生的新現(xiàn)象。因?yàn)橄冗M(jìn)科技的原因,傳媒業(yè)、IT業(yè)、電信業(yè)、出版業(yè)、零售業(yè)等諸多產(chǎn)業(yè)之間的邊界不斷收縮、模糊,交叉產(chǎn)業(yè)現(xiàn)象越來(lái)越普遍。發(fā)展到今天,由產(chǎn)業(yè)融合引發(fā)的企業(yè)并購(gòu)現(xiàn)象時(shí)有出現(xiàn),由此給經(jīng)濟(jì)領(lǐng)域釋放出一個(gè)信號(hào),即伴隨著新技術(shù)革命不斷推進(jìn),原有的產(chǎn)業(yè)分立已經(jīng)受到了嚴(yán)重挑戰(zhàn)和沖擊,出現(xiàn)了產(chǎn)業(yè)信息化以及信息產(chǎn)業(yè)化等經(jīng)濟(jì)現(xiàn)象,而且這種經(jīng)濟(jì)現(xiàn)象還將不斷發(fā)展,從而徹底打破原本各個(gè)產(chǎn)業(yè)之間壁壘分明的情況,從而使產(chǎn)業(yè)融合成為社會(huì)經(jīng)濟(jì)發(fā)展的趨勢(shì)。論文選擇LS集團(tuán)的并購(gòu)案例作為研究對(duì)象,基于產(chǎn)業(yè)融合背景,分析企業(yè)并購(gòu)動(dòng)向。利用LS并購(gòu)LNET和JINGP雜志的實(shí)際案例,提出國(guó)有企業(yè)并購(gòu)這一案例的特殊性,以此來(lái)研究國(guó)有企業(yè)的并購(gòu)特點(diǎn)。并基于并購(gòu)實(shí)踐,對(duì)最新并購(gòu)理論進(jìn)行探討和分析,把并購(gòu)理論進(jìn)行科學(xué)分類(lèi),具體分成四個(gè)部分:并購(gòu)動(dòng)因(源起)、并購(gòu)過(guò)程(經(jīng)歷)、并購(gòu)價(jià)值(結(jié)果)和并購(gòu)整合(發(fā)展),由此驗(yàn)證企業(yè)并購(gòu)行為對(duì)并購(gòu)理論的推導(dǎo)作用,以及并購(gòu)理論在企業(yè)并購(gòu)實(shí)踐中對(duì)企業(yè)的指導(dǎo)意義。產(chǎn)業(yè)融合現(xiàn)象的出現(xiàn),是企業(yè)在面臨市場(chǎng)環(huán)境以及產(chǎn)品特征變化的情況下,為了實(shí)現(xiàn)自我成長(zhǎng)并快速適應(yīng)外界環(huán)境變化所采取的企業(yè)發(fā)展策略,并以此獲取企業(yè)戰(zhàn)略調(diào)整和迅速成長(zhǎng)資源,從而保證企業(yè)在市場(chǎng)競(jìng)爭(zhēng)環(huán)境中立于不敗之地。論文通過(guò)文獻(xiàn)資料法、案例分析法、現(xiàn)場(chǎng)訪(fǎng)談法、定量計(jì)算法等方法進(jìn)行分析論證,以理論作為研究LS并購(gòu)案例的基礎(chǔ),以L(fǎng)S并購(gòu)LNET和JINGP雜志作為相關(guān)并購(gòu)理論和產(chǎn)業(yè)融合理論的依托,理論結(jié)合實(shí)踐剖析國(guó)有企業(yè)并購(gòu)中存在的問(wèn)題以及解決問(wèn)題的辦法,希望可以為L(zhǎng)S下一步并購(gòu)行為以及其它國(guó)有企業(yè)并購(gòu)提供理論和實(shí)踐方面的參考作用。
[Abstract]:Industrial convergence is a new phenomenon accompanied by the rapid development of network technology, information technology and digital technology in the economic field. Because of the advanced science and technology, the media industry, the IT industry, the telecommunications industry, and the publishing industry, The boundary between many industries, such as retailing, is constantly shrinking, blurred, and the phenomenon of cross-industry is becoming more and more common. Today, the phenomenon of mergers and acquisitions of enterprises caused by industrial convergence has occurred from time to time, thus sending a signal to the economic field. That is, with the continuous advancement of the new technological revolution, the original industrial separation has been seriously challenged and impacted, and economic phenomena such as industrial informatization and information industrialization have emerged, and this kind of economic phenomenon will continue to develop. In order to completely break the original situation of distinct barriers between industries, so as to make industrial convergence become the trend of social and economic development. This paper chooses the case of M & A of LS Group as the research object, based on the background of industrial convergence, This paper analyzes the trend of mergers and acquisitions of enterprises, and puts forward the particularity of the case of mergers and acquisitions of state-owned enterprises by using the actual cases of LS merger and acquisition of LNET and JINGP magazine, in order to study the characteristics of mergers and acquisitions of state-owned enterprises, and based on the practice of mergers and acquisitions, The latest M & A theory is discussed and analyzed, and the M & A theory is scientifically classified. It is divided into four parts: the motivation of M & A, the process of M & A (experience, the value of M & A) and the integration of M A (development), which verifies the derivation of M & A theory. As well as the guiding significance of M & A theory to enterprises in the practice of M & A. the appearance of industrial convergence phenomenon is that enterprises are faced with the change of market environment and product characteristics. In order to achieve self-growth and quickly adapt to the changes in the external environment, the enterprise development strategy, and to obtain strategic adjustment and rapid growth of the enterprise resources, In order to ensure that the enterprise in the market competition environment in an invincible position. Through the literature method, case analysis method, field interview method, quantitative calculation method and other methods to analyze and demonstrate, take the theory as the basis of LS M & A case. Taking LS M & A LNET and JINGP magazine as the basis of relevant M & A theory and industrial convergence theory, the paper analyzes the problems existing in the M & A of state-owned enterprises and the solutions to the problems. This paper hopes to provide theoretical and practical reference for LS M & A and other SOEs.
