【摘要】：目前,隨著我國政府對PPP項目的大力推廣和支持,PPP的新一輪熱潮必將持續(xù)發(fā)酵,引起了越來越多的學(xué)者的關(guān)注。然而,在PPP項目快速推動的同時,項目落地率比較緩慢,原因在于PPP項目中涉及的公共部門和社會資本方通常具有不同的利益訴求,二者之間的利益沖突實際上反映了代表公司雙方的兩類股東對項目實施截然不同的利益期待。因此,PPP項目特許經(jīng)營公司中股權(quán)結(jié)構(gòu)類型的選擇直關(guān)PPP項目的實施效率,現(xiàn)階段我國在PPP項目股權(quán)結(jié)構(gòu)類型選擇方面的研究還不成熟,目前已有的對PPP項目股權(quán)結(jié)構(gòu)類型的劃分缺乏依據(jù)及現(xiàn)實意義,導(dǎo)致目前我國PPP項目股權(quán)結(jié)構(gòu)類型較多,分類標(biāo)準(zhǔn)不明確,各股權(quán)結(jié)構(gòu)類型之間界限不清晰。由于現(xiàn)存的PPP項目股權(quán)結(jié)構(gòu)沒有明確的適用情況,導(dǎo)致PPP項目的參與雙方在進(jìn)行股權(quán)結(jié)構(gòu)類型選擇時較為隨意,缺乏標(biāo)準(zhǔn)。因此,需要根據(jù)政府部門在項目公司中的出資目的對PPP項目股權(quán)結(jié)構(gòu)類型進(jìn)行合理劃分,在合理劃分PPP項目股權(quán)結(jié)構(gòu)類型的基礎(chǔ)上構(gòu)建PPP項目股權(quán)結(jié)構(gòu)類型選擇的可行集�；谝陨蠁栴},本文利用文獻(xiàn)綜述法、專家訪談法、案例驗證法、多案例研究法以及扎根理論等方法進(jìn)行以下方面的研究:首先,對PPP項目股權(quán)結(jié)構(gòu)類型進(jìn)行合理的劃分。本文首先利用文獻(xiàn)分析法和案例驗證法梳理出目前學(xué)者對我國PPP項目股權(quán)結(jié)構(gòu)類型的劃分,識別出目前PPP項目股權(quán)結(jié)構(gòu)的類型,發(fā)現(xiàn)對股權(quán)結(jié)構(gòu)分類時存在的問題。然后對PPP項目股權(quán)結(jié)構(gòu)類型進(jìn)行合理的劃分,研究結(jié)果將其PPP項目股權(quán)結(jié)構(gòu)類型劃分為政府引導(dǎo)型股權(quán)結(jié)構(gòu)、政府控股型股權(quán)結(jié)構(gòu)和社會資本獨資型股權(quán)結(jié)構(gòu)。其次,識別出PPP項目特許經(jīng)營公司股權(quán)結(jié)構(gòu)類型選擇的影響因素。為了保障政府和社會資本方的有效合作,提供優(yōu)質(zhì)的公共產(chǎn)品和服務(wù),本文通過運用多案例研究方法和扎根理論方法對PPP項目股權(quán)結(jié)構(gòu)選擇的影響因素進(jìn)行了研究,識別出影響PPP項目股權(quán)結(jié)構(gòu)類型選擇的影響因素。在研究對象的選擇階段運用了多案例研究法,選取了北京地鐵4號線、張家界市楊家溪污水處理廠項目、樂陵市人民醫(yī)院拆遷項目三個典型案例,在對案例數(shù)據(jù)進(jìn)行分析時運用扎根理論方法對數(shù)據(jù)進(jìn)行編碼分析,得出影響PPP項目股權(quán)結(jié)構(gòu)類型選擇的因素。最后,構(gòu)建PPP項目股權(quán)結(jié)構(gòu)類型選擇的可行集。本文在前文對PPP項目股權(quán)結(jié)構(gòu)類型的合理劃分以及對PPP項目股權(quán)結(jié)構(gòu)類型選擇影響因素研究的基礎(chǔ)上,構(gòu)建出PPP項目股權(quán)結(jié)構(gòu)類型選擇的可行集,指導(dǎo)PPP項目實踐的順利實施。
[Abstract]:At present, with the Chinese government on the PPP project promotion and support, PPP will be a new round of upsurge in continuous fermentation, has attracted more and more attention of scholars. However, the rapid promotion in the PPP project at the same time, the project landing rate is relatively slow, the reason lies in the different interests usually have involved the public sector and society the capital side of the PPP project, the conflict of interests between the two reflects the fact that the two types of shareholders on behalf of the company, both sides look forward to the implementation of the project of different interests. Therefore, the implementation efficiency of choice of ownership structure type PPP project franchise company in direct relation with the PPP project, at present in China share structure types PPP project selection the study is not mature, the existing division of ownership structure type PPP project lacks the basis and practical significance, leading to the current ownership structure of China's PPP projects more, classification standard Is not clear, between the various types of equity structure boundaries are not clear. Due to the existing PPP project ownership structure is no clear, resulting in the PPP program in the ownership structure type selection is more casual, the lack of standards. Therefore, according to the needs of government investment in item company to divide the ownership structure of type PPP the construction project, the feasible set of ownership structure type PPP project selection based on ownership structure to a reasonable division of PPP project. Based on the above problems, this paper uses the method of literature review, expert interviews, case study method, case study method and grounded theory methods such as the research of the following aspects: first, reasonable division of the ownership structure of PPP project types. This paper uses literature analytic method and case verification method to tease out the current scholars of our country PPP project equity structure type The division, identify the PPP project ownership structure types are found, the ownership structure of the classification problem. Then the reasonable division of the ownership structure of PPP project types, the results divide ownership structure to its PPP project for the government to guide the ownership structure, the government holding the ownership structure and the social capital owned equity structure. Secondly, identify the factors affecting the ownership structure of PPP project franchise company selection. In order to effectively protect the government and social capital cooperation, to provide quality products and services for the public, through the use of multiple case study method and grounded theory methods to study the influence factors of the PPP project ownership structure, identification the influence factors of equity structure type selection for PPP project. The case study method used in the selection phase of the research object, selects Beijing Metro Line 4 The project of sewage treatment plant, Yang Xi, Zhangjiajie City, three typical cases of Leling City People's Hospital Relocation Project, in the analysis of the case data using grounded theory methods for encoding data analysis, the factors that affect the equity structure of the type PPP project selection. Finally, construct the feasible set of ownership structure type PPP project selection in this article. This type of ownership structure of PPP project on the basis of reasonable division and the influencing factors of the choice of ownership structure on PPP projects, build a feasible set of ownership structure type PPP project selection, implementation guide PPP project practice.
