【摘要】：多年來,隨著建筑市場的不斷擴大,越來越多的綜合實力強勁的競爭者們使得現(xiàn)今的國內(nèi)外建筑工程承包市場的競爭形勢日趨激烈。在這一大環(huán)境下,不占據(jù)工程合同簽訂主導(dǎo)地位的承包人為了爭取更多的工程施工權(quán),往往必須被動接受風(fēng)險分?jǐn)偵咸烊挥欣诎l(fā)包人的固定價格合同。由于固定價格合同一般不進行工程價格調(diào)整,并且承包人在投標(biāo)競爭時常常已經(jīng)采取了“低價讓利”的方式來獲得工程,一旦工程風(fēng)險發(fā)生承包人往往無力承擔(dān),卻又因合同約定的限制無法順利索賠,導(dǎo)致承包人利益極大損失,與發(fā)包人發(fā)生索賠糾紛難以避免。所以,做好承包人合同索賠風(fēng)險的控制,通過適當(dāng)?shù)暮贤s定決策來盡力避免索賠糾紛的發(fā)生,可以更好地保障承包人的利益不受損失。本文首先對固定價格合同的存在使用現(xiàn)狀和使用固定價格合同的工程中存在的索賠風(fēng)險因素進行了梳理分析,同時總結(jié)了我國固定價格合同索賠中存在的問題和難點,得出結(jié)論:固定價格合同在工程中使用廣泛,但其潛在索賠風(fēng)險因素多、索賠過程困難導(dǎo)致了承包人利益受損頻發(fā)。繼而本文提出了這一困境的解決方式:在固定價格合同簽訂時,利用模型對合同中潛在的風(fēng)險因素量化計算,明確主要風(fēng)險,然后通過約定合理的“風(fēng)險幅度”這一方式來盡力避免合同索賠糾紛的發(fā)生。而后,通過建立復(fù)雜條件層析分析模型,創(chuàng)新性地對工程中潛在風(fēng)險的影響權(quán)重進行了量化,幫助承包人明確風(fēng)險控制的目標(biāo)和優(yōu)先級,指導(dǎo)承包人有針對性的進行合同約定決策。同時,結(jié)合實際案例闡述了復(fù)雜條件層次分析模型在工程實踐中的應(yīng)用。最后,為承包人提出了簽訂固定價格合同時控制合同索賠風(fēng)險的相應(yīng)建議。
[Abstract]:Over the years, with the continuous expansion of the construction market, more and more comprehensive strength of the strong competitors make the current domestic and foreign construction contract market increasingly fierce competition. In this environment, in order to gain more construction rights, the contractor who does not occupy the leading position of signing the project contract must passively accept the fixed price contract which is naturally beneficial to the contractor. Because the fixed price contract generally does not carry on the project price adjustment, and the contractor has often adopted the "low price to give profit" way to obtain the project in the bidding competition, once the project risk occurs, the contractor is often unable to bear, However, due to the limitation of the contract, the contractor can not claim smoothly, resulting in great loss of interests of the contractor, and disputes with the contractor are difficult to avoid. Therefore, to control the risk of the contractor's contract claim and to avoid the dispute through the proper contractual decision can better protect the contractor's interests from loss. In this paper, the existence and use of fixed price contract and the risk factors of claim in the project with fixed price contract are analyzed, and the problems and difficulties in the claim for fixed price contract in China are summarized. The conclusion is that the fixed price contract is widely used in engineering, but its potential claim risk factors are many, and the difficulty of claim process leads to frequent damage to the contractor's interests. Then this paper puts forward the solution to this dilemma: when the fixed price contract is signed, the model is used to quantify the potential risk factors in the contract, and the main risks are defined. Then we try our best to avoid the dispute of contract claim by agreeing a reasonable "risk range". Then, through the establishment of complex condition chromatography analysis model, the impact weight of potential risk in the project is innovatively quantified to help the contractor to define the objectives and priorities of risk control. Direct the contractor to make the contract agreement decision. At the same time, the application of analytic hierarchy process (AHP) model in engineering practice is expounded. Finally, the author puts forward some suggestions for the contractor to control the risk of contract claim when signing a fixed price contract.
