【摘要】： 自改革開放以來,我國逐漸邁向知識經(jīng)濟時代,知識產(chǎn)權(quán)越來越成為企業(yè)的核心競爭力,成為經(jīng)濟發(fā)展的助力器。知識產(chǎn)權(quán)證券化越來越受到大家的關(guān)注,它不僅將流動性很差的無形資產(chǎn)轉(zhuǎn)變?yōu)楝F(xiàn)金流入,解決企業(yè)融資問題,而且為廣大投資者提供了重要的投資工具。 本文及時地總結(jié)了知識產(chǎn)權(quán)證券化在我國的發(fā)展情況,對于探索適合我國自身特點的證券化模式和交易結(jié)構(gòu)安排,化解金融風(fēng)險,解決我國知識產(chǎn)權(quán)證券化存在的問題,促進經(jīng)濟和社會的發(fā)展具有重要的理論和現(xiàn)實意義。 本文的主要內(nèi)容是對知識產(chǎn)權(quán)資產(chǎn)證券化問題進行了細(xì)致的探討,首先對知識產(chǎn)權(quán)相關(guān)概念進行了界定,然后闡述了知識產(chǎn)權(quán)證券化的相關(guān)理論基礎(chǔ),為文章后面的內(nèi)容打下理論基礎(chǔ)。其次,簡要敘述本文的研究思路以及方法。再次,本文根據(jù)知識產(chǎn)權(quán)證券化的理論基礎(chǔ),分析了知識產(chǎn)權(quán)證券化的優(yōu)越性以及存在的問題,對知識產(chǎn)權(quán)證券化的可行性進行了定性分析,并得出結(jié)論,即知識產(chǎn)權(quán)證券化在我國發(fā)展具有可行性。本文的核心是結(jié)合我國國情對知識產(chǎn)權(quán)資產(chǎn)證券化的交易模式與結(jié)構(gòu)進行探討,對知識產(chǎn)權(quán)資產(chǎn)證券化過程中的重要環(huán)節(jié)如資產(chǎn)池的構(gòu)建、特殊目的機構(gòu)(SPV)設(shè)立、信用增級方式的選擇進行了詳細(xì)論述,然后,根據(jù)第四章分析的思路,對中外具有代表性的知識產(chǎn)權(quán)證券化交易模式進行分析。本文的最后,根據(jù)前文對知識產(chǎn)權(quán)證券化存在問題的分析,提供相關(guān)的對策。
[Abstract]:Since the reform and opening up, China has gradually moved towards the era of knowledge economy. Intellectual property has become the core competitiveness of enterprises and the booster of economic development. Intellectual property securitization has attracted more and more attention. It not only transforms the illiquid intangible assets into cash inflow and solves the financing problem of enterprises, but also provides an important investment tool for the majority of investors. This paper sums up the development of intellectual property securitization in China in time, explores the securitization mode and transaction structure that suit our country's own characteristics, defuses the financial risk, and solves the existing problems of intellectual property securitization in our country. Promoting economic and social development has important theoretical and practical significance. The main content of this paper is to discuss the problem of intellectual property securitization in detail. Firstly, the related concepts of intellectual property are defined, and then the theoretical basis of intellectual property securitization is expounded. Lay a theoretical foundation for the content at the end of the article. Secondly, this paper briefly describes the research ideas and methods. Thirdly, according to the theoretical basis of intellectual property securitization, this paper analyzes the superiority and existing problems of intellectual property securitization, analyzes the feasibility of intellectual property securitization qualitatively, and draws a conclusion. That is, intellectual property securitization is feasible in China. The core of this paper is to discuss the transaction mode and structure of intellectual property securitization, such as the construction of asset pool, the establishment of special purpose organization (SPV), the construction of asset pool in the process of intellectual property securitization, and the establishment of special purpose organization (SPV). The choice of credit enhancement mode is discussed in detail, and then, according to the thinking of chapter four, the transaction mode of intellectual property securitization is analyzed. Finally, according to the previous analysis of the existing problems of intellectual property securitization, provide relevant countermeasures.
