【摘要】：資金的短缺和融資的困難是我國中小企業(yè)擴(kuò)大生產(chǎn)規(guī)模,促進(jìn)產(chǎn)品結(jié)構(gòu)升級,形成品牌效應(yīng)的重要障礙。綏寧縣是湖南第一林業(yè)縣,雖然林業(yè)資源豐富,林業(yè)加工業(yè)、森林旅游都有著較好發(fā)展,但由于多是中小企業(yè),沒有充足的資金,存在的集融資的障礙,發(fā)展緩慢。2009年10月,創(chuàng)業(yè)板的開通為綏寧縣林業(yè)產(chǎn)業(yè)的發(fā)展提供了一個全新的融資途徑,綏寧縣“分山不分林,分股不分山”的經(jīng)營模式和林權(quán)改革的確權(quán)到戶也為組建一個營林公司提供了便利條件。 本文共分為六個部分,第一部分首先介紹了本文的研究背景及意義,國內(nèi)外文獻(xiàn)綜述和研究內(nèi)容及思路。第二部分介紹了企業(yè)合并基礎(chǔ)理論和創(chuàng)業(yè)板上市與流程。第三部分首先概述了綏寧縣自然和社會經(jīng)濟(jì)狀況,然后描述了綏寧縣林權(quán)改革狀況,最后概述了現(xiàn)有林業(yè)加工企業(yè)、森林旅游企業(yè)的基本現(xiàn)狀,分析了對其進(jìn)行資源整合的必要性。在此基礎(chǔ)上,介紹了創(chuàng)業(yè)板上市的基本條件和流程,分析并預(yù)測了現(xiàn)有林業(yè)資源整合后的資產(chǎn)及收益情況,對綏寧縣林業(yè)企業(yè)整合上市進(jìn)行了可行性分析,繼而表明,綏寧縣現(xiàn)有林業(yè)資源整合后基本符合我國創(chuàng)業(yè)板上市的條件。第四部分對綏寧縣林業(yè)企業(yè)整合上市融資方案進(jìn)行了設(shè)計(jì)：首先是綏寧縣林業(yè)企業(yè)整合方案設(shè)計(jì),該方案中先是針對綏寧縣林權(quán)改革中“分山不分林,分股不分山”的經(jīng)營模式組建一個營林公司,在此基礎(chǔ)上,將其與林業(yè)有關(guān)的加工業(yè)和森林旅游業(yè)整合,形成一家以營林、加工、森林旅游為一體的林業(yè)集團(tuán)公司,其次是綏寧縣林業(yè)企業(yè)上市方案設(shè)計(jì),上市方案設(shè)計(jì)主要從整合后的林業(yè)集團(tuán)公司上市時間、上市方式、中介機(jī)構(gòu)的選聘和上市流程四個方面進(jìn)行了探討。第五部分針對上市過程提出一些保障措施,以確保整合上市方案能更好的實(shí)施。第六部分是結(jié)語,主要對前面的內(nèi)容進(jìn)行一些總結(jié),并闡述了論文的創(chuàng)新點(diǎn)與不足。 論文研究的目的是為綏寧縣林業(yè)產(chǎn)業(yè)發(fā)展和資金的籌集提供一個全新的參考,試圖探索出一條林業(yè)產(chǎn)業(yè)快速健康持續(xù)發(fā)展的道路,為其他地區(qū)林業(yè)產(chǎn)業(yè)的發(fā)展提供一個新的參考思路和借鑒。
[Abstract]:The shortage of funds and the difficulty of financing are the important obstacles for the small and medium-sized enterprises in our country to expand the scale of production, promote the upgrading of product structure and form the brand effect. Suining County is the first forestry county in Hunan Province, although the forestry resources are abundant, the forestry processing industry, Forest tourism has a good development, but because most of them are small and medium-sized enterprises, there are no sufficient funds, there are obstacles to pooled financing, the development is slow. October 2009, The opening of the gem provides a new way of financing for the development of the forestry industry in Suining County. The business model and the right of forest right reform also provide convenient conditions for setting up a forest management company. This paper is divided into six parts. The first part introduces the research background and significance of this paper. The second part introduces the basic theory of enterprise merger and the listing and process of gem. The third part summarizes the natural and social economic situation of Suining County. Then it describes the status of forest property right reform in Suining County, summarizes the basic status of existing forestry processing enterprises and forest tourism enterprises, and analyzes the necessity of resource integration. This paper introduces the basic conditions and flow of gem listing, analyzes and forecasts the existing assets and income of forestry resources integration, analyzes the feasibility of integrated listing of forestry enterprises in Suining County, and then shows that, The integration of forestry resources in Suining County basically conforms to the conditions of listing on the gem in China. The fourth part designs the financing scheme for the integration listing of forestry enterprises in Suining County: first, the design of integration scheme for forestry enterprises in Suining County. In this plan, first of all, aiming at the management model of "dividing mountains and forests, dividing shares into mountains" in the forest rights reform of Suining County, a forest management company was set up, and on this basis, the processing industry and forest tourism related to forestry were integrated to form a forest management company. Processing, forest tourism as an integral part of the forestry group company, followed by the Suining County forestry enterprise listing plan design, listing plan design mainly from the integrated forestry group company listing time, listing mode, The fifth part puts forward some safeguard measures for the listing process to ensure the better implementation of the integrated listing scheme. The sixth part is the conclusion. The main content of the previous summary, and elaborated the innovation of the paper and shortcomings. The purpose of this paper is to provide a new reference for the development of forestry industry and the raising of funds in Suining County, and try to explore a way of rapid, healthy and sustainable development of forestry industry. To provide a new reference for the development of forestry industry in other regions.
