【摘要】：當(dāng)前我國證券公司破產(chǎn)程序中投資者權(quán)益保護制度尚不完善，現(xiàn)實中存在大量證券公司破產(chǎn)程序中侵害投資者權(quán)益的情形。本文從加強投資者權(quán)益保護，構(gòu)建有效的利益維護機制出發(fā)，分析了當(dāng)前我國證券投資者保護的現(xiàn)實困境，學(xué)習(xí)和借鑒歐美成熟的證券投資者保護機制的基礎(chǔ)上就完善我國證券公司破產(chǎn)程序中的投資者權(quán)益保護提出相關(guān)法學(xué)思考。 本文可分為四個部分。第一部分主要對證券公司破產(chǎn)程序的相關(guān)理論進行闡述，分析了證券公司破產(chǎn)程序的特殊性，并重點對投資者權(quán)益進行分析；第二部分對美國和歐盟證在投資者保護方面的相關(guān)制度進行介紹，以達到學(xué)習(xí)借鑒的作用；第三部分就當(dāng)前我國證券公司破產(chǎn)程序中的投資者權(quán)益保護現(xiàn)實困境進行分析，主要包括：法律困境、證券公司破產(chǎn)財產(chǎn)分配不平等、證券類資產(chǎn)轉(zhuǎn)讓過程不合理導(dǎo)致資產(chǎn)減值及投資者保護基金公司作用受限；第四部分通過前面三部分的論述，針對我國證券投資者權(quán)益保護的現(xiàn)實困境并在歐美等國的成功經(jīng)驗上，就如何改進我國投資者權(quán)益保護水平提出了思考，，包括構(gòu)建證券投資者權(quán)益保護法律體系、平等的破產(chǎn)財產(chǎn)分配、建構(gòu)市場化的破產(chǎn)制度，加強投資者在破產(chǎn)程序中的權(quán)利與完善證券投資者賠償法律體系等方面。
[Abstract]:At present, the protection system of investor's rights and interests in the bankruptcy procedure of securities company in our country is not perfect, and there are a large number of cases of infringing investor's rights and interests in the bankruptcy procedure of securities company in reality. Starting from the construction of an effective interest maintenance mechanism, this paper analyzes the current plight of the protection of securities investors in China. On the basis of studying and drawing lessons from the mature protection mechanism of securities investors in Europe and the United States, this paper puts forward some relevant legal considerations on how to improve the protection of investors' rights and interests in the bankruptcy procedure of securities companies in China. This paper can be divided into four parts. The first part mainly describes the relevant theory of securities company bankruptcy procedure, analyzes the particularity of securities company bankruptcy procedure, and focuses on the analysis of investors' rights and interests; The second part of the U. S. and the European Union in the protection of investors in the relevant systems are introduced in order to learn from the role of reference; The third part of the current securities company bankruptcy procedures in the protection of investors' rights and interests of the real dilemma, including: legal difficulties, securities companies bankruptcy property distribution inequality. The unreasonable transfer process of securities assets leads to the impairment of assets and the restriction of the role of investors in protecting fund companies; Through the discussion of the first three parts, the 4th part puts forward some thoughts on how to improve the level of the protection of investors' rights and interests in China in view of the realistic predicament of the protection of the rights and interests of securities investors in China and the successful experiences of Europe and the United States and other countries. Including the construction of securities investors' rights and interests protection legal system, the equal distribution of bankruptcy property, the construction of a market-oriented bankruptcy system. Strengthen investors' rights in bankruptcy proceedings and improve the legal system of compensation for securities investors.
