【摘要】：目前,我國上市公司已經(jīng)形成了一個較為完善的以連鎖董事為紐帶的董事網(wǎng)絡(luò)。董事網(wǎng)絡(luò)對公司治理等經(jīng)濟行為產(chǎn)生的影響成為學者近些年關(guān)注的焦點。面對日益激烈的國際競爭和不斷進步的科學技術(shù),技術(shù)創(chuàng)新已成為一個企業(yè)取得行業(yè)核心競爭力的關(guān)鍵因素。企業(yè)技術(shù)創(chuàng)新的資源主要來自于其所處的社會環(huán)境,而董事網(wǎng)絡(luò)的不斷發(fā)展為網(wǎng)絡(luò)中企業(yè)間的資源共享提供了良好的環(huán)境,從而有利于減少成本、降低風險,提高企業(yè)技術(shù)創(chuàng)新效率并最終為企業(yè)帶來經(jīng)濟效益。本文主要研究的是董事網(wǎng)絡(luò)與企業(yè)技術(shù)創(chuàng)新投入二者之間的關(guān)系,并引入技術(shù)董事在董事會的占比作為中介變量研究其影響機理,在此基礎(chǔ)上簡單探討了二者對企業(yè)績效的影響機制。首先,在對國內(nèi)外現(xiàn)有文獻進行梳理的基礎(chǔ)上,界定了董事網(wǎng)絡(luò)和企業(yè)技術(shù)創(chuàng)新等關(guān)鍵概念;其次,運用資源依賴理論、組織間模仿等理論分析董事網(wǎng)絡(luò)和企業(yè)技術(shù)創(chuàng)新投入之間的關(guān)系,并提出相關(guān)假設(shè);最后,將手工收集得出的我國A股上市公司2013、2014兩年2457個數(shù)據(jù)作為研究樣本,選取程度中心度、接近中心度和中介中心度的綜合指標衡量企業(yè)網(wǎng)絡(luò)中心度,采用研發(fā)投入強度(RD)指標衡量企業(yè)的技術(shù)創(chuàng)新水平,通過分別建立回歸模型得出以下結(jié)論:(1)董事網(wǎng)絡(luò)與技術(shù)創(chuàng)新顯著正相關(guān);(2)技術(shù)董事在董事會的占比對企業(yè)技術(shù)創(chuàng)新投入具有正向促進作用;(3)技術(shù)董事董事會占比對董事網(wǎng)絡(luò)和技術(shù)創(chuàng)新投入關(guān)系起到中介作用,并且中介作用顯著。(4)企業(yè)的技術(shù)創(chuàng)新投入對董事網(wǎng)絡(luò)與企業(yè)績效的影響發(fā)揮部分中介作用。本文的研究對于我國上市公司開展技術(shù)創(chuàng)新活動以及完善公司董事會結(jié)構(gòu)具有一定的借鑒作用。合理利用董事網(wǎng)絡(luò)資源可以使企業(yè)在開展技術(shù)創(chuàng)新活動時少走彎路,減少因企業(yè)進行技術(shù)創(chuàng)新活動所產(chǎn)生的不必要的損失,提高企業(yè)的技術(shù)創(chuàng)新績效,最終實現(xiàn)利益最大化。而在董事會中引進技術(shù)董事,一方面能夠加強董事會成員不同知識背景和不同職位角色的融合,增強具有技術(shù)和財務背景的董事之間的合作,另一方面也可以通過董事網(wǎng)絡(luò)內(nèi)技術(shù)董事間的有效溝通提高董事會創(chuàng)新投資決策效率,為公司制定有效的技術(shù)創(chuàng)新決策。
[Abstract]:At present, China's listed companies have formed a relatively complete chain of directors as the link of the network of directors. The influence of director network on economic behavior such as corporate governance has become the focus of scholars in recent years. In the face of increasingly fierce international competition and continuous progress of science and technology, technological innovation has become a key factor for an enterprise to obtain the core competitiveness of the industry. The resources of enterprise technological innovation mainly come from its social environment, and the continuous development of the director network provides a good environment for the resource sharing among enterprises in the network, which is helpful to reduce the cost and reduce the risk. Improve the efficiency of technological innovation and ultimately bring economic benefits to enterprises. This paper mainly studies the relationship between the director's network and the enterprise's technological innovation investment, and introduces the proportion of the technical director in the board of directors as an intermediary variable to study its influence mechanism. On the basis of this, the paper simply discusses the influence mechanism of the two on enterprise performance. First of all, on the basis of combing the existing literature at home and abroad, the paper defines the key concepts such as director network and enterprise technological innovation. Secondly, it uses the theory of resource dependence. This paper analyzes the relationship between directors' network and enterprise's technological innovation input, and puts forward relevant hypotheses. Finally, 2457 data collected by hand from Chinese A-share listed companies in 2014 and 2013 are taken as research samples. Selecting the degree of centrality, approaching the center degree and intermediary center degree to measure the enterprise network centrality, using R & D investment intensity to measure the technological innovation level of the enterprise. By establishing regression models, the following conclusions are drawn: (1) the proportion of technical directors in the board of directors is significantly positively related to technological innovation. (2) the proportion of technical directors in the board of directors has a positive promoting effect on the investment in technological innovation of enterprises. Play an intermediary role in the relationship between the director's network and the investment in technological innovation, The influence of technological innovation investment on directors' network and enterprise performance plays a part intermediary role. The research in this paper can be used as a reference for Chinese listed companies to carry out technological innovation activities and perfect the structure of the board of directors. The reasonable utilization of the director's network resources can make the enterprise less detours in carrying out the technological innovation activities, reduce the unnecessary losses caused by the enterprise's technological innovation activities, improve the performance of the enterprise's technological innovation, and finally realize the maximization of the benefits. On the one hand, the introduction of technical directors in the board of directors can enhance the integration of different knowledge background and position roles of board members, and enhance the cooperation among directors with technical and financial background. On the other hand, the effective communication between the technical directors in the network of directors can improve the efficiency of the board of directors' innovation investment decision, and make the effective technological innovation decision for the company.
