浙江省麗水市農(nóng)村信用社產(chǎn)權改革研究

【摘要】:全國數(shù)量龐大的農(nóng)村信用社,經(jīng)歷了多輪周期的改革,各方面發(fā)生了翻天覆地的變化,取得了前所未有的成績,卻也同時面臨諸多困境。本文以麗水地區(qū)9家農(nóng)村信用社為樣本,對近年來的產(chǎn)權改革發(fā)展進行了整體評估與反思,對存在原因進行了深入剖析,進而提出了持續(xù)深化改革的努力方向。本文第一部分簡要回顧了我國農(nóng)村信用社在各個時期經(jīng)歷的,內(nèi)容各異的產(chǎn)權變遷和改革。歷史事實證明,決定農(nóng)村信用社改革發(fā)展成敗的核心就是產(chǎn)權。產(chǎn)權改革對于農(nóng)村信用社自身化解歷史遺留包袱、完善法人治理結構及促進整個農(nóng)村經(jīng)濟發(fā)展都具有重要意義。倘若沒有形成科學清晰的產(chǎn)權制度,改革也就失去了根本意義,發(fā)展成果就難以持續(xù),體制機制、公司治理、服務創(chuàng)新等就更無從說起。第二部分,對麗水地區(qū)九家農(nóng)村信用社近年來產(chǎn)權改革的績效進行評估。首先,充分肯定此輪改革試點工作已取得重要進展,當下逐步呈現(xiàn)出股權制度改革穩(wěn)步推進、法人治理架構逐步明晰、經(jīng)營發(fā)展成果持續(xù)改善、各項社會紅利不斷釋放的大好態(tài)勢。但難以回避的是,目前在發(fā)展過程中仍暴露出一系列深層次的問題和矛盾。如何客觀分析,把握得失,特別是正視不足和問題,是深化改革前必須明確的基本前提。第三部分,全面分析目前產(chǎn)權改革存在問題的根本癥結和原因所在。目前農(nóng)村信用社下一步發(fā)展壯大所面臨的各種困境,諸如管理體制、經(jīng)營機制、治理缺陷等各方面的問題,都說明其自身的根本能力并沒得到有效改善,核心癥結仍應歸咎于產(chǎn)權改革還未最終真正到位。具體來說,則是在股權結構、股東素質、分紅比例、信息披露和股金流轉等方面仍存在缺陷。第四部分,圍繞亟待深化的產(chǎn)權改革,本文提出以夯實股金基礎、優(yōu)化股權構成、構建補充機制、完善法人治理、加快機制轉換、搭建交易平臺為核心的優(yōu)化產(chǎn)權改革路徑的可行性選擇。首先,持續(xù)推進股權改造和股本核查,通過“去偽存真”,披沙煉金,夯實股本基礎,同時,切實加強對增資擴股全過程的監(jiān)管。其次,加快引進戰(zhàn)略投資股,相對集中股權,強化股東成分和資格篩選以提升股東素質。再次,盡快摒棄股金多多益善的錯誤理念,根據(jù)經(jīng)驗發(fā)展和風險覆蓋的實際要求,合理確定股本總量,構建可持續(xù)的股本動態(tài)補充機制。接下來,推動省聯(lián)社規(guī)范履職,理順法人治理,強化信息披露,加快經(jīng)營機制轉換。最后,科學評估股權當期價值,盡快搭建產(chǎn)權交易和流轉平臺。
[Abstract]:A large number of rural credit cooperatives in the country have experienced many cycles of reform, all aspects have undergone earth-shaking changes, have made unprecedented achievements, but also face many difficulties at the same time. Taking 9 rural credit cooperatives in Lishui area as samples, this paper makes an overall evaluation and reflection on the development of property right reform in recent years, analyzes the reasons for its existence, and puts forward the direction of continuous deepening reform. The first part of this paper briefly reviews the changes and reforms of rural credit cooperatives in various periods. Historical facts prove that the core of the reform and development of rural credit cooperatives is property rights. The reform of property right is of great significance for the rural credit cooperatives to resolve the historical burden, perfect the governance structure of legal persons and promote the development of the whole rural economy. If there is no scientific and clear property right system, the reform will lose the fundamental significance, the development results will be unsustainable, the system mechanism, the corporate governance, the service innovation and so on will not be able to talk about. The second part evaluates the performance of property right reform of nine rural credit cooperatives in Lishui area. First of all, it is fully affirmed that important progress has been made in the pilot work of this round of reform. At present, the reform of the equity system has been steadily advancing, the corporate governance structure has gradually become clear, and the results of business development have been continuously improved. All kinds of social dividend unceasing release good situation. However, it is inevitable that a series of deep problems and contradictions are still exposed in the process of development. How to objectively analyze and grasp the gains and losses, especially facing the shortcomings and problems, is the basic premise that must be clear before deepening the reform. The third part comprehensively analyzes the root cause and reason of the existing problems in the property right reform. At present, all kinds of difficulties faced by rural credit cooperatives in the next step of development and growth, such as management system, management mechanism, and management defects, all show that their own fundamental ability has not been effectively improved. The crux of the problem should still be blamed on the property rights reform has not yet finally come into place. Specifically, there are still defects in equity structure, shareholder quality, dividend ratio, information disclosure and stock flow. In the fourth part, focusing on the property right reform that needs to be deepened, this paper proposes to consolidate the foundation of stock capital, optimize the composition of equity, construct supplementary mechanism, perfect the governance of legal person, and speed up the transformation of mechanism. The feasible choice of optimizing the path of property right reform based on setting up trading platform. First of all, we should continue to promote equity reform and equity verification. Through "identifying fake things and retaining the real things," we should put sand into gold and consolidate the equity base. At the same time, we should strengthen the supervision of the whole process of increasing capital and expanding shares. Secondly, to speed up the introduction of strategic investment stocks, relatively concentrated equity, and strengthen the selection of shareholders and qualifications to improve the quality of shareholders. Thirdly, we should abandon the wrong idea of more stock as soon as possible, determine the total amount of equity reasonably according to the practical requirements of experience development and risk coverage, and construct a sustainable dynamic supplement mechanism of equity. Next, promote the provincial alliance to carry out its duties, straighten out corporate governance, strengthen information disclosure, and speed up the transformation of management mechanism. Finally, evaluate the current value of stock right scientifically, and set up property right transaction and circulation platform as soon as possible.
