【摘要】：我國股權(quán)投資基金立法,盡管草案的名稱最終確定為《股權(quán)投資基金管理辦法》,但歷經(jīng)10余年的法規(guī)還是沒有在預(yù)期的時(shí)間內(nèi)出臺。在多次受挫后,實(shí)踐中甚至產(chǎn)生了我國究竟是否需要專門股權(quán)投資基金立法的爭議。該文考量從"產(chǎn)業(yè)投資基金"至"股權(quán)投資基金"嬗變的法理根源,認(rèn)為股權(quán)投資基金的立法進(jìn)路在于確認(rèn)私募方式的合法地位,設(shè)立基金管理人的信義義務(wù)控制機(jī)制和明確國家機(jī)關(guān)的權(quán)力與責(zé)任進(jìn)行科學(xué)立法等。
[Abstract]:The legislation of equity investment fund in our country, although the name of the draft is finally determined as "Management method of Equity Investment Fund", but after more than 10 years of legislation has not been issued within the expected time. After many setbacks, there is even a dispute about whether our country needs special equity investment fund legislation. Considering the legal origin of the evolution from "industrial investment fund" to "equity investment fund", this paper holds that the legislative approach of equity investment fund is to confirm the legal status of private equity. Set up the fiduciary duty control mechanism of fund manager and make clear the power and responsibility of the state organ to carry on the scientific legislation and so on.
