【摘要】：當(dāng)今世界經(jīng)濟(jì)一體化的進(jìn)程日益加快,金融自由化的發(fā)展以及國際銀行業(yè)競爭的加劇,使得全球范圍內(nèi)的銀行業(yè)并購浪潮風(fēng)生水起。許多國際性的大銀行都是通過海外并購不斷走向國際化、發(fā)展壯大的。近年來我國商業(yè)銀行海外并購的步伐加快。為了研究我國商業(yè)銀行海外并購是否提高了銀行效率,選取了發(fā)生在香港特區(qū)的三個并購案例進(jìn)行實證分析,分別是2008年招商銀行并購香港永隆銀行、2009年中國建設(shè)銀行并購美國國際信貸(香港)有限公司和2009年中信銀行并購中信國金。本文以商業(yè)銀行并購效率理論為基礎(chǔ),首先闡述銀行并購效率的相關(guān)概念,然后介紹了研究并購效率的幾種常用方法并比較幾種方法的異同,接下來主要運用股權(quán)收益率模型對以上三個案例進(jìn)行實證分析,分別通過縱向?qū)Ρ群蜋M向?qū)Ρ鹊姆椒?分析三家銀行的并購活動是否改善了銀行效率。最后,對如何提高我國商業(yè)銀行海外并購效率提出了幾點政策建
[Abstract]:Nowadays, the process of world economic integration is speeding up day by day, the development of financial liberalization and the aggravation of international banking competition make the global banking M & A wave rise. Many large international banks are becoming more and more international through overseas mergers and acquisitions. In recent years, the pace of overseas mergers and acquisitions of commercial banks in China has been accelerated. In order to study whether overseas mergers and acquisitions of commercial banks in China have improved the efficiency of banks, three cases of mergers and acquisitions in Hong Kong Special Administrative region have been selected for empirical analysis. China Merchants Bank acquired Hong Kong Wing Lung Bank in 2008, China Construction Bank in 2009 and CITIC Bank in 2009. Based on the theory of M & A efficiency of commercial banks, this paper first expounds the related concepts of M & A efficiency of banks, then introduces several common methods to study M & A efficiency and compares the similarities and differences of several methods. Then we use the equity return model to analyze the above three cases and analyze whether the merger and acquisition activities of the three banks have improved the efficiency of the banks by the methods of vertical and horizontal comparison respectively. Finally, this paper puts forward some policies on how to improve the efficiency of overseas mergers and acquisitions of Chinese commercial banks.
