【摘要】：中國"十二五規(guī)劃綱要",明確指出今后五年經(jīng)濟(jì)社會(huì)發(fā)展的主線和主要任務(wù),"擴(kuò)大代辦股份轉(zhuǎn)讓系統(tǒng)試點(diǎn),加快發(fā)展場外交易市場"。目前中國證券市場存在嚴(yán)重缺陷,即層次結(jié)構(gòu)形成"倒金字塔"式,且層次間無法形成對(duì)接,市場功能難以有效發(fā)揮,廣大的中小企業(yè)無法從資本市場直接融資。本文以美國證券市場分層結(jié)構(gòu)功能視角出發(fā),并對(duì)中國分層結(jié)構(gòu)聯(lián)系與積極發(fā)展的場外市場提出建議。
[Abstract]:The outline of China's 12th Five-Year Plan clearly points out the main line and main task of economic and social development in the next five years, and "expand the pilot project of the agency share transfer system and speed up the development of the over-the-counter market". At present, there are serious defects in China's securities market, that is, the hierarchical structure forms the "inverted pyramid" style, and the interlayer can not form a docking, the market function is difficult to play effectively, and the vast number of small and medium-sized enterprises can not directly finance from the capital market. From the perspective of the hierarchical structure of the American securities market, this paper puts forward some suggestions on the relationship between the delamination structure in China and the positive development of the over-the-counter market.
