【摘要】：自從2001年加入世界貿(mào)易組織以來,我國堅持更加積極的開放戰(zhàn)略,更加主動地參與經(jīng)濟全球化。金融是現(xiàn)代經(jīng)濟的核心,2006年我國對外資銀行全面開放人民幣業(yè)務,標志著我國金融服務業(yè)進入了一個全新的時代。在我國金融市場加大對外開放的同時,我國商業(yè)銀行也在深化改革,幾大國有商業(yè)銀行的改制上市進程已基本完成。面對世界范圍內(nèi)各大金融巨頭日趨激烈的競爭,目前資本金充裕、盈利能力良好的大型中資商業(yè)銀行應當加快全球化經(jīng)營步伐,提高自身競爭力,并更好地為我國實體經(jīng)濟服務,而跨境并購正是一種積極的全球化擴張的手段。隨著中資企業(yè)“走出去”戰(zhàn)略和人民幣國際化戰(zhàn)略的持續(xù)推進,我國商業(yè)銀行必須抓住前所未有的機遇,通過跨境并購的途徑做大做強。 本文主要圍繞我國商業(yè)銀行跨境并購的戰(zhàn)略意義進行研究,并結(jié)合實證分析,對我國商業(yè)銀行跨境并購的路徑選擇、效率提升和風險防范逐一進行了探討。全文共分五部分,第一部分是導論,介紹了本文的選題背景和意義、商業(yè)銀行并購和跨境并購的文獻綜述、本文的研究思路、創(chuàng)新與不足。第二部分首先對我國商業(yè)銀行進行全球化經(jīng)營的必要性進行分析,其次對我國銀行進行跨境并購的戰(zhàn)略意義進行了闡述,最后結(jié)合外資銀行成功的跨境并購經(jīng)驗,對我國商業(yè)銀行跨境并購的可行性進行了研究。第三部分首先介紹了我國商業(yè)銀行海外擴張的歷史和現(xiàn)狀,然后對我國商業(yè)銀行已經(jīng)完成的跨境并購交易的特點進行了歸納。第四部分首先對我國大型銀行的代表——中國工商銀行的跨境并購歷程進行剖析,其次對工行并購后的財務情況進行實證分析,并將其與農(nóng)行、建行的財務數(shù)據(jù)進行比較。第五部分對我國商業(yè)銀行未來跨境并購的具體路徑進行探討,對跨境并購的風險防范進行了分析,并對我國政府提出相關(guān)的政策建議。
[Abstract]:Since joining the WTO in 2001, China has adhered to a more active strategy of opening to the outside world and participated more actively in economic globalization. Finance is the core of modern economy. In 2006, China fully opened its RMB business to foreign banks, indicating that our financial service industry has entered a new era. At the same time, our country's commercial banks are deepening the reform, and the process of reforming and listing several state-owned commercial banks has been basically completed. In the face of increasingly fierce competition among the major financial giants around the world, large Chinese-funded commercial banks with abundant capital and good profitability should speed up the pace of globalization and improve their competitiveness. Cross-border M & A is a positive means of globalization expansion. With the development of Chinese enterprises'"going out" strategy and RMB internationalization strategy, Chinese commercial banks must seize the unprecedented opportunities and make them bigger and stronger through cross-border mergers and acquisitions. This paper focuses on the strategic significance of cross-border mergers and acquisitions of commercial banks in China, and discusses the path choice, efficiency improvement and risk prevention of cross-border mergers and acquisitions of commercial banks in China one by one with the empirical analysis. The paper is divided into five parts. The first part is the introduction. It introduces the background and significance of this paper, the literature review of commercial bank M & A and cross-border M & A, the research ideas, innovation and deficiency of this paper. The second part first analyzes the necessity of the global operation of commercial banks in China, then expounds the strategic significance of cross-border mergers and acquisitions of Chinese banks, and finally combines the successful cross-border M & A experience of foreign banks. The feasibility of cross-border M & A of commercial banks in China is studied. The third part first introduces the history and present situation of overseas expansion of Chinese commercial banks, and then summarizes the characteristics of cross-border M & A transactions that Chinese commercial banks have completed. The fourth part firstly analyzes the cross-border M & A process of ICBC, and then makes an empirical analysis on the financial situation of ICBC after M & A, and compares it with the financial data of ABC and CCB. The fifth part discusses the specific path of future cross-border mergers and acquisitions of commercial banks in China, analyzes the risk prevention of cross-border mergers and acquisitions, and puts forward relevant policy recommendations to our government.
