【摘要】：本文從構(gòu)建完善中國(guó)多層次資本市場(chǎng)結(jié)構(gòu)的戰(zhàn)略角度出發(fā),探討研究建設(shè)全國(guó)性場(chǎng)外交易市場(chǎng)問(wèn)題。參考國(guó)際上各成熟國(guó)家和地區(qū)場(chǎng)外交易市場(chǎng)的成功經(jīng)驗(yàn),并結(jié)合我國(guó)資本市場(chǎng)發(fā)展的實(shí)際情況,創(chuàng)新性地提出以中關(guān)村高新科技園區(qū)股份報(bào)價(jià)轉(zhuǎn)讓系統(tǒng)(新三板)和天津股權(quán)交易所為基礎(chǔ),建設(shè)“雙層遞進(jìn)”式的全國(guó)統(tǒng)一的場(chǎng)外交易市場(chǎng)。認(rèn)為,中國(guó)場(chǎng)外交易市場(chǎng)建設(shè)已經(jīng)面臨歷史關(guān)口,加快建設(shè)全國(guó)統(tǒng)一的場(chǎng)外交易市場(chǎng)是新時(shí)期中國(guó)經(jīng)濟(jì)發(fā)展方式轉(zhuǎn)變和經(jīng)濟(jì)結(jié)構(gòu)轉(zhuǎn)型的迫切需求,我國(guó)加快建設(shè)場(chǎng)外交易市場(chǎng)的基本條件也已經(jīng)具備,加快建設(shè)場(chǎng)外交易市場(chǎng)對(duì)中國(guó)建設(shè)多層次結(jié)構(gòu)資本市場(chǎng)具有特殊的實(shí)踐意義；應(yīng)該以中關(guān)村股份轉(zhuǎn)讓系統(tǒng)(新三板)和天津股權(quán)交易所為基礎(chǔ),明確“2+N”雙層遞進(jìn)式的全國(guó)性場(chǎng)外交易市場(chǎng)建設(shè)平臺(tái),從而形成中關(guān)村高新科技園區(qū)代辦股份轉(zhuǎn)讓系統(tǒng)和天津股權(quán)交易所構(gòu)成的全國(guó)集中場(chǎng)外交易市場(chǎng)和區(qū)域性、地方性產(chǎn)權(quán)交易所構(gòu)成的地方分散性市場(chǎng),建立多層次場(chǎng)外交易市場(chǎng)結(jié)構(gòu)；確定以公司制組織結(jié)構(gòu)為發(fā)展趨勢(shì),以天津股權(quán)交易所為平臺(tái)進(jìn)行積極探索,實(shí)現(xiàn)全國(guó)性場(chǎng)外交易市場(chǎng)以多元化會(huì)員制組織結(jié)構(gòu)為起步,逐步改革發(fā)展為公司制組織結(jié)構(gòu)的全國(guó)性場(chǎng)外交易市場(chǎng),順應(yīng)世界成熟資本市場(chǎng)的發(fā)展趨勢(shì)；加快引進(jìn)場(chǎng)外交易市場(chǎng)做市場(chǎng)制度,逐步發(fā)展形成做市商交易制度、單一競(jìng)價(jià)交易制度、協(xié)議定價(jià)交易制度相結(jié)合的混合型做市商交易制度；
[Abstract]:Based on the construction of the strategic angle of China ' s multi - level capital market structure , this paper discusses the research and construction of national OTC market .
On the basis of the transfer system ( new three boards ) and the Tianjin Stock Exchange , the national OTC market construction platform of " 2 + N " double - layer progressive type should be clearly defined , so as to form the local market of local markets and regional and local property rights exchanges formed by the transfer system of the new technology park and the Tianjin Stock Exchange , so as to establish a multi - level OTC market structure ;
It is determined that the structure of the corporate organizational structure is the developing trend , and the Tianjin Stock Exchange is actively exploring the platform , so as to realize the national OTC market with the structure of the diversified membership system as the starting point , and gradually reform the national off - site transaction market for the corporate organizational structure , and conform to the development trend of the mature capital market in the world ;
Accelerate the introduction of the OTC market as a market system , and gradually develop a mixed market trading system combining market - maker trading system , single bidding trading system and agreement pricing trading system ;
