【摘要】：PE作為金融領(lǐng)域的熱點(diǎn)詞匯，無(wú)疑是吸引眾多目光聚集的焦點(diǎn)，在全球PE愈演愈烈的背景下，我國(guó)PE行業(yè)經(jīng)歷了雖然短暫但充滿活力的發(fā)展過(guò)程，其中，信托型PE在我國(guó)信托公司不斷尋求業(yè)務(wù)轉(zhuǎn)型的契機(jī)下，也取得了蓬勃的發(fā)展，規(guī)模迅速增長(zhǎng)，產(chǎn)品創(chuàng)新層出不窮。目前，世界經(jīng)濟(jì)面臨嚴(yán)峻挑戰(zhàn)，金融市場(chǎng)可謂危機(jī)與希望并存，我國(guó)PE信托只有不斷提高競(jìng)爭(zhēng)力和抗風(fēng)險(xiǎn)能力，才能實(shí)現(xiàn)新的突破與發(fā)展。本文旨在通過(guò)對(duì)我國(guó)PE信托進(jìn)行研究，回顧發(fā)展歷程，總結(jié)發(fā)展經(jīng)驗(yàn)，剖析發(fā)展現(xiàn)狀，，明確發(fā)展優(yōu)勢(shì)，分析PE信托所面臨的宏觀環(huán)境，增強(qiáng)對(duì)PE信托運(yùn)作機(jī)制各個(gè)環(huán)節(jié)的認(rèn)識(shí)，探究PE信托在發(fā)展過(guò)程中存在的問(wèn)題并提出相關(guān)對(duì)策與建議，從而促進(jìn)其優(yōu)化發(fā)展。 全文在對(duì)PE及PE信托的基礎(chǔ)理論進(jìn)行簡(jiǎn)要介紹的基礎(chǔ)上，將信托型PE與公司型、有限合伙型PE進(jìn)行比較，初步論述了PE信托運(yùn)作機(jī)制的原理。之后，就橫向方面，對(duì)我國(guó)PE信托的規(guī)模、投資和監(jiān)管狀況進(jìn)行回顧，從市場(chǎng)、監(jiān)管層面進(jìn)行經(jīng)驗(yàn)總結(jié)；對(duì)我國(guó)PE信托發(fā)展現(xiàn)狀和經(jīng)濟(jì)、法律環(huán)境進(jìn)行分析；對(duì)現(xiàn)階段我國(guó)發(fā)展PE信托的優(yōu)勢(shì)、意義及機(jī)遇進(jìn)行闡述；對(duì)典型案例進(jìn)行分析與比較。就縱向方面，對(duì)運(yùn)作過(guò)程中的交易結(jié)構(gòu)、投資管理、內(nèi)部治理、激勵(lì)機(jī)制、風(fēng)險(xiǎn)控制、業(yè)務(wù)流程等環(huán)節(jié)展開(kāi)論述，提出了我國(guó)目前開(kāi)展PE信托業(yè)務(wù)所面臨的問(wèn)題。最后，從完善配套法規(guī)制度、推進(jìn)與各類相關(guān)機(jī)構(gòu)的合作、加強(qiáng)市場(chǎng)培育和團(tuán)隊(duì)建設(shè)、完善PE信托的治理結(jié)構(gòu)、強(qiáng)化信托公司的風(fēng)險(xiǎn)管理等方面得出結(jié)論。
[Abstract]:As a hot word in the financial field, PE is undoubtedly the focus to attract a lot of attention. Under the background of global PE becoming increasingly fierce, the PE industry in China has experienced a brief but dynamic development process, among which, Trust PE has made vigorous development, rapid growth in scale and endless product innovation under the opportunity of seeking business transformation of trust companies in China. At present, the world economy is facing severe challenges. The financial market can be described as crisis and hope. Only by constantly improving our PE trust's competitiveness and ability to resist risks can we achieve a new breakthrough and development. This paper aims to review the course of development of China's PE Trust through the study of PE Trust in China. Summing up the development experience, analyzing the present situation of the development, defining the advantages of the development, analyzing the macro environment facing the PE trust, strengthening the understanding of each link of the PE trust operation mechanism, This paper probes into the problems existing in the development of PE Trust and puts forward relevant countermeasures and suggestions to promote its optimal development. Based on the brief introduction of PE and the basic theory of PE trust, the paper compares the trust type PE with that of corporation type and limited partnership type PE, and discusses the principle of PE trust operation mechanism. This paper reviews the scale, investment and supervision of PE trust in China, summarizes the experience from market and supervision level, analyzes the present situation, economic and legal environment of PE trust development in China, and analyzes the advantages of PE trust development in China at the present stage. The significance and opportunity are expounded, and the typical cases are analyzed and compared. In the vertical aspect, the transaction structure, investment management, internal governance, incentive mechanism, risk control, business process and so on are discussed. Finally, from perfecting the supporting laws and regulations, promoting the cooperation with all kinds of related institutions, strengthening the market cultivation and team building, perfecting the governance structure of PE trust, the paper puts forward the problems that our country faces in carrying out PE trust business at present. Strengthen the risk management of trust companies and other aspects of the conclusion.
