【摘要】：民營企業(yè)是隨著我國改革開放的不斷深入而逐步發(fā)展起來的新的經(jīng)濟(jì)增長體，對(duì)我國的國民經(jīng)濟(jì)、社會(huì)發(fā)展和現(xiàn)代化建設(shè)發(fā)揮了積極的作用，是我國國民經(jīng)濟(jì)的重要組成部分。上市民營企業(yè)是我國民營企業(yè)的主體，是民營經(jīng)濟(jì)發(fā)展的中堅(jiān)力量和骨干企業(yè)。加快對(duì)上市民營企業(yè)治理結(jié)構(gòu)調(diào)整，改善上市民營企業(yè)的治理結(jié)構(gòu)，對(duì)于促進(jìn)我國上市民營企業(yè)的健康、穩(wěn)定和可持續(xù)發(fā)展具有重要意義。 論文通過對(duì)國內(nèi)外公司治理理論、現(xiàn)代企業(yè)理論進(jìn)行闡述，，分析了我國上市民營企業(yè)治理結(jié)構(gòu)的現(xiàn)狀和特點(diǎn)，指出我國上市民營企業(yè)存在“所有權(quán)和經(jīng)營權(quán)基本實(shí)現(xiàn)分離；股權(quán)高度集中于創(chuàng)業(yè)者群體，較難形成權(quán)力制衡；企業(yè)內(nèi)部組織結(jié)構(gòu)和運(yùn)行不規(guī)范；獨(dú)立董事和監(jiān)事制度運(yùn)行中存在問題；部分上市民營企業(yè)開始面臨代際傳承問題“等諸多問題。進(jìn)一步闡述了影響我國上市民營企業(yè)治理結(jié)構(gòu)的各種因素并對(duì)其進(jìn)行了分析，同時(shí)結(jié)合案例企業(yè)——遠(yuǎn)東電氣公司的治理結(jié)構(gòu)現(xiàn)狀和存在問題進(jìn)行了分析，提出了完善我國上市民營企業(yè)治理結(jié)構(gòu)的對(duì)策措施，如加強(qiáng)董事會(huì)問責(zé)制；引入機(jī)構(gòu)投資者和職工董事，發(fā)揮監(jiān)事會(huì)的監(jiān)督機(jī)制；實(shí)施核心管理層和技術(shù)層的激勵(lì)機(jī)制；重視企業(yè)文化建設(shè)；通過雙向利他主義增強(qiáng)家族凝聚力，探索出有效控制與職業(yè)化管理相結(jié)合的治理模式。通過以上分析，希望能對(duì)正在探索適合中國公司治理制度的民營企業(yè)家們提供有益的借鑒和參考。
[Abstract]:The private enterprise is a new economic growth body with the deepening of China's reform and opening up, which has played a positive role in the national economy, social development and modernization of our country. The listed private enterprises are the main body of the private enterprises in our country, the backbone and backbone of the development of the private economy, and accelerate the adjustment of the governance structure of the listed private enterprises. Improving the governance structure of listed private enterprises is of great significance to promote the health, stability and sustainable development of listed private enterprises in China. This paper expounds the theory of corporate governance at home and abroad and modern enterprise theory, analyzes the present situation and characteristics of the governance structure of listed private enterprises in China, and points out that there is a separation of ownership and management rights in listed private enterprises in China. The ownership is highly concentrated in the group of entrepreneurs, so it is difficult to form checks and balances of power; the internal organizational structure and operation of the enterprise are not standardized; Some of the listed private enterprises are beginning to face the problems of intergenerational inheritance ". This paper further expounds the various factors that affect the governance structure of listed private enterprises in China, and analyzes the various factors affecting the governance structure of the listed private enterprises in China. At the same time, the paper analyzes the present situation and existing problems of the governance structure of far East Electric Company, and puts forward some countermeasures to perfect the governance structure of listed private enterprises in China, such as strengthening the accountability system of the board of directors; Introducing institutional investors and employee directors, giving full play to the supervisory mechanism of the board of supervisors, implementing the incentive mechanism of the core management and technical levels, attaching importance to the construction of the corporate culture, strengthening the cohesion of the family through two-way altruism, Through the above analysis, we hope to provide useful reference and reference for the private entrepreneurs who are exploring the suitable corporate governance system in China.
