【摘要】：經(jīng)濟(jì)發(fā)展的理論和實(shí)踐證明，股份制是現(xiàn)代企業(yè)制度最重要的資本組織形式，是完善產(chǎn)權(quán)制度和公司治理的有效模式。推進(jìn)股份制改革是農(nóng)村合作金融機(jī)構(gòu)走向現(xiàn)代金融企業(yè)的現(xiàn)實(shí)路徑，成立股份制的農(nóng)村商業(yè)銀行股份有限公司則是條件相對(duì)成熟、商業(yè)化經(jīng)營(yíng)程度較高地區(qū)農(nóng)村信用合作機(jī)構(gòu)的理性選擇。 隨著我國(guó)各金融市場(chǎng)的全面開(kāi)放，農(nóng)村金融市場(chǎng)的競(jìng)爭(zhēng)也將越來(lái)越激烈，在激烈的競(jìng)爭(zhēng)中，農(nóng)商行表現(xiàn)出諸多問(wèn)題。究其原因，主要還是原來(lái)農(nóng)村信用社遺留下來(lái)的體制上的問(wèn)題造成，農(nóng)商行的現(xiàn)有改革還不夠徹底，仍需繼續(xù)深化股份制改革。從經(jīng)濟(jì)市場(chǎng)化和建立現(xiàn)代企業(yè)制度的要求來(lái)看，股份制也是農(nóng)村商業(yè)銀行改革的最佳選擇。 本文運(yùn)用產(chǎn)權(quán)制度理論和公司治理理論，從惠州經(jīng)濟(jì)發(fā)展、農(nóng)信社基本情況、組建依據(jù)等方面對(duì)組建惠州農(nóng)商行的環(huán)境及可行性進(jìn)行了深入的分析，闡述了惠州農(nóng)商行組建后的作用及目標(biāo)定位，，在對(duì)農(nóng)商行存在的共性問(wèn)題及原因分析的基礎(chǔ)上，詳細(xì)分析了惠州農(nóng)商行成立后可能遇到的問(wèn)題及問(wèn)題解決的途徑——股份制改革，探討了有效促進(jìn)惠州農(nóng)商行改革深化的途徑，并對(duì)其上市方案的選擇、股份制改革的預(yù)期效果做了進(jìn)一步的分析。
[Abstract]:The theory and practice of economic development prove that stock system is the most important form of capital organization in modern enterprise system. It is an effective mode to perfect the property right system and corporate governance, and to promote the reform of shareholding system is the realistic path for rural cooperative financial institutions to move towards modern financial enterprises. The establishment of joint-stock rural commercial bank limited company is a rational choice of rural credit cooperative organization with relatively mature conditions and high degree of commercialization. With the overall opening of financial markets in China, the competition in rural financial markets will become more and more fierce. In the fierce competition, the agricultural and commercial banks show many problems. It is mainly caused by the institutional problems left over by the original rural credit cooperatives, and the existing reform of the agricultural and commercial banks is not thorough enough. From the point of view of economic marketization and the requirement of establishing modern enterprise system, shareholding system is also the best choice for the reform of rural commercial banks. Based on the theory of property right system and corporate governance, this paper makes an in-depth analysis on the environment and feasibility of establishing Huizhou agribusiness from the aspects of economic development, basic situation of rural credit cooperatives and basis of establishment. This paper expounds the function and target orientation of Huizhou agribusiness bank after its establishment, on the basis of analyzing the common problems and reasons of the agribusiness bank. This paper analyzes in detail the problems that may be encountered after the establishment of Huizhou agribusiness bank and the way to solve the problem-shareholding system reform, probes into the ways to effectively promote the deepening of the reform of Huizhou agribusiness bank, and the choice of its listing scheme. The expected effect of stock system reform is further analyzed.
