【摘要】:在公司治理中董事會(huì)占據(jù)重要的地位,公司治理水平的高低與董事會(huì)功能的有效發(fā)揮有著密切的關(guān)系,而董事會(huì)結(jié)構(gòu)特征的合理性直接影響著董事會(huì)功能的發(fā)揮水平。董事會(huì)多元化已成為董事會(huì)治理中一個(gè)新的研究領(lǐng)域開(kāi)始獲得國(guó)內(nèi)及國(guó)外學(xué)者積極關(guān)注。隨著經(jīng)濟(jì)的飛速發(fā)展,參與工作的女性越來(lái)越多,并且還逐漸地進(jìn)入到公司的管理崗位,董事會(huì)性別多元化日益成為國(guó)內(nèi)外學(xué)者們研究的焦點(diǎn),在董事會(huì)決策中女性董事的參與會(huì)對(duì)其決策水平和決策效率帶來(lái)一定的影響,最后也會(huì)影響到整個(gè)公司的績(jī)效。目前,國(guó)外許多學(xué)者已經(jīng)開(kāi)始對(duì)影響女性董事積極加入公司治理的因素及其給公司所帶來(lái)的效果進(jìn)行了相關(guān)的研究。在歐美國(guó)家,學(xué)者們已經(jīng)得到了一些關(guān)于女性董事對(duì)公司治理、公司績(jī)效以及公司決策效率影響的結(jié)論,但結(jié)論并非完全相同。然而,我國(guó)學(xué)者們主要是從董事會(huì)的特征和結(jié)構(gòu)兩個(gè)角度著手研究董事會(huì)和公司績(jī)效的關(guān)系,其中包括董事會(huì)人數(shù)、董事長(zhǎng)與總經(jīng)理是否兩職合一、董事會(huì)平均學(xué)歷、董事持股比例和董事會(huì)會(huì)議次數(shù)等。但其中直接對(duì)女性董事與公司績(jī)效關(guān)系的研究較少,而且大多只是對(duì)女性董事特點(diǎn)的論述,也很少考慮到不同行業(yè)間的差異。鑒于此本文選取汽車(chē)制造行業(yè)2006--2014年的43家上市公司的數(shù)據(jù)為研究樣本,在非競(jìng)爭(zhēng)歧視理論、利益相關(guān)理論、委托代理理論、資源依賴(lài)?yán)碚摵凸芾硇袨榈男詣e差異理論的基礎(chǔ)上,運(yùn)用多種方法對(duì)樣本公司的女性董事和公司績(jī)效的關(guān)系進(jìn)行實(shí)證分析與研究。本文內(nèi)容主要分以下幾部分:第一部分緒論。本部分對(duì)全文進(jìn)行簡(jiǎn)要的概括,其中包括研究背景和研究意義、本文的創(chuàng)新點(diǎn)和研究不足以及研究途徑和方法。第二部分研究綜述。首先,總結(jié)了我國(guó)女性董事的發(fā)展現(xiàn)狀及特點(diǎn)分析;其次,對(duì)國(guó)內(nèi)外有關(guān)女性董事特征和公司績(jī)效關(guān)系的研究進(jìn)行闡述;最后進(jìn)行文獻(xiàn)評(píng)述。逡逡第三部分理論基礎(chǔ)。首先結(jié)合國(guó)內(nèi)外的研究成果分別從非競(jìng)爭(zhēng)歧視理論、利益相關(guān)理論、委托代理理論以及資源依賴(lài)?yán)碚撍膫(gè)不同的角度闡述了女性董事對(duì)企業(yè)績(jī)效影響的理論支撐,然后著重闡述了管理行為的性別差異理論,最后對(duì)上述理論進(jìn)行總結(jié)。第四部分實(shí)證研究設(shè)計(jì)。此部分包括研究樣本的選取、研究假設(shè)的提出、變量選擇及其定義以及主成分分析模型和多元回歸模型的建立。第五部分實(shí)證分析。首先對(duì)衡量公司績(jī)效的變量進(jìn)行主成分分析得到公司綜合績(jī)效,其次對(duì)相關(guān)變量展開(kāi)描述性統(tǒng)計(jì)分析、相關(guān)性分析,最后進(jìn)行多元線性回歸分析深入研究女性董事和公司績(jī)效的關(guān)系。第六部分研究結(jié)論及政策建議。根據(jù)前文各部分分析和研究對(duì)實(shí)證分析的結(jié)論進(jìn)行總結(jié)概括,在此基礎(chǔ)上提出相應(yīng)的合理化建議,從而為提高汽車(chē)制造行業(yè)上市公司的績(jī)效提供參考。本文選取汽車(chē)制造行業(yè)2006--2014年上市公司的財(cái)務(wù)數(shù)據(jù)為研究樣本,選取女性董事比例及女性董事平均受教育水平兩個(gè)角度衡量女性董事特征,以公司規(guī)模、股權(quán)制衡度以及資產(chǎn)負(fù)債率為控制變量,研究了女性董事和公司績(jī)效的關(guān)系,得到以下結(jié)論。汽車(chē)制造行業(yè)上市公司女性董事比例和女性董事平均受教育水平都與公司績(jī)效顯著正相關(guān)?梢(jiàn)隨著女性董事的逐漸增多與其學(xué)歷的漸漸提高,公司所掌握的資源也會(huì)漸漸豐富起來(lái),有助于促進(jìn)公司績(jī)效的提高。提醒企業(yè)在進(jìn)行公司治理時(shí)要注重女性董事的引進(jìn)和參與。
[Abstract]:In the corporate governance board occupy an important position, effective level and director level of corporate governance function are closely related, and the rationality of the board structure directly affects the function of the board of directors of the level of play. With the rapid development of economy, more and more women to participate in the work, and also gradually entered into the company's management positions, the board of directors of gender diversity is becoming the focus of research scholars at home and abroad, in the decision of the board of directors in the participation of female directors will have some impact on the decision-making level and the final decision efficiency, but also affect the performance of the company. In western countries, the scholars have obtained some of female directors on corporate governance, corporate performance and efficiency of corporate decision-making influence conclusion, but the conclusion is not exactly the same. However, the scholars in our country are mainly two aspects of the characteristics and structure of the board of directors from the start study on the board of directors and corporate performance relationship, including the number of directors, whether the chairman and general manager of the two level one, the board of directors of the average degree, the proportion of shares held by directors and board meetings. But directly on the relationship between female directors and corporate performance research, and mostly focused on female directors on the characteristics of the. This paper chooses the automobile manufacturing industry 2006--2014 years data of 43 listed companies as the research sample, in the non competitive discrimination theory, Stakeholder theory, principal-agent theory, theory of gender differences in the resource dependence theory and management behavior on the analysis and empirical research on the relationship between the use of various methods of the Sample Firms's female directors and corporate performance. The fifth part of the empirical analysis. Firstly, the principal component analysis to get the comprehensive performance of measure of corporate performance variables, then the related variable expansion descriptive statistical analysis, correlation analysis, and multiple linear regression analysis to study the relationship between female directors and corporate performance. The sixth part is research conclusion and policy according to the above recommendations. Analysis and Research on the conclusions of empirical analysis are summarized, on the basis of this. Reasonable suggestions, so as to provide reference for improving the performance of automobile manufacturing industry listed companies. This paper selects the financial data of automobile manufacturing industry listed companies in 2006--2014 as the research sample, select the proportion of female directors and female directors average education level of two degree angle of female directors characteristics, company size, equity balance degree and the asset liability ratio as control variables, study the relationship between female directors and corporate performance, obtained the following conclusions. Significant positive correlation of automobile manufacturing industry listed companies the proportion of female directors and the average education level of female directors and corporate performance.
