【摘要】：隨著我國經(jīng)濟(jì)建設(shè)的蓬勃發(fā)展，與經(jīng)濟(jì)建設(shè)依依相關(guān)的各項規(guī)章制度日趨完善，各種交易平臺也逐漸走向成熟，而成熟的交易平臺與法律制度又促進(jìn)了經(jīng)濟(jì)的健康和可持續(xù)發(fā)展。但在知識產(chǎn)權(quán)領(lǐng)域，交易平臺的建立還處在摸索開發(fā)階段，與之相對應(yīng)的法律制度還不是很完善，版權(quán)法雖經(jīng)兩次修改，但同我國傳統(tǒng)產(chǎn)業(yè)相比，仍然無法得到法律的強(qiáng)力保護(hù)，所以我國版權(quán)貿(mào)易的發(fā)展仍然滯后。我國在文化產(chǎn)業(yè)特別是版權(quán)交易方面起步晚，交易制度不完善，交易市場也不成熟，在該領(lǐng)域中存在了許多不可預(yù)知法律風(fēng)險。交易行為存在法律風(fēng)險，這一交易行為的發(fā)展必然會受到嚴(yán)重制約，甚至有時會使交易雙方產(chǎn)生重大的經(jīng)濟(jì)損失，法律制度和交易制度的缺失，再加上交易平臺的不完善，很難使版權(quán)交易市場有機(jī)會做大做強(qiáng)。馬克思和恩格斯在《德意志意識形態(tài)》一書中寫到，經(jīng)濟(jì)基礎(chǔ)決定上層建筑，筆者認(rèn)為二者的關(guān)系不僅僅是自下而上的，而是相輔相成的，上層建筑也同樣決定了基礎(chǔ)是否能夠繁榮強(qiáng)盛。2009年7月22日，國務(wù)院會議通過的《文化產(chǎn)業(yè)振興計劃》表明，我國政府已經(jīng)把文化產(chǎn)業(yè)作為我國今后經(jīng)濟(jì)建設(shè)中的重要一環(huán)，在不久的將來，在文化領(lǐng)域內(nèi)中國將再次實現(xiàn)經(jīng)濟(jì)騰飛。版權(quán)交易在整個知識產(chǎn)權(quán)交易體系中，又居于核心的位置，版權(quán)交易市場的成熟度與活躍性，決定了文化產(chǎn)業(yè)的未來。使版權(quán)交易行為與我國現(xiàn)行的法律規(guī)定相結(jié)合，又能令交易雙方各取所需，，建立一個符合中國現(xiàn)有法律制度下的版權(quán)交易平臺已經(jīng)成為當(dāng)今社會的一個重大課題。這一課題的核心就是怎樣完善現(xiàn)有的版權(quán)交易制度，版權(quán)法還需要在哪一方面繼續(xù)進(jìn)行修改完善，使之既符合現(xiàn)有法律規(guī)定，又與實務(wù)操作相吻合，這也是現(xiàn)在知識產(chǎn)權(quán)法律界急需解決的問題。 本文從首先從宏觀上以版權(quán)交易管理機(jī)構(gòu)與版權(quán)交易現(xiàn)狀的方面分析我國版權(quán)交易目前存在的狀況，然后在微觀角度也就是具體的版權(quán)交易實務(wù)操作中，以合同法中關(guān)于交易雙方和合同自由限制的規(guī)定，解析出版權(quán)交易中雙方的法律風(fēng)險以及防范法律風(fēng)險的辦法。最后以版權(quán)交易中常見的問題，與版權(quán)交易合同相對應(yīng)總結(jié)出版權(quán)交易的法律風(fēng)險及如何保護(hù)版權(quán)交易雙方。本人的一點淺薄之見，雖有不足之處，但筆者拋磚在前，希望能夠引玉在后，努力為完善我國版權(quán)交易制度與完善版權(quán)法提供理論依據(jù)。本文大綱如下，首先第一部分為版權(quán)交易管理機(jī)構(gòu)入手，對我國的版權(quán)交易的管理有一個宏觀上的認(rèn)識；第二部分，分析版權(quán)合同中主、客體問題；第三部分對版權(quán)合同中常見的法律風(fēng)險予以分析并總結(jié)出防范的方法；第四部分提出完善我國版權(quán)交易制度的途徑和根據(jù)我國現(xiàn)在版權(quán)交易的特點以及結(jié)合版權(quán)交易先進(jìn)國家的立法經(jīng)驗，提出立法建議，完善我國版權(quán)交易制度，規(guī)避法律風(fēng)險。
[Abstract]:With the vigorous development of our country's economic construction, the rules and regulations related to economic construction are becoming more and more perfect, and various trading platforms are gradually maturing.The mature trading platform and legal system promote the healthy and sustainable development of economy.However, in the field of intellectual property rights, the establishment of the trading platform is still in the stage of exploration and development, and the corresponding legal system is not very perfect. Although the copyright law has been amended twice, it is compared with the traditional industries in our country.Still can not get the strong protection of the law, so the development of China's copyright trade is still lagging behind.In China, the cultural industry, especially the copyright trade, started late, the trading system is not perfect, and the trading market is not mature. There are many unpredictable legal risks in this field.There are legal risks in transaction behavior, and the development of this transaction behavior is bound to be seriously restricted, and sometimes the two sides of the transaction will suffer great economic losses, the lack of legal system and trading system, and the imperfection of trading platform.It's hard to make the copyright market bigger and stronger.Marx and Engels wrote in "German ideology" that the economic base determines the superstructure. The author thinks that the relationship between them is not only bottom-up, but complementary.The superstructure also determines whether the foundation can flourish or not. The "Cultural Industry Revitalization Plan" adopted by the State Council meeting on July 22, 2009, shows that the Chinese government has made cultural industry an important part of our country's economic construction in the future.In the near future, China will achieve another economic boom in the field of culture.Copyright transaction occupies the core position in the whole intellectual property transaction system. The maturity and activity of copyright trading market determine the future of cultural industry.It has become an important subject in our society to combine the copyright trading behavior with the current laws and regulations of our country, and to make both sides of the transaction obtain their own needs. Therefore, it has become an important issue to establish a copyright trading platform in line with the existing legal system of China.The core of this subject is how to perfect the existing copyright trading system, which aspects of copyright law need to continue to be modified and perfected, so that it not only conforms to the existing laws and regulations, but also accords with the practical operation.This is also the intellectual property legal profession needs to solve the problem.This paper first analyzes the current situation of copyright transactions in China from the aspects of the copyright transaction management agencies and the current situation of copyright transactions from the macro perspective, and then in the micro perspective, that is, in the specific practice of copyright transactions,This paper analyzes the legal risks of both parties in the transaction of publishing rights and the ways to guard against the legal risks according to the provisions of the contract law concerning the parties to the transaction and the restrictions on the freedom of the contract.Finally, this paper summarizes the legal risk of publishing right transaction and how to protect both parties by the common problems in copyright transaction.My shallow view, although there are shortcomings, but the author cast bricks in the front, hoping to lead to jade behind, and strive to improve our copyright trading system and improve copyright law to provide a theoretical basis.The main contents of this paper are as follows: the first part is the management agency of copyright transaction, the first part is the management of copyright transaction in China, the second part is the analysis of the subject and object problems in the copyright contract.The third part analyzes the common legal risks in copyright contract and summarizes the methods of prevention.The fourth part puts forward the way to perfect the copyright trading system of our country, according to the characteristics of the copyright transaction in our country and the legislative experience of the advanced countries of the copyright transaction, puts forward the legislative suggestion, consummates the copyright trading system of our country, avoids the legal risk.
