【摘要】：農(nóng)村股份合作組織治理機(jī)制作為農(nóng)村改革的一項重要內(nèi)容,對農(nóng)村地區(qū)的繁榮發(fā)展,對農(nóng)民群眾權(quán)益尤其是財產(chǎn)性權(quán)益的增加,對我國農(nóng)業(yè)的穩(wěn)定都具有舉足輕重的意義。本文選取農(nóng)村股份合作組織的重要維度—治理機(jī)制,從法律的角度切入,綜合運(yùn)用文獻(xiàn)研究法、問卷調(diào)研法、實地走訪法等研究方法,運(yùn)用邏輯思維、案例分析等分析工具,詳述了改革后的農(nóng)村股份合作組織治理機(jī)制的運(yùn)作和完善方式。由于國家城鎮(zhèn)化進(jìn)程不斷加快,原有的組織治理機(jī)制已經(jīng)與經(jīng)濟(jì)發(fā)展水平不相配套,農(nóng)村股份合作組織治理機(jī)制的改革正是在此情況下應(yīng)運(yùn)而生。筆者在對國內(nèi)外文獻(xiàn)資料進(jìn)行梳理,對專家學(xué)者們的觀點(diǎn)進(jìn)行評述后,展開對農(nóng)村股份合作組織治理機(jī)制基本理論的闡述,對農(nóng)村股份合作組織、治理機(jī)制等相關(guān)概念進(jìn)行解釋,對改革的模式、進(jìn)程和發(fā)展趨勢進(jìn)行分析。在治理機(jī)制的研究中,我們分為內(nèi)部治理和外部治理兩個方向,分別加以敘述,在筆者切實參與的調(diào)研基礎(chǔ)上,對調(diào)查問卷采用SPSS、EXCLE進(jìn)行整合,得出相關(guān)的結(jié)論,對股權(quán)類型、登記注冊、利潤分配、表決機(jī)制等提供法理的分析。在外部治理中,政商合一、財務(wù)管理、領(lǐng)導(dǎo)機(jī)構(gòu)設(shè)置及其職能劃分、與村民委員會等相關(guān)主體關(guān)系的協(xié)調(diào)都是筆者重點(diǎn)闡述的內(nèi)容。通過論文前半部分的敘述,我們對農(nóng)村股份合作組織治理機(jī)制有了更加清晰的認(rèn)識,對組織治理機(jī)制的難點(diǎn)和瓶頸有了更具象更深入的了解。在詳述了內(nèi)外部治理中存在的問題之后,筆者大量翻閱法律法規(guī),對國內(nèi)外十幾部典型相關(guān)的法律條文進(jìn)行概述,在所述的法律法規(guī)中,既有英美法系的判例法,也有大陸法系的成文法,在主體的選擇上,既有公司、農(nóng)業(yè)合作社,也有其他農(nóng)業(yè)經(jīng)營組織,力求將農(nóng)村股份合作組織可選的模式都納入囊中。外部治理由于組織的特殊性與新穎性,更多的體現(xiàn)了我國的社情民意和時代的特征,法律法規(guī)對此部分借鑒意義不大,因而筆者重點(diǎn)分析了有關(guān)內(nèi)部治理的法律條文。最后,筆者提出了關(guān)于組織治理機(jī)制的立法構(gòu)想,在闡述立法的必要性以及立法形式的基礎(chǔ)上,提出了法律需要重點(diǎn)回答的問題,組織的內(nèi)外部治理立法建議,明確新生兒可以獲得股權(quán),土地不能納入折股量化的范圍、取消集體股的設(shè)置、建立統(tǒng)一的股權(quán)交易平臺、對村集體資產(chǎn)進(jìn)行清核。筆者提出自己的見解,以期引起相關(guān)部門的重視,加快組織治理機(jī)制立法工作的開展,也期能夠為農(nóng)村股份合作組織治理機(jī)制的立法完善貢獻(xiàn)自己微薄的力量。
[Abstract]:As an important part of rural reform, the governance mechanism of rural joint-stock cooperative organizations increases the prosperity and development of rural areas, the rights and interests of farmers, especially the property rights and interests. This paper selects the important dimension of the rural stock cooperative organization-governance mechanism, from the angle of law, synthetically applies the literature research method, the questionnaire investigation method, Field visits and other research methods, using logical thinking, case analysis and other analytical tools, detail the operation and perfection of the governance mechanism of the rural joint-stock cooperative organization after the reform. As the process of national urbanization continues to accelerate, The original organizational governance mechanism has not been matched with the level of economic development, and the reform of the governance mechanism of the rural joint-stock cooperative organization has emerged as the times require. After reviewing the views of the experts and scholars, the paper expounds the basic theory of the governance mechanism of the rural stock cooperative organization, explains the related concepts, such as the rural stock cooperative organization, the governance mechanism, and the mode of the reform. In the research of governance mechanism, we are divided into two directions, internal governance and external governance, respectively. On the basis of the author's effective participation in the investigation, the questionnaire is integrated with SPSS-EXCLE. Draw relevant conclusions, provide legal analysis on equity type, registration, profit distribution, voting mechanism, etc. In external governance, integration of government and business, financial management, establishment of leading organization and division of its functions, etc. The coordination of the relationship with the villagers' committee and other related subjects is the content of the author's emphases. Through the description of the first half of the paper, we have a clearer understanding of the governance mechanism of the rural joint-stock cooperative organization. We have a more concrete and deeper understanding of the difficulties and bottlenecks of the organizational governance mechanism. After detailing the problems existing in the internal and external governance, the author reviews a large number of laws and regulations, and summarizes more than a dozen typical relevant legal provisions at home and abroad. Among the laws and regulations in question, there are both the case law of the Anglo-American legal system and the statutory law of the Civil Law system. In the choice of subjects, there are companies, agricultural cooperatives, and other agricultural management organizations. The external governance, due to the particularity and novelty of the organization, more embodies the social sentiment and the characteristics of the times in our country, and the laws and regulations are of little significance to this part. Finally, the author puts forward the legislative conception about the mechanism of organizational governance, on the basis of expounding the necessity of legislation and the form of legislation. Put forward the key questions that the law needs to answer, the legislative suggestion of the internal and external governance of the organization, make it clear that newborns can obtain equity, land can not be included in the scope of quantification of stock exchange, cancel the setting up of collective shares, and establish a unified equity trading platform. The author puts forward his own opinions in order to arouse the attention of the relevant departments and accelerate the development of the legislative work of the organizational governance mechanism. Also can contribute their own meagre strength to the improvement of the governance mechanism of rural stock cooperative organization.
