【摘要】：正一、企業(yè)社會(huì)責(zé)任在商法中的發(fā)展與演進(jìn)(一)企業(yè)社會(huì)責(zé)任在不同發(fā)展階段的理論基礎(chǔ)與話語(yǔ)主張從20世紀(jì)20年代美國(guó)學(xué)者歐利文·謝爾頓(Oliver Sheldon)首次提出企業(yè)社會(huì)責(zé)任概念到20世紀(jì)五六十年代諸多經(jīng)濟(jì)學(xué)家、法學(xué)家、社會(huì)學(xué)家如多德(EmerrickDodd)、伯利(AdolfA.Berle)、曼尼(HenryG.Manne)、弗里德曼(Milton Friedman)一系列著名的論戰(zhàn),再到70年代企業(yè)社會(huì)回應(yīng)的主流態(tài)度和80年代利益相關(guān)者理論的集成,最后到21世紀(jì)初企業(yè)公民理論的匯流,企業(yè)社會(huì)責(zé)任在不同發(fā)展階段具有不同的理論基礎(chǔ)和話語(yǔ)主張。有學(xué)者梳理了該發(fā)展演進(jìn)軌跡,認(rèn)為企業(yè)社會(huì)責(zé)任理論在發(fā)展過(guò)程中經(jīng)歷了三個(gè)階段:第一階段(20世紀(jì)三四十年代),主要探討企業(yè)經(jīng)營(yíng)者的職能問(wèn)題;第二階段(20世紀(jì)五六十年代),主要探討企業(yè)的慈善捐贈(zèng)問(wèn)題和深化經(jīng)營(yíng)者社會(huì)責(zé)任職能;第三階段(20世紀(jì)70年代之后),按70年代、80年代和90年代劃分主要探討的問(wèn)題焦點(diǎn)依次為企
[Abstract]:One, The Development and Evolution of Corporate Social responsibility in Commercial Law (1) the theoretical basis and discourse of Corporate Social responsibility in different stages of Development from the 1920s American scholar Irving Shelton (Oliver Sheldon) first proposed enterprise The concept of social responsibility to many economists in the 1950s and 1960s, Jurists, sociologists such as Dode (EmerrickDodd), Burley (AdolfA.Berle), HenryG.Manne, Friedman (Milton Friedman), a series of famous controversies, Then in the 1970s, the mainstream attitude of corporate social response and the integration of stakeholder theory in 1980s, and finally to the confluence of corporate citizenship theory at the beginning of the 21st century, corporate social responsibility has different theoretical basis and discourse views at different stages of development. Some scholars combed the evolution track of the development and thought that the theory of corporate social responsibility had gone through three stages in the development process: the first stage (1930s and 1940s), mainly discussed the function of business managers; The second stage (fifties and sixties of the 20th century) mainly discusses the philanthropic donation of enterprises and deepens the social responsibility function of managers. In the third stage (after the 1970s), according to the 1970s, 80's and 90's, the main focus of the discussion is the enterprises.
