船舶融資租賃相關(guān)法律問題研究

【摘要】: 船舶融資租賃是指由船舶出租人根據(jù)船舶承租人選定的船舶(或船舶的建造技術(shù)標準)和船舶賣方,分別與船舶承租人和船舶賣方簽訂船舶融資租賃合同和船舶買賣合同,向船舶賣方購買船舶,出租給船舶承租人使用,船舶承租人支付租金的交易。應(yīng)實踐的需要,船舶融資租賃形式多樣,包括直接融資租賃、轉(zhuǎn)租賃、回租賃、杠桿租賃等多種形式;诖叭谫Y租賃立法和實踐,筆者對船舶融資租賃的法律關(guān)系進行逐一解構(gòu),總結(jié)出其主體、客體、內(nèi)容和流程上的特點及其相關(guān)法律問題。 船舶融資租賃的主體跨金融服務(wù)行業(yè)與航運業(yè)。針對該特點,筆者對國內(nèi)和國際金融監(jiān)管立法及其對船舶融資租賃的正負影響進行了分析,對航運業(yè)的高風險特點及如何控制這些給船舶融資租賃帶來的負面影響作了研究。 船舶融資租賃的客體  船舶屬于特殊動產(chǎn)。程序方面的特殊之處在于其權(quán)利狀態(tài)須以相應(yīng)登記方式取得對抗第三人的效力,該特點給船舶融資租賃場合下如何對船舶進行登記提出了難題。針對目前立法和實踐中以光船租賃進行登記的做法,筆者提出了不同看法。實體方面的特殊之處在于船舶不菲的價值以及漫長的投資回收期,該特點使得投資者輕易不敢涉足船舶投融資領(lǐng)域。因此,各國的船舶投融資立法及相關(guān)政策對于吸引投資者眼球顯得尤為關(guān)鍵。筆者對國內(nèi)外船舶投融資相關(guān)立法和特殊政策進行了比較研究。 船舶融資租賃的內(nèi)容  各主體之間的權(quán)利義務(wù)關(guān)系具有不對稱性。這種特點導(dǎo)致船舶出租人的所有權(quán)受到諸多海商法上的特殊限制。筆者對其加以分析,并提出了解決方案。 船舶融資租賃的交易流程復(fù)雜,從船舶建造、船舶買賣、船舶貸款、船舶登記、船舶運營,一直到最后各方利潤回收,所涉環(huán)節(jié)眾多,且環(huán)環(huán)相扣。針對這種復(fù)雜的程序,國際上有一些被普遍采用的高級船舶融資租賃模式。筆者結(jié)合中國法律和市場的現(xiàn)狀,研究了其中最為流行的德國KG船舶融資租賃模式的可借鑒性。 最后,筆者在相關(guān)法律問題的基礎(chǔ)上,對我國的船舶融資租賃相關(guān)立法提出了自己的一點思考和建議,目的即在于促進國內(nèi)船舶融資租賃業(yè)的發(fā)展與繁榮。
[Abstract]:Ship financing lease means that the shipowner, in accordance with the ship chosen by the charterer (or the technical standard for the construction of the ship) and the seller of the ship, shall sign the ship financing lease contract and the ship sale contract with the ship charterer and the ship seller, respectively. The purchase of a ship from a seller, the lease to the charterer, and the payment of rent by the charterer. According to the need of practice, the forms of ship finance lease are various, including direct finance lease, sublease, back lease, lever lease and so on. Based on the legislation and practice of ship finance lease, the author deconstructs the legal relationship of ship finance lease one by one, and summarizes the characteristics of its subject, object, content, process and related legal problems. The main body of ship finance lease cross financial service industry and shipping industry. In view of this, the author analyzes the domestic and international financial regulation legislation and its positive and negative effects on ship finance lease, and studies the high risk characteristics of shipping industry and how to control the negative effects on ship finance lease. The object of ship financing lease belongs to special movable property. The special aspect of procedure lies in the fact that the state of rights must be registered in a corresponding way to achieve the effectiveness against the third party. This feature puts forward a difficult problem on how to register a ship in the context of a ship's financial lease. Aiming at the practice of bareboat charter registration in legislation and practice at present, the author puts forward different views. The special aspect of the entity lies in the high value of the ship and the long payback period, which makes it easy for investors to venture into the field of ship investment and financing. Therefore, the ship investment and financing legislation and related policies are particularly critical to attracting investors' attention. The author has carried on the comparative research to the domestic and foreign ship investment and financing related legislation and the special policy. The content of ship financing lease has asymmetry in the relationship between rights and obligations. This characteristic causes the shipowner's ownership to be subjected to many special restrictions on maritime law. The author analyzes it and puts forward the solution. The transaction process of ship financing lease is complex, from ship construction, ship trading, ship loan, ship registration, ship operation, to the final profit recovery, there are many links involved, and they are linked together. In response to this complicated procedure, there are a number of advanced ship finance leasing models that are widely used internationally. Based on the current situation of Chinese law and market, the author studies the model of KG ship finance lease in Germany. Finally, on the basis of the relevant legal issues, the author puts forward some thoughts and suggestions on the legislation of ship financing lease in China, which aims at promoting the development and prosperity of the domestic ship financing lease industry.
