【摘要】： 當(dāng)前,第三方支付方式發(fā)展迅猛,創(chuàng)新不斷,在給電子商務(wù)帶來福音的同時,也給監(jiān)管方帶來了前所未有的挑戰(zhàn)。本文針對當(dāng)前我國在這一領(lǐng)域欠缺法律規(guī)制的現(xiàn)實(shí),警示和呼吁監(jiān)管方在第三方支付方式的發(fā)展初期就規(guī)范其行為,制定出相應(yīng)的監(jiān)管措施,使其走上良性發(fā)展的軌道。 本文在對問題進(jìn)行辯證思維的基礎(chǔ)上,運(yùn)用民法、商法和行政法等相關(guān)法律理論,與實(shí)際相結(jié)合,綜合采取了歸納、比較等研究方法,分析了第三方支付方式中的法律關(guān)系,重點(diǎn)探討了第三方支付方式中可能存在的各種法律風(fēng)險(xiǎn),尤其圍繞第三方支付機(jī)構(gòu)的法律地位性質(zhì)等問題展開了論述。借鑒國外先進(jìn)監(jiān)管模式的經(jīng)驗(yàn),結(jié)合國內(nèi)實(shí)際,文章提煉出了兩個法制監(jiān)管重點(diǎn),即加強(qiáng)對第三方支付機(jī)構(gòu)的監(jiān)管和對第三方支付交易過程的規(guī)范。結(jié)論部分提出了立法建議:在明確監(jiān)管方主體的前提下,深入研究《支付清算組織管理辦法》,重點(diǎn)加強(qiáng)對第三方支付機(jī)構(gòu)的監(jiān)管;加快制定《電子支付指引(第二號)》,重點(diǎn)規(guī)范第三方支付交易業(yè)務(wù)過程,并完善相關(guān)的一系列法制規(guī)范的建設(shè)。
[Abstract]:At present, third-party payment is developing rapidly and innovating constantly, which not only brings good news to e-commerce, but also brings unprecedented challenges to regulators. In view of the fact that our country lacks legal regulation in this field at present, this paper warns and appeals to regulators to standardize their behavior in the early stage of the development of third-party payment methods, and formulate corresponding regulatory measures to make them go on the track of benign development. On the basis of dialectical thinking on the problem, this paper uses the relevant legal theories such as civil law, commercial law and administrative law, combines with practice, synthetically adopts the research methods of induction and comparison, and analyzes the legal relations in the way of third party payment. This paper focuses on the possible legal risks in third-party payment, especially on the nature of the legal status of third-party payment institutions. Referring to the experience of foreign advanced supervision mode and combining with domestic practice, this paper abstracts two key points of legal supervision, that is, strengthening the supervision of third-party payment institutions and standardizing the transaction process of third-party payment. The conclusion part puts forward legislative suggestions: on the premise of defining the main body of the supervisor, we should deeply study the Management measures of the Organization of payment and Clearing, and focus on strengthening the supervision of the third-party payment organizations; Speed up the formulation of Electronic payment guidelines (No. 2), focus on the regulation of third-party payment transactions, and improve the construction of a series of related legal norms.
