【摘要】： 清末商事立法是整個清末修律活動中不可或缺的重要組成部分,也是中國近代商事立法史上的首次立法嘗試。作為一次具有劃時代意義的立法實踐,其所產(chǎn)生的深遠影響是不容小覷的。清末商事立法開啟了中國法制的嶄新局面,為近代以后的商事法制奠定了基礎(chǔ)。它的不足和缺陷也給了我們今天的商事法制建設(shè)以寶貴的經(jīng)驗和教訓。為了能夠科學合理地評價和定位此次立法的歷史價值,本文從法律史學的角度,對這段立法進行了較為全面地回顧和考察,對所涉及到的主要方面,包括立法的社會思想背景、具體的立法實踐以及特點和歷史影響等,均給予了關(guān)注和闡述,旨在理清有關(guān)于此次商事立法的前后線索,把握住當時的時代脈絡(luò),以期對這場立法能有一個較為全面的考察。
[Abstract]:The commercial legislation of the late Qing Dynasty is an indispensable part of the law revision activities in the late Qing Dynasty, and it is also the first legislative attempt in the history of modern Chinese commercial legislation. As an epoch-making legislative practice, its profound influence should not be underestimated. The commercial legislation of the late Qing Dynasty opened the new situation of China's legal system and laid a foundation for the commercial legal system after modern times. Its shortcomings and defects also give us valuable experience and lessons in the construction of commercial legal system today. In order to evaluate and position the historical value of this legislation scientifically and reasonably, this paper reviews and inspects the legislation from the angle of legal history, and discusses the main aspects involved, including the social and ideological background of the legislation. The specific legislative practice, characteristics and historical influence have been paid attention to and expounded in order to clear up the clues before and after the commercial legislation, grasp the context of the times at that time, and hope to have a more comprehensive investigation of the legislation.
