【摘要】：通過設(shè)定建造中船舶抵押權(quán)進(jìn)行融資在國際上已經(jīng)成為普遍的做法，1《中華人民共和國海商法》僅在第14條規(guī)定了建造中的船舶可以設(shè)定抵押權(quán)，而《建造中船舶抵押融資辦法》對(duì)于相關(guān)問題也缺乏具體的規(guī)定。因此我國通過設(shè)定建造中船舶抵押權(quán)進(jìn)行融資，因法律的局限和不完善，在實(shí)踐中效果并不理想，面臨的主要問題有：建造中船舶的含義和標(biāo)的范圍不明確，，建造中的船舶所有權(quán)的歸屬如何確定，將建造中船舶抵押人的范圍限定為建造方是否合理，傳統(tǒng)的船舶抵押權(quán)實(shí)現(xiàn)方式對(duì)于建造中船舶抵押權(quán)的實(shí)現(xiàn)是否適用，是否能夠最大程度保護(hù)抵押權(quán)人的利益，國外讓與擔(dān)保制度以及浮動(dòng)抵押中接管人制度對(duì)建造中船舶抵押權(quán)的實(shí)現(xiàn)條件和方式的規(guī)定是否值得借鑒等等。 針對(duì)這些問題，本文通過比較分析的方法，在借鑒國外相關(guān)的法律規(guī)定，以及學(xué)者們的相關(guān)研究成果，對(duì)建造中船舶抵押融資遇到的相關(guān)法律問題進(jìn)行分析研究，并提出相應(yīng)的意見，希望對(duì)我國建造中船舶抵押融資有所助益。
[Abstract]:Financing through the creation of mortgage rights for ships under construction has become a common practice in the world. [1] the Maritime Law of the people's Republic of China provides only in Article 14 that a ship under construction may create a mortgage. The method of mortgage financing for ships under construction also lacks specific provisions for related problems. Therefore, because of the limitation and imperfection of the law, the effect is not ideal in practice. The main problems are: the meaning and the scope of the ship under construction are not clear. How to determine the ownership of the ship under construction, how to limit the scope of the mortgagor of the ship under construction to whether the constructor is reasonable or not, and whether the traditional way of realizing the mortgage of the ship is applicable to the realization of the mortgage of the ship under construction. Whether the interests of mortgagee can be protected to the greatest extent, whether the foreign transfer guarantee system and the provisions of the receiver system in floating charge on the conditions and ways of realizing the mortgage of ships under construction are worth drawing lessons from and so on. In view of these problems, this paper, by means of comparative analysis, analyzes and studies the relevant legal problems encountered in ship mortgage financing under construction by referring to the relevant laws and regulations of foreign countries, as well as the relevant research results of scholars. The corresponding suggestions are put forward in the hope that it will be helpful to the mortgage financing of ships under construction in our country.
