【摘要】：在近代中國,商會扮演著工商制度安排和變遷的參與者角色,具有制度供給和需求雙重身份的性質(zhì)和特征。商會參與公司立法取決于內(nèi)外因的交互作用:商會本身所具有的參與法制現(xiàn)代化所必需的基本素質(zhì)和能力是其參與立法的根本前提;而政府對商會的職能定位是影響商會參與程度和效果的重要因素。商會通過自擬商法活動和其他參與形式,積極推動公司立法的健全完善,從而改變了中國傳統(tǒng)的單一主體(政府)立法模式。國家力量與民間力量的交互作用,決定了近代中國公司制度移植具有以強制性為主、誘致性為輔的制度變遷特質(zhì)。
[Abstract]:In modern China, the chamber of commerce plays the role of a participant in the arrangement and change of the industrial and commercial system, which has the nature and characteristics of the dual identity of system supply and demand. The participation of the chamber of Commerce in corporate legislation depends on the interaction of internal and external causes: the basic qualities and abilities necessary for the chamber of commerce itself to participate in the modernization of the legal system are fundamental to its participation in the legislation. The function of the government to the chamber of commerce is an important factor affecting the degree and effect of the chamber of Commerce. The chamber of commerce actively promotes the perfection of the legislation of the company through the self-made commercial law activities and other forms of participation, thus changing the traditional Chinese legislative model of the single subject (Government). The interaction between the state power and the folk forces has been determined. The transplantation of corporate system in modern China has the characteristics of institutional change which is mainly coercive and induced.
