【摘要】：在近代中國(guó),商會(huì)扮演著工商制度安排和變遷的參與者角色,具有制度供給和需求雙重身份的性質(zhì)和特征。商會(huì)參與公司立法取決于內(nèi)外因的交互作用:商會(huì)本身所具有的參與法制現(xiàn)代化所必需的基本素質(zhì)和能力是其參與立法的根本前提;而政府對(duì)商會(huì)的職能定位是影響商會(huì)參與程度和效果的重要因素。商會(huì)通過自擬商法活動(dòng)和其他參與形式,積極推動(dòng)公司立法的健全完善,從而改變了中國(guó)傳統(tǒng)的單一主體(政府)立法模式。國(guó)家力量與民間力量的交互作用,決定了近代中國(guó)公司制度移植具有以強(qiáng)制性為主、誘致性為輔的制度變遷特質(zhì)。
[Abstract]:In modern China, the Chamber of Commerce plays the role of participant in the arrangement and change of industrial and commercial institutions, and has the nature and characteristics of the dual identity of institutional supply and demand. The participation of the Chamber of Commerce in corporate legislation depends on the interaction of internal and external factors: the basic quality and ability of the Chamber of Commerce itself to participate in the modernization of the legal system is the fundamental premise of its participation in the legislation; The government's function orientation is an important factor to influence the degree and effect of chamber of commerce participation. The Chamber of Commerce actively promotes the perfection of corporate legislation through self-drafting commercial law activities and other forms of participation, thus changing the traditional single subject (government) legislative model in China. The interaction between national power and folk power determines that modern Chinese corporate system transplantation has the characteristics of institutional change, which is mainly mandatory, supplemented by inducement.
