電子提單實現(xiàn)流通性的法律研究

【摘要】: 提單已經(jīng)成為國際貿(mào)易與國際航運的基石,尤其是其作為物權(quán)憑證的功能,極大地促進了國際貿(mào)易從實物交易向單證交易的轉(zhuǎn)變,為國際貿(mào)易的繁榮奠定了良好的法律基礎(chǔ)。但是,傳統(tǒng)提單具有周轉(zhuǎn)速度慢,易于欺詐等缺點。為了改變這一狀況,隨著電子商務(wù)全球化的發(fā)展,電子提單開始應(yīng)用于實踐,航運界相繼進行了SeaDocs項目以及Bolero機制的嘗試,在立法層面上,國際海事委員會于1990年通過了《電子提單規(guī)則》,國際海事委員會以及聯(lián)合國貨物貿(mào)易法委員會從2001年開始共同起草聯(lián)合國運輸法公約草案,目的是為了統(tǒng)一運輸法的各項規(guī)則,這些努力都對電子提單的廣泛使用提供了有利條件。 雖然電子提單可以極大的節(jié)約人力成本,加快提單流轉(zhuǎn)的速度,利用加密技術(shù)來保證提單的真實性,有效的杜絕各種詐騙活動,但是要使電子提單完全的取代傳統(tǒng)的紙面提單制度仍然存在很多障礙,而國際上目前也沒有建立起統(tǒng)一的電子提單法律規(guī)范,因此,本文試圖通過分析國際上已有的電子提單立法或者商業(yè)實踐來探究如何構(gòu)建電子提單流通性的法律制度。 基于電子提單在形式上大大有別于紙面提單,本文先對電子提單的定義做了探討,指出電子提單真正實現(xiàn)紙面提單的傳統(tǒng)功能可能會遇到何種法律障礙。然后,具體介紹了1983年的SeaDocs項目、1990年的CMI電子提單規(guī)則和1999年的Bolero電子提單機制的具體內(nèi)容,分析了上述項目的成功或者失敗的原因,接著就目前正在審議通過的聯(lián)合國國際運輸法公約草案中有關(guān)電子提單的相關(guān)規(guī)定進行進一步的分析和探討,指出現(xiàn)有草案中的不足之處。 本文同樣介紹了我國在海商法領(lǐng)域?qū)﹄娮犹釂蔚氖褂靡约傲⒎ㄇ闆r,最后就電子提單實現(xiàn)流通性的法律機制的構(gòu)建提出一點建議,期望國際以及國內(nèi)立法機構(gòu)能夠充分借鑒電子提單商業(yè)實踐中成功的經(jīng)驗和失敗的教訓(xùn),肯定電子提單的法律地位,制訂完善的電子提單流通機制,適應(yīng)航運界信息化的需求。
[Abstract]:Bill of lading has become the cornerstone of international trade and international shipping, especially its function as a document of rem, which has greatly promoted the transformation of international trade from physical transaction to document transaction, and has laid a good legal foundation for the prosperity of international trade. However, the traditional bill of lading has the shortcomings of slow turnover, easy to cheat and so on. In order to change this situation, with the development of electronic commerce globalization, electronic bill of lading began to be applied in practice, shipping industry has carried out SeaDocs project and Bolero mechanism, in the legislative level, The International Maritime Committee adopted the rules on Electronic Bills of Lading in 1990, and the International Maritime Committee and the United Nations Commission on goods Trade Law have jointly prepared the draft United Nations Convention on Transport Law since 2001, with a view to harmonizing the rules of transport law, These efforts have provided favourable conditions for the widespread use of electronic bills of lading. Although electronic bills of lading can greatly save human costs, speed up the flow of bills of lading, use encryption technology to ensure the authenticity of bills of lading, effectively eliminate all kinds of fraud activities. However, there are still many obstacles to make electronic bill of lading completely replace the traditional paper bill of lading system, and there is no uniform legal norm of electronic bill of lading in the world, so, This paper attempts to explore how to construct the circulating legal system of electronic bill of lading by analyzing the legislation or commercial practice of electronic bill of lading in the world. Based on the fact that the form of electronic bill of lading is greatly different from that of paper bill of lading, this paper first discusses the definition of electronic bill of lading, and points out what kind of legal obstacles electronic bill of lading may meet in realizing the traditional function of paper bill of lading. Then, it introduces the SeaDocs project of 1983, the rules of CMI electronic bill of lading in 1990 and the mechanism of Bolero electronic bill of lading in 1999, and analyzes the reasons for the success or failure of the above project. Then it makes further analysis and discussion on the relevant provisions of the draft United Nations Convention on International Transport Law concerning electronic bills of lading, and points out the shortcomings of the existing draft. This paper also introduces the use and legislation of electronic bill of lading in the field of maritime law in China. Finally, some suggestions are put forward on the construction of legal mechanism for realizing circulation of electronic bill of lading. It is expected that the international and domestic legislatures can draw lessons from the successful experience and failure of the commercial practice of electronic bill of lading, affirm the legal status of the electronic bill of lading, formulate a perfect circulation mechanism of the electronic bill of lading, and adapt to the needs of the informationization of the shipping industry.
