公司經(jīng)理權(quán)法律規(guī)制研究

【摘要】: 公司經(jīng)理制度在現(xiàn)代公司法人治理結(jié)構(gòu)中具有重要地位,而經(jīng)理權(quán)問題是經(jīng)理法律制度的核心問題。隨著公司規(guī)模的巨型化發(fā)展,所有權(quán)和控制權(quán)的分離,職業(yè)經(jīng)理人員在公司法人治理結(jié)構(gòu)中發(fā)揮著越來越重要的作用,經(jīng)理人員權(quán)力增大而帶來的經(jīng)理專政、代理風(fēng)險和內(nèi)部人控制等經(jīng)理問題也日益嚴重。如何對公司經(jīng)理權(quán)從法律的角度進行有效規(guī)制,成為一個公司法甚至民商法必須作出回應(yīng)的現(xiàn)實問題。在國外,大陸法系國家都十分重視經(jīng)理權(quán)的法律界定,有關(guān)經(jīng)理權(quán)的研究和立法都十分活躍,形成了民商法典與專門公司法律法規(guī)雙重調(diào)整的格局;在英美法系,在普通法和判例法中都含有豐富的經(jīng)理權(quán)制度規(guī)則。反觀我國,《民法通則》中沒有經(jīng)理權(quán)制度的相關(guān)規(guī)定,而《公司法》關(guān)于經(jīng)理權(quán)制度的規(guī)定過于粗糙,只對經(jīng)理職權(quán)做了列舉式的規(guī)定,對經(jīng)理權(quán)行使方式等實務(wù)中迫切需要解決的問題沒有作出相應(yīng)規(guī)定,并沒有形成系統(tǒng)的經(jīng)理權(quán)制度,不能對公司實踐中經(jīng)理權(quán)進行有效規(guī)制。本文旨在進一步廓清經(jīng)理在公司法人治理結(jié)構(gòu)中的地位,經(jīng)理權(quán)的權(quán)能結(jié)構(gòu)和運行一般規(guī)則,以期立法對經(jīng)理權(quán)制度的進一步完善。 引言部分介紹了經(jīng)理權(quán)制度在公司治理結(jié)構(gòu)中的重要地位,以及經(jīng)理問題的由來,研究經(jīng)理權(quán)法律問題的理論和實踐意義。 第一章主要考察經(jīng)理概念和國外經(jīng)理制度概況,對經(jīng)理在公司中的地位做一廓清。 第二章考察經(jīng)理權(quán)的一般理論基礎(chǔ),包括經(jīng)理權(quán)的授予,經(jīng)理權(quán)的行使和經(jīng)理權(quán)的解除等內(nèi)容。 第三章考察經(jīng)理權(quán)的權(quán)能,包括宏觀內(nèi)容與具體職權(quán),以及兩大法系對經(jīng)理權(quán)限制的方式。 第四章結(jié)合我國《公司法》在2005年的修改情況和現(xiàn)狀,指出了我國經(jīng)理制度存在的種種問題,并提出了自己的修改意見。
[Abstract]:The company manager system plays an important role in the modern corporate governance structure, and the manager's right is the core issue of the manager's legal system.With the development of corporate scale and the separation of ownership and control, professional managers play an increasingly important role in the corporate governance structure.Agency risk and insider control and other managers are also increasingly serious.How to regulate the company manager's right from the angle of law has become a realistic problem that the company law and even the civil and commercial law must respond to.In foreign countries, civil law countries attach great importance to the legal definition of manager's right, and the research and legislation on manager's right are very active, forming a dual adjustment pattern of civil and commercial law code and special company law and regulations.Both the common law and the case law contain rich rules of the managerial power system.In contrast, in China, there are no relevant provisions on the system of manager's right in the General principles of Civil Law, while the provisions of Company Law on the system of manager's right are too rough, and only the provisions of the authority of the manager are listed.There is no corresponding regulation on the problems that need to be solved in practice, such as the way of exercising manager's right, and there is no systematic system of manager's right, which can't effectively regulate the manager's right in the practice of company.The purpose of this paper is to clarify the position of the manager in the corporate governance structure, the power structure of the manager's right and the general rules of its operation, in order to further perfect the system of the manager's right by legislation.The introduction introduces the important position of the managerial right system in the corporate governance structure, the origin of the manager problem, and the theoretical and practical significance of the study on the legal issue of the manager's right.The first chapter mainly investigates the concept of manager and the general situation of foreign manager system, and clarifies the position of manager in the company.The second chapter examines the general theoretical basis of the manager's right, including the granting of the manager's right, the exercise of the manager's right and the release of the manager's right.The third chapter examines the power of manager power, including macro content and specific powers, as well as the two legal systems of the ways to limit the manager's right.The fourth chapter points out the problems existing in the management system of our country and puts forward some suggestions on the revision of the Company Law in 2005.
