商事責(zé)任的法理分析

【摘要】:商事責(zé)任是商法中的保護機制,它體現(xiàn)了商業(yè)社會的基本價值觀念,并契合商事關(guān)系性質(zhì)、特點和調(diào)整需要。商事責(zé)任制度設(shè)計以預(yù)定功能為導(dǎo)向,以可剝奪商事利益為基礎(chǔ)。其責(zé)任形式以財產(chǎn)責(zé)任、行為責(zé)任、聲譽責(zé)任、能力責(zé)任為主,也涉及自由責(zé)任和"生命"責(zé)任。商事責(zé)任需要依據(jù)法定歸責(zé)原則,由權(quán)威機關(guān)認定、追究,一些責(zé)任人依法承擔責(zé)任以后,還要向原始責(zé)任主體追償。同時,相關(guān)當事人需要依賴特定規(guī)則從商事責(zé)任中解脫,恢復(fù)正常生活。
[Abstract]:Commercial liability is the protection mechanism in commercial law, which embodies the basic values of commercial society, and accords with the nature, characteristics and adjustment needs of commercial relations. The forms of liability are property liability, behavior responsibility, reputation responsibility and capacity responsibility, which also involve freedom responsibility and "life" responsibility. Commercial liability should be based on the principle of statutory imputation. After some responsible persons bear the responsibility according to law, they still have to recover from the original responsibility subject. At the same time, the relevant parties need to rely on specific rules to extricate themselves from commercial responsibility and restore normal life.
