【摘要】:在定期租船業(yè)務(wù)中,交還船意味著租期的開始和結(jié)束,是租約履行過程中兩個(gè)非常重要的環(huán)節(jié),因此處理不好容易發(fā)生糾紛。根據(jù)現(xiàn)有的規(guī)定,租約主要遵循意思自治原則,從而具有實(shí)務(wù)性、靈活性和復(fù)雜性等特點(diǎn)。本文主要針對實(shí)務(wù)中經(jīng)常出現(xiàn)的問題,結(jié)合現(xiàn)在常用的定期租船合同范本,力圖對交還船問題進(jìn)行深入的分析研究,找出問題的所在,借鑒英美國家的通常做法及補(bǔ)救措施,試圖為我國的雙方當(dāng)事人在簽訂和履行合同過程中提供一些參考。不圖全面,,但求能解決實(shí)際問題。因此本文主要從以下五個(gè)方面論述交還船中常見的問題: 一、定期租船中交船時(shí)的船舶適航問題。對于適航問題,討論最多的是班輪運(yùn)輸情況下,承運(yùn)人的適航責(zé)任。在定期租船實(shí)務(wù)中,適航問題分兩個(gè)階段,三種情況,即交船時(shí)的適航和租約履行過程中的適航兩個(gè)階段,沒有轉(zhuǎn)租、轉(zhuǎn)租和并入海牙規(guī)則三種情況。本文從適航的性質(zhì)入手,分別分析了船東在不同階段的適航責(zé)任,以及在不同情況下,因不適航引起的貨損索賠的責(zé)任分?jǐn)偂?二、交船/解約條款。本部分主要分析交船/解約條款與船東提供適航船舶之間關(guān)系以及交船解約條款下常見的糾紛,涉及交船備妥通知書以及解約權(quán)的期限與問詢條款問題。 三、最后航次問題。對于這個(gè)問題主要從法理入手,結(jié)合英美案例法,分析了承租人指示合法最后航次與按期還船的法律義務(wù),并提出了對我國《海商法》的修改建議。 四、提前還船問題。本章從分析提前還船的法律性質(zhì)入手,筆者認(rèn)為提前是雙方法律行為,分析了提前還船成因、后果及船東的對策。 五、針對交還船,承租雙方因如何提出索賠?本部分介紹了索賠的規(guī)則原則和賠償原則。最后通過分析近來發(fā)生典型案例來具體應(yīng)用這些原則,同時(shí)也是對前文問題的補(bǔ)充。 在研究方法上,本文從多角度,多層次,綜合運(yùn)用案例分析、邏輯推理、比較分析、分類說明等法學(xué)研究手段,緊緊圍繞文章主題展開論述,力求使文章達(dá)到一個(gè)形神兼?zhèn),重點(diǎn)脫出。行文中,除了借鑒國內(nèi)外學(xué)者的真知灼見外,也體
[Abstract]:In the time chartering business, the return of the ship means the beginning and end of the lease period, which is two very important links in the process of the lease performance, so it is easy to deal with disputes easily.According to the existing regulations, the lease mainly follows the principle of autonomy of will, which has the characteristics of practicality, flexibility and complexity.This article mainly aims at the problem which often appears in practice, unifies the current commonly used time charter contract model, tries to carry on the thorough analysis and the research to the return ship question, finds out the problem, draws lessons from the common practice and the remedial measures of the Anglo-American countries.This paper attempts to provide some references for both parties in the process of signing and performing the contract.Not to be comprehensive, but to be able to solve practical problems.Therefore, this paper mainly discusses the common problems in the return of ships from the following five aspects:The first is the seaworthiness of the ship when it is delivered on a regular charter vessel.As for airworthiness, the carrier's liability for seaworthiness is discussed most frequently in the case of liner shipping.In the practice of term chartering, the problem of seaworthiness is divided into two stages, that is, the airworthiness at the time of delivery and the airworthiness in the course of the lease performance, without sublease, sublease and incorporation into the Hague rules.Starting with the nature of airworthiness, this paper analyzes the airworthiness liability of shipowners in different stages and the allocation of liability for damage claims caused by unseaworthiness under different circumstances.Second, delivery / termination clause.This part mainly analyzes the relationship between the ship delivery / release clause and the shipowner providing seaworthy ship, as well as the common disputes under the ship delivery cancellation clause, which involves the issue of the time limit and inquiry clause of the delivery of the ship's ready notice and the right of rescission.Third, the final voyage question.In this paper, the author analyzes the legal obligation of charterer to instruct the last voyage and return the ship on time, and puts forward some suggestions to amend the Maritime Law of our country.Fourth, return the ship ahead of schedule.This chapter begins with the analysis of the legal nature of the early return of the ship. The author thinks that the advance is the legal act of both parties, and analyzes the causes, consequences and the countermeasures of the shipowner.Fifth, against the return of the ship, how do the charterers claim for compensation?This part introduces the rule principle of claim and the principle of compensation.Finally, through the analysis of recent typical cases to apply these principles, it is also a supplement to the previous questions.In terms of research methods, this paper makes comprehensive use of case analysis, logical reasoning, comparative analysis, classification and other legal research means from multiple angles, multi-levels, and so on, and discusses closely around the theme of the article, in order to make the article achieve a combination of form and spirit.The emphasis came out.In writing, besides drawing lessons from the insights of scholars at home and abroad, it is also a body.
