【摘要】： 論文以新制度經(jīng)濟(jì)學(xué)和福利經(jīng)濟(jì)學(xué)理論為基礎(chǔ)，對證券市場上的尋租行為進(jìn)行了系統(tǒng)分析。“證券市場尋租行為”指出中國證券市場其實是一個“尋租場”，證券市場上一切有悖于實現(xiàn)“帕累托最優(yōu)”的行為都屬于尋租行為，監(jiān)管者的“造租”行為也屬于尋租行為�！白C券市場尋租行為的成因”對中國證券市場尋租行為產(chǎn)生的原因作了深入分析。認(rèn)為“市場失靈”和“政府失靈”兩種制度缺陷是尋租行為產(chǎn)生的根本原因；證券市場的特殊性和“強(qiáng)制性的制度變遷”則是中國證券市場尋租行為產(chǎn)生的特殊原因�！白C券市場尋租行為的危害”列舉了尋租活動給證券市場造成的數(shù)種危害，指出必須用法律的手段規(guī)制證券市場上的尋租行為。“法律規(guī)制的法理探討”討論了“政府和市場”，“效率和公平”的關(guān)系，結(jié)合“科斯定理”的相關(guān)理論提出了按照市場經(jīng)濟(jì)規(guī)律的要求構(gòu)建證券法律體系，規(guī)制尋租活動的觀點。“法律規(guī)制的措施”提出了若干具體的規(guī)制措施，，結(jié)論是：規(guī)制證券市場的尋租行為必須做到以投資者權(quán)益保護(hù)為中心，以信息披露為重點，以市場化改革為導(dǎo)向，完善證券市場的基本制度。
[Abstract]:This paper is based on the new institutional economics and welfare economics theory, the rent-seeking behavior in the securities market were analyzed. Chinese "harm" the rent-seeking behavior in the securities market are caused by rent-seeking activities to the securities market The number of kinds of hazards, that must use rent-seeking means to regulate the securities market law. The legal legal regulation of "discussion" government and market "," the relationship between efficiency and fairness ", combined with the theories of" Kos theorem "put forward the construction of securities legal system in accordance with the request of market economy regulation, rent-seeking the activities of the view." legal regulation measures "and puts forward some concrete measures of regulation, the conclusion is: the rent-seeking behavior of securities market regulation must be done to protect the interests of investors as the center, to the information disclosure as the key to market oriented reform, improve the basic system of the securities market.
