【摘要】: 市場經(jīng)濟(jì)是以市場作為資源配置的基礎(chǔ)性方式和主要手段的經(jīng)濟(jì)體制,在市場經(jīng)濟(jì)條件下,日益擴(kuò)展和復(fù)雜化的市場關(guān)系逐步構(gòu)建起彼此相連、互相制約的信用關(guān)系。信用關(guān)系遍布經(jīng)濟(jì)生活的各個領(lǐng)域,整個經(jīng)濟(jì)活動被信用關(guān)系所聯(lián)結(jié)。信用關(guān)系作為一種獨(dú)立的經(jīng)濟(jì)關(guān)系得到充分發(fā)展,并維系著錯綜復(fù)雜的社會交換關(guān)系,支持并促成規(guī)范的市場秩序。 完善我國社會主義市場經(jīng)濟(jì)體制,,整頓和規(guī)范市場經(jīng)濟(jì)秩序都決定了加快建立我國社會信用體系的重要性。征信機(jī)構(gòu)作為社會信用體系的重要組成部分,在我國的社會經(jīng)濟(jì)發(fā)展中日益發(fā)揮著重要作用。征信機(jī)構(gòu)對減少經(jīng)濟(jì)活動交易雙方的信息不對稱、避免經(jīng)濟(jì)業(yè)務(wù)可能遇到的風(fēng)險、降低成本等都有重要作用。而我國迄今為止尚沒有一部全國性的有關(guān)征信的法律法規(guī),我國征信機(jī)構(gòu)業(yè)務(wù)活動沒有直接的法律或法規(guī)作為依據(jù)。 本文第一部分對全文的研究背景及意義,國內(nèi)外的研究動態(tài)及本文研究的內(nèi)容及方法做了一個宏觀的介紹。 本文第二部分對征信和征信機(jī)構(gòu)的概念、分類及功能做了介紹,列舉了學(xué)術(shù)界對征信本質(zhì)屬性的不同看法,分析了征信的法律屬性和特征,在此基礎(chǔ)上證明了征信的價值和征信存在的必然性。將征信機(jī)構(gòu)界定為從事征信活動的企業(yè)法人,通過法律規(guī)制引導(dǎo)和促使其實(shí)現(xiàn)經(jīng)濟(jì)法的秩序、效益和正義價值取向,為征信機(jī)構(gòu)的法律規(guī)制提供理論前提。 第三部分介紹了我國征信機(jī)構(gòu)及其法律規(guī)制的現(xiàn)狀。首先用事實(shí)說明當(dāng)前我國經(jīng)濟(jì)領(lǐng)域中信用危機(jī)所帶來的危害,我國在對征信機(jī)構(gòu)進(jìn)行法律規(guī)制所存在的一些問題及其帶來的影響。在對其加以分析的基礎(chǔ)上論證了在我國對征信機(jī)構(gòu)進(jìn)行法律規(guī)制的必要性和迫切性。 國外征信業(yè)己經(jīng)有170多年的歷史,形成了完備的信用體系和征信法律制度,征信機(jī)構(gòu)或完全市場化運(yùn)作,充分自由競爭;或與政府建立的公共信用信息登記系統(tǒng)相得益彰,互相補(bǔ)充,共同構(gòu)成完善的信用服務(wù)體系。本文第四部分通過對國外征信機(jī)構(gòu)法律規(guī)制的考察,對我國征信機(jī)構(gòu)設(shè)立模式進(jìn)行了探討,得出對我國征信機(jī)構(gòu)法律規(guī)制的有益啟示,為征信機(jī)構(gòu)法律規(guī)制提供了參考和借鑒。 本文的第五部分提出了完善我國征信機(jī)構(gòu)法律規(guī)制的一些設(shè)想,首先要明確我國征信機(jī)構(gòu)的法律定位,從而確定征信機(jī)構(gòu)法律規(guī)制應(yīng)遵循的原則。其次,要明確政府在我國征信機(jī)構(gòu)法律規(guī)制中的職能,同時還要重視企業(yè)商業(yè)秘密的法律保護(hù),加強(qiáng)對個人隱私權(quán)的法律保護(hù),加強(qiáng)對我國征信機(jī)構(gòu)的監(jiān)督管理,加強(qiáng)征信機(jī)構(gòu)的行業(yè)自律,最后要明確征信機(jī)構(gòu)失信的法律責(zé)任。 在立足我國國情的基礎(chǔ)上,本文運(yùn)用比較的研究方法,利用理論和實(shí)踐結(jié)合的方式,運(yùn)用經(jīng)濟(jì)法主體制度、國家規(guī)制和市場自我調(diào)節(jié)等經(jīng)濟(jì)法的基本理論及商法有關(guān)私權(quán)利的保護(hù)等原理,并借鑒西方發(fā)達(dá)國家成熟的制度,對我國征信機(jī)構(gòu)的法律定位、我國征信模式的選擇、政府在我國征信機(jī)構(gòu)中的角色職能以及我國征信機(jī)構(gòu)法律規(guī)制的完善應(yīng)注意的幾個問題進(jìn)行論述分析,為我國征信機(jī)構(gòu)法制建設(shè)提供新的理論參考。
[Abstract]:The market economy is based on the market as the basic way of resource allocation and the main means of economic system, under the condition of market economy, the increasingly complicated market expansion and gradually build up a relationship connected to each other and mutually restricts. Each field of credit relationships across the economic life, the whole economic activities were joined by the credit relations. To obtain the full development of credit relations as an independent economic relationship, and maintain the perplexing social exchange relationship, support and contribute to the normative market order.
To improve China's socialist market economic system, rectifying and standardizing the market economic order determines the importance of speeding up the establishment of our social credit system. Credit institutions as an important part of the social credit system, has played an increasingly important role in China's social and economic development. Credit institutions to reduce economic activity in the information asymmetry between the two sides, to avoid the risk of economic business may encounter, lower costs have an important role. The laws and regulations and so far in China is still not a nationwide on credit, credit institutions of our country business activities without laws or regulations directly as a basis.
The first part of this paper makes a macro introduction to the research background and significance of the full text, the research trends at home and abroad, and the contents and methods of this study.
The second part of this paper the concept of credit and credit institutions, classification and function are introduced, lists the different views on the essential attribute of credit in the academic circles, analyses the legal attributes and characteristics of credit, on the basis of the necessity and value of existing credit credit. Credit institutions will be defined as engaged in the activities of credit enterprise legal person, and promote the implementation of economic law and order through legal regulation guidance, benefit and justice value orientation, which provides the theoretical basis for the legal regulation of credit rating agencies.
