【摘要】： 運輸合同中的保價條款是限制承運人賠償責任的一種格式條款,在我們的日常生活中經(jīng)�？梢杂鲆�(如民航行李運輸、快遞服務等)。這類條款雖然被許多法律所確認,但在司法實踐中如何適用卻經(jīng)常引起爭議。本文引用兩個商法人之間的典型案例。分析了因承運貨物丟失所產(chǎn)生的運輸合同糾紛,對于保價條款的適用效力問題、法院如何裁決問題進行了思考。 保價條款作為一種格式條款,它的使用提高了締約效率,有其存在的合理性、必要性。在運輸實務中發(fā)揮著巨大作用,豐富發(fā)展了合同法。但它的存在是對契約自由的一種限制,也是對傳統(tǒng)合同法的一種沖擊。一切都應在理性科學的基礎(chǔ)上嚴格規(guī)制保價條款的效力,追求保價條款中的利益平衡。 本文共分四章。第一章,通過引述兩個典型案例,簡單描述了基本案情,引出了運輸合同中由保價條款引發(fā)的糾紛問題,從而歸納出本案的焦點問題；第二章,簡單介紹保價條款的基本理論,尤其對本案中涉及到的相關(guān)概念進行逐一闡述；第三章,筆者就本案結(jié)合前一章的法理分析運用各種分析方法進行深入的剖析；第四章,筆者重點論述了物流運輸領(lǐng)域關(guān)于保價條款存在的爭議問題和解決對策,并且對我國現(xiàn)行法律對保價條款的規(guī)制存在的缺陷及完善措施進行了剖析。這其中,既有完善立法的建議,也有運輸合同雙方在貿(mào)易中就保價條款應當注意的問題。 保價條款的出現(xiàn),一方面提高了效率,節(jié)約了交易成本,便于企業(yè)進行管理；另一方面也給傳統(tǒng)的契約自由理論帶來巨大的沖擊。在我國物流業(yè)蓬勃發(fā)展的今天,如果我們不能正確認識其價值,對其進規(guī)制,完善立法,就會對和諧社會的公平正義、誠信友愛、安定有序等造成損害,阻礙和諧社會的構(gòu)建。
[Abstract]:The warranty clause in the contract of carriage is a formality clause that limits the carrier's liability and is often encountered in our daily life (such as air baggage transport, express service, etc.) although such clauses are confirmed by many laws, However, how to apply it in judicial practice is often controversial. This paper cites a typical case between two commercial law parties, and analyzes the dispute of contract of carriage arising from the loss of carriage of goods, and the validity of the application of the warranty clause. The court thought about how to rule on the matter. As a form clause, the use of the insured clause improves the efficiency of contracting, has its rationality and necessity, and plays an important role in the practice of transportation. The existence of contract law is not only a restriction to the freedom of contract, but also an impact on the traditional contract law, all of which should be strictly regulated on the basis of rational science. Pursue the balance of interests in the warranty clause. This paper is divided into four chapters. The first chapter, by quoting two typical cases, briefly describes the basic case, leads to the dispute caused by the insurance clause in the contract of carriage, and concludes the focus of the case. Briefly introduce the basic theory of the insurance clause, especially the relevant concepts involved in the case one by one; chapter III, the author of the case combined with the previous chapter of the jurisprudence of the use of various analytical methods for in-depth analysis; chapter four, The author focuses on the dispute problems and solutions in the field of logistics transportation, and analyzes the defects and perfection measures of the regulation of price insurance clauses in the current law of our country. There are not only suggestions to perfect legislation, but also some problems that both parties should pay attention to in trade. On the one hand, it improves the efficiency, saves the transaction cost, and facilitates the management of the enterprise; on the other hand, it also brings a huge impact to the traditional theory of freedom of contract. If we can't understand its value correctly, regulate it and perfect legislation, it will damage the fairness and justice, honesty and friendship, stability and order of harmonious society, and hinder the construction of harmonious society.
