【摘要】:船舶建造是一項(xiàng)耗資巨大的工程,船廠或航運(yùn)公司在建造船舶過程中可能會遇到資金上的困難,需要借助正在建造中的船舶進(jìn)行資金的融通。于是在建船舶抵押貸款就應(yīng)運(yùn)而生了,并且在世界各國有蓬勃發(fā)展的勢頭。而事實(shí)也表明,利用在建船舶抵押貸款不失為解決造船資金難題的理想方法。 由于標(biāo)的物本身的特殊性,建造中船舶抵押權(quán)與一般船舶抵押權(quán)有很大的不同。其設(shè)立、公示的方式都有自己的特殊的地方,其效力,實(shí)現(xiàn)更加復(fù)雜。而在建船舶抵押權(quán)人遭遇的風(fēng)險(xiǎn)也更加多樣化,對風(fēng)險(xiǎn)的防范措施也更具特色。 然而,這樣一種新型、有效的造船融資方式在我國至今沒有得到廣泛應(yīng)用,究其原因在于:其一,我國在這方面的法律規(guī)定十分欠缺,許多問題沒有得到澄清,而海商法和金融法理論界對此的研究和探討也相當(dāng)匱乏。這在一定程度上導(dǎo)致了投融資雙方當(dāng)事人因害怕權(quán)利得不到法律的保護(hù)而排斥這種融資方式。其二,銀行等金融機(jī)構(gòu)本身對造船項(xiàng)目的特點(diǎn)、風(fēng)險(xiǎn)認(rèn)識不夠,就對在建船舶抵押貸款持比較謹(jǐn)慎的態(tài)度。這兩個因素阻礙了在建船抵押融資的推廣。而船舶建造是海運(yùn)的基礎(chǔ),我國要發(fā)展航運(yùn)事業(yè),就必須先解決好造船資金問題。 有鑒于此,筆者認(rèn)為有必要澄清在建船舶抵押權(quán)某些方面的問題,讓投融資雙方對其有一個正確科學(xué)的認(rèn)識。本文分成六個章節(jié)就幾個重要的問題進(jìn)行一定的探討和研究。 第一章 在分析比較了新建船的各種融資方式的基礎(chǔ)上,提出建造中船舶抵押貸款是解決國內(nèi)目前造船資金難問題的現(xiàn)實(shí)而有效的途徑。并對這種融資方式的可行性作了簡要的分析。 第二章 對在建船抵押權(quán)的設(shè)立進(jìn)行了討論,先后從抵押權(quán)設(shè)定人的資格、設(shè)立的時間以及抵押權(quán)登記三個方面作了分析。并指出建造中船舶設(shè)立抵押權(quán)已突破了我國傳統(tǒng)的抵押權(quán)制度。建造中的船舶盡管不具有獨(dú)立的使用價(jià)值,但已具有交換價(jià)值,可以轉(zhuǎn)讓也可以抵押。 第三章 圍繞在建船舶抵押權(quán)效力問題,選取了抵押標(biāo)的物的范圍、抵押權(quán)對抵押人和抵押權(quán)人各自的效力幾個方面展開討論。并且對《擔(dān)保法》第35條提出了修改建議。 第四章 探討了保障在建船舶抵押權(quán)的兩類保險(xiǎn)——船舶保險(xiǎn)和抵押權(quán)人利益保險(xiǎn)。指出,它們兼有工程建設(shè)險(xiǎn)和海上保險(xiǎn)的性質(zhì),繼而確定發(fā)生保險(xiǎn)糾紛時應(yīng)當(dāng)適用的法律和有權(quán)管轄的法院。 第五章 著眼于在建船舶抵押權(quán)的實(shí)現(xiàn)。筆者認(rèn)為,傳統(tǒng)的四種抵押權(quán)實(shí)現(xiàn)
[Abstract]:Shipbuilding is a costly project, and shipyards or shipping companies may encounter financial difficulties in building ships. Need to use the ship under construction for financing. So the mortgage came into being, and there is a momentum in the world. And it turns out, The use of mortgage loans for ships under construction is an ideal way to solve the problem of shipbuilding financing. Due to the particularity of the subject matter itself, the mortgage right of the ship under construction is quite different from that of the ordinary ship mortgage. The way in which the subject matter is set up and published has its own special place and its effectiveness. The risks encountered by mortgagees of ships under construction are more diversified, and the precautions against them are more characteristic. However, such a new and effective way of shipbuilding financing has not been widely used in China. The reasons are as follows: first, the legal provisions in this respect are very lacking in our country, and many problems have not been clarified. However, the theoretical circle of maritime law and financial law also lacks of research and discussion on this issue. To a certain extent, the parties involved in investment and financing exclude this kind of financing method because they fear that their rights will not be protected by law. Second, Banks and other financial institutions themselves have a more cautious attitude towards mortgage loans for ships under construction because they do not know enough about the characteristics and risks of shipbuilding projects. These two factors hinder the promotion of mortgage financing for ships under construction, and shipbuilding is the basis for shipping. In order to develop shipping industry, we must solve the problem of shipbuilding financing. In view of this, the author thinks that it is necessary to clarify some aspects of mortgage of ships under construction so that both sides of investment and financing can have a correct and scientific understanding of it. In the first chapter, on the basis of analyzing and comparing the various financing methods of the new ship, It is put forward that mortgage loan of ship under construction is a practical and effective way to solve the difficult problem of domestic shipbuilding capital at present, and the feasibility of this kind of financing method is analyzed briefly. The second chapter discusses the establishment of the mortgage right of the ship under construction, from the perspective of the qualifications of the mortgage creators, The time of establishment and the registration of mortgage are analyzed. It is pointed out that the establishment of mortgage on ships under construction has broken through the traditional mortgage system in China. The ships under construction have exchange value although they do not have independent use value. It can be transferred or mortgaged. The third chapter focuses on the validity of mortgage on the construction of ships, selects the scope of the subject matter of mortgage, discusses the respective effectiveness of mortgage on mortgagor and mortgagee, and puts forward some suggestions to amend Article 35 of the Law of Guaranty. In Chapter 4th, two types of insurance, ship insurance and mortgagee's interest insurance, are discussed to protect the mortgage right of ships under construction. It is pointed out that they have the properties of both engineering construction insurance and marine insurance. Then determine the law to be applied and the court with jurisdiction in the event of an insurance dispute. Chapter 5th focuses on the realization of mortgage of ships under construction.
