【摘要】：個人獨資企業(yè)是現(xiàn)代企業(yè)制度的重要組成部分,在市場經(jīng)濟中發(fā)揮著不可替代的作用。市場經(jīng)濟本質(zhì)是法治經(jīng)濟,為發(fā)展我國市場經(jīng)濟,必須完善我國個人獨資企業(yè)法律制度。本文從個人獨資企業(yè)法律定位和西方發(fā)達國家個人獨資企業(yè)法律制度概況入手,以中、西方個人獨資企業(yè)法律制度內(nèi)容對比分析為主要方法,對西方發(fā)達國家個人獨資企業(yè)法律制度帶給我們的啟示、我國個人獨資企業(yè)法律制度特色、內(nèi)容、缺陷等進行了系統(tǒng)的闡述,內(nèi)容包括個人獨資企業(yè)的資本制度、投資人主體資格、事務(wù)管理、轉(zhuǎn)讓、繼承、解散、清算、投資人財產(chǎn)責任等法律制度,研究了市場準入、信用、融資、稅收、事務(wù)管理、債務(wù)清償、投資人財產(chǎn)責任、清算和刑法保護等法律制度的缺陷。并在此基礎(chǔ)上,對完善個人獨資企業(yè)法律制度的法理學基礎(chǔ)進行系統(tǒng)論述,提出了構(gòu)建完善的個人獨資企業(yè)法律制度的總體策略和具體策略。
[Abstract]:Sole proprietorship enterprise is an important part of the modern enterprise system and plays an irreplaceable role in the market economy. The essence of the market economy is the economy ruled by law, in order to develop the market economy of our country. It is necessary to perfect the legal system of individual proprietorship enterprises in China. This paper starts with the legal orientation of individual proprietorship enterprises and the general situation of the legal system of individual proprietorship enterprises in western developed countries. The comparative analysis of the contents of the legal system of the western sole proprietorship enterprise is the main method, which brings us inspiration to the legal system of the individual proprietorship enterprise in the western developed countries, and the characteristics and contents of the legal system of our country's sole proprietorship enterprise. The defects are systematically expounded, including the capital system of the sole proprietorship enterprise, the qualification of investors, the management of affairs, the transfer, inheritance, dissolution, liquidation, investor's property liability and other legal systems, and the study of market access, credit, etc. The defects of the legal system, such as financing, taxation, affairs management, debt settlement, investor's property liability, liquidation and criminal law protection, are discussed systematically on the basis of which, the legal basis of perfecting the legal system of individual proprietorship enterprises is systematically discussed. Put forward the overall strategy and specific strategy of constructing the perfect individual proprietorship enterprise legal system.
