【摘要】:1999年頒布的《合同法》建立了較為完整、科學(xué)的合同訂立、生效的法律制度,海上貨物運(yùn)輸合同屬于合同的一種,其訂立和生效同樣要依據(jù)《合同法》。然而,由于海上貨物運(yùn)輸合同具有極強(qiáng)的涉外性和跨國(guó)性,同時(shí),海上貨物運(yùn)輸合同的訂立過(guò)程中,形成自己獨(dú)特的慣例,因此,其訂立和生效又有不同于普通合同的方面。本文目的是在綜合《海商法》、《合同法》以及國(guó)際航運(yùn)公約和慣例規(guī)定基礎(chǔ)上,探索適合海上貨物運(yùn)輸合同訂立和生效的法律制度。 全文共分五章 第一章為海上貨物運(yùn)輸合同概述,簡(jiǎn)要介紹了海上貨物運(yùn)輸合同定義及范疇,為后文具體論述海上貨物運(yùn)輸合同訂立法律制度作宏觀上的介紹和鋪墊。 第二章為海上貨物運(yùn)輸合同訂立的法律原則,該部分根據(jù)《合同法》和《海商法》等法律規(guī)定,并結(jié)合海商實(shí)踐,,具體論述海上貨物運(yùn)輸合同訂立應(yīng)遵守的幾項(xiàng)基本法律原則,包括限制性合同自由原則、誠(chéng)實(shí)信用原則、公序良俗原則、締約過(guò)失原則等。 第三章是本文的重點(diǎn),專題討論海上貨物運(yùn)輸合同成立的法律問(wèn)題。共分三節(jié)。第一節(jié)是對(duì)普通合同訂立的介紹。第二節(jié)論述班輪運(yùn)輸合同成立制度,該部分闡述班輪運(yùn)輸合同中要約邀請(qǐng)、要約及承諾是哪些,班輪運(yùn)輸合同成立時(shí)間、地點(diǎn)、形式和內(nèi)容以及班輪運(yùn)輸合同中格式條款效力等法律問(wèn)題。第三節(jié)論述航次租船合同成立制度,該部分闡述了航次租船合同成立中要約邀請(qǐng)、要約及承諾,以及論述了書面形式是否是航次租船合同成立的必須要件。 第四章論述海上貨物運(yùn)輸合同生效法律制度,共分三節(jié)。第一節(jié)論述了效力待定的海上貨物運(yùn)輸合同,主要分析了無(wú)權(quán)代理的海上貨物運(yùn)輸合同的形成及法律后果。第二節(jié)論述了可撤銷的海上貨物運(yùn)輸合同,包括兩種:因重大誤解訂立的海上貨物運(yùn)輸合同和因欺詐訂立的海上貨物運(yùn)輸合同。第三節(jié)論述了無(wú)效或被撤銷的海上貨物運(yùn)輸合同可能產(chǎn)生的法律后果。 第五章分析了海上貨物運(yùn)輸合同當(dāng)事人有哪些,也分兩部分。第一部分分析了海上貨物運(yùn)輸合同中的承運(yùn)方,具體討論了班輪運(yùn)輸合同中的承運(yùn)人和航次租船合同出租人有哪些,以及判斷的標(biāo)準(zhǔn)是什么。第二部分討論的是海上貨物運(yùn)輸 合同的托運(yùn)方,包括班輪運(yùn)輸合同中的托運(yùn)人和航次租船合同中出租人。該部分 將托運(yùn)人分為締約托運(yùn)人和裝貨托運(yùn)人,并對(duì)兩者權(quán)利、義務(wù)的范圍進(jìn)行分別的 論述和探討。
[Abstract]:The contract Law promulgated in 1999 established a relatively complete, scientific legal system for the conclusion and entry into force of contracts. A contract for the carriage of goods by sea is a kind of contract, and its conclusion and entry into force must also be based on the contract Law. Because the contract of carriage of goods by sea has a strong foreign-related and transnational character, at the same time, in the process of concluding the contract of carriage of goods by sea, it forms its own unique convention. The purpose of this paper is to explore a legal system suitable for the conclusion and validity of a contract for the carriage of goods by sea on the basis of synthesizing the provisions of Maritime Law, contract Law and international shipping conventions and practices. The full text is divided into five chapters. The first chapter is an overview of the contract of carriage of goods by sea, which briefly introduces the definition and scope of the contract for the carriage of goods by sea, and provides a macro introduction and foundation for the later discussion on the legal system of concluding a contract for the carriage of goods by sea. The second chapter is the legal principles for the conclusion of a contract for the carriage of goods by sea. In accordance with the legal provisions of the contract Law and the Maritime Law, and combined with the practice of maritime merchants, this part discusses in detail several basic legal principles to be observed in the conclusion of a contract for the carriage of goods by sea. It includes the principle of freedom of restrictive contract, the principle of good faith, the principle of public order and good custom, the principle of fault in contracting and so on. The third chapter is the focus of this paper, which discusses the legal issues of the formation of the contract for the carriage of goods by sea. It is divided into three sections. The first section is the introduction to the formation of the ordinary contract. The second section deals with the formation system of the liner transport contract. This part describes the invitation to offer in the liner transport contract, what is the offer and acceptance, the time and place of the establishment of the liner transport contract, The form and content as well as the validity of the form clause in the liner shipping contract. The third section discusses the formation system of voyage charter party, which expounds the invitation to offer, offer and acceptance in the formation of voyage charter party. And discusses whether the written form is the necessary elements of the formation of voyage charter party. Chapter 4th discusses the effective legal system of the contract of carriage of goods by sea, which is divided into three sections. This paper mainly analyzes the formation and legal consequences of the contract of carriage of goods by sea without power of agency. Section two discusses the revocable contract of carriage of goods by sea. The third section deals with the possible legal consequences of an invalid or cancelled contract for the carriage of goods by sea. Chapter 5th analyzes which parties to a contract for the carriage of goods by sea, and it is also divided into two parts. The first part analyzes the carriers in the contract of carriage of goods by sea. The article discusses the carrier and charterer in the liner shipping contract and the standard of judgment. The second part discusses the carriage of goods by sea. The consignor of the contract, including the shipper in the liner transport contract and the shipowner in the voyage charter party. Dividing shippers into contracting shippers and loading shippers, and differentiating the scope of their rights and obligations. Discuss and discuss.
