【摘要】：2002年5月29日,日本完成戰(zhàn)后50余年來規(guī)模最大的商法、公司法修改,其一大特色就是引進美國式的獨立董事制度,改善日本公司的治理結(jié)構(gòu)。以上市公司為主的大型公司設(shè)立獨立董事還是強化獨立監(jiān)事,在法律上僅作任意性規(guī)定,交由公司自己選擇適用;實行獨立董事的公司,原來的監(jiān)事制度隨即廢除,另設(shè)執(zhí)行經(jīng)理,而獨立董事的責(zé)任也有別于其他董事,制度設(shè)置頗具合理性。反觀我國上市公司引進獨立董事制度的規(guī)則,有許多不足。我們應(yīng)及早吸收他人的經(jīng)驗教訓(xùn),將我國的制度性缺陷消滅在萌芽狀態(tài),為我國公司治理結(jié)構(gòu)的合理性提供科學(xué)的法律基礎(chǔ)。
[Abstract]:In May 29th 2002, Japan completed the largest commercial law and company law revision in more than 50 years after the war. One of its major features was the introduction of the American-style independent director system. To improve the governance structure of Japanese companies. The establishment of independent directors or the strengthening of independent supervisors by large companies, mainly listed companies, is only provided for by law and is applicable to the company's own choice. The original supervisor system was then abolished, with an executive manager, and the responsibility of the independent director was different from that of the other directors. There are many shortcomings. We should absorb the experience and lessons of others as soon as possible, nip our institutional defects in the bud, and provide a scientific legal basis for the rationality of the corporate governance structure in our country.
