【摘要】：通過(guò)對(duì)建造中船舶自身設(shè)定擔(dān)保物權(quán),以取得建造船舶所需的巨額資金,這是國(guó)際船舶建造業(yè)的通常做法,對(duì)于中國(guó)這樣一個(gè)發(fā)展中國(guó)家而言更是如此。然而,對(duì)于建造中船舶設(shè)定擔(dān)保物權(quán),中國(guó)法律規(guī)定得過(guò)于籠統(tǒng),理論研究也不夠深入,未能很好地滿足實(shí)踐中船舶建造融資的需要,亟待完善和發(fā)展。 本文從傳統(tǒng)民商法的基本原理出發(fā),對(duì)國(guó)際公約和英美法中的Mortgage制度進(jìn)行了分析研究,指出其與中國(guó)抵押制度的區(qū)別,將中國(guó)的建造中船舶擔(dān)保物權(quán)關(guān)系,界定為一種大陸法系中的讓與擔(dān)保法律關(guān)系,而不是現(xiàn)在通常認(rèn)為的抵押法律關(guān)系。以此為基礎(chǔ),本文對(duì)中國(guó)相關(guān)法律規(guī)定提出修改意見(jiàn),希望能對(duì)中國(guó)的建造中船舶擔(dān)保物權(quán)法律制度的研究和完善有所助益。
[Abstract]:It is a common practice in the international shipbuilding industry to obtain the huge amount of money needed to build a ship by creating a security interest in the ship itself, especially for a developing country such as China. For the establishment of security interest in ships under construction, Chinese law is too general and the theoretical research is not deep enough to meet the needs of ship construction financing in practice, which needs to be improved and developed urgently. Based on the basic principles of traditional civil and commercial law, this paper analyzes the international conventions and the Mortgage system in Anglo-American law, and points out the differences between them and the mortgage system in China. It is defined as a kind of legal relationship of assignment and guarantee in the civil law system, but not the legal relationship of mortgage, which is generally considered now. On this basis, this paper puts forward some amendments to the relevant laws and regulations of China. It is hoped that it will be helpful to the research and improvement of the legal system of ship security interest in the construction of China.
