論租船合同仲裁條款并入提單的效力

【摘要】:國(guó)際貿(mào)易和航運(yùn)實(shí)踐中經(jīng)常要遇到提單并入租船合同仲裁條款是否有效并入的問(wèn)題,這決定當(dāng)事人能否提起仲裁以及在哪里提起仲裁,也決定著生效的仲裁裁決能不能在一國(guó)得到承認(rèn)與執(zhí)行。我國(guó)法律在對(duì)這一問(wèn)題上規(guī)定得比較原則和籠統(tǒng),不能滿(mǎn)足我國(guó)的航運(yùn)及仲裁實(shí)踐的需要。本文從仲裁程序法的適用的角度,首先論述監(jiān)督和支持仲裁過(guò)程的程序法的適用,通過(guò)對(duì)有關(guān)學(xué)說(shuō)以及國(guó)際航運(yùn)實(shí)際的分析,認(rèn)為仲裁程序法的適用原則應(yīng)該是尊重當(dāng)事人意思自治前提下的仲裁地法的適用,在當(dāng)事人沒(méi)有選擇仲裁程序法以及仲裁地時(shí),才適用法院地法,我國(guó)立法也支持了這一原則。程序法的確定并不代表實(shí)體法上的規(guī)定,所以本文還從提單性質(zhì)來(lái)考慮提并入提單的相關(guān)條款的有效性:不論從提單證券性或者是為第三人利益的角度來(lái)理解,提單條款為收貨人或者是提單持有人設(shè)定相應(yīng)義務(wù)的意思表示都能得到確認(rèn),因此,只要并入形式恰當(dāng),提單并入租船合同的仲裁條款也應(yīng)當(dāng)對(duì)提單持有人有效,即使非承運(yùn)人提單持有人沒(méi)有參與有關(guān)條款的制訂。但我國(guó)海商法對(duì)并入的形式關(guān)沒(méi)有規(guī)定,在并入形式上,英美法把提單條款做為合同,以合同解釋的方法來(lái)探知當(dāng)事人仲裁意思的做法值得借鑒,對(duì)我國(guó)海商法的有關(guān)條款應(yīng)當(dāng)加以充實(shí)。除從提單性質(zhì)考慮外,提單并入租船合同仲裁條款是否有效也應(yīng)該從仲裁法的角度來(lái)分析,本文通過(guò)分析發(fā)現(xiàn),仲裁協(xié)議的效力有向第三人擴(kuò)張的趨勢(shì),從而突破了仲裁法上對(duì)于仲裁協(xié)議形式的有關(guān)“書(shū)面”與“簽署”的要求,而且這樣的擴(kuò)張有堅(jiān)實(shí)的仲裁實(shí)踐和理論的支持,在立法上,我國(guó)仲裁法的相關(guān)規(guī)定也順應(yīng)了這種趨勢(shì)。從而得出結(jié)論:租船合同仲裁條款并入提單是否有效,要依當(dāng)事人選擇的仲裁程序法來(lái)判定,如果沒(méi)有選定或者選定不明確,可依當(dāng)事人選定的仲裁地法作為仲裁程序法,若當(dāng)事人仍未先定仲裁地,才可依法院地法來(lái)判定。不論從海商法還是從仲裁法的角度來(lái)看,我國(guó)法律只要能確定當(dāng)事人提交仲裁的意思,則均承認(rèn)并入的效力。
[Abstract]:In the practice of international trade and shipping, the question of whether the bill of lading incorporated into the charter party arbitration clause is valid or not is often encountered, which determines whether and where the parties can initiate arbitration. It also determines whether the arbitral award that comes into force can be recognized and enforced in a single country. This paper, from the point of view of the application of the arbitration procedure law, first discusses the application of the procedural law to supervise and support the arbitration process, through the analysis of the relevant theories and the international shipping practice, which can not meet the needs of our country's shipping and arbitration practice. The author holds that the principle of application of arbitration procedural law should be the application of the law of the place of arbitration on the premise of respecting the autonomy of the parties. When the parties do not choose the law of arbitration procedure and the place of arbitration, the law of forum shall be applied. Our legislation also supports this principle. The determination of procedural law does not represent the provisions of substantive law. Therefore, this paper also considers the validity of the relevant clauses incorporated in the bill of lading from the point of view of the nature of the bill of lading, whether from the perspective of the securities of the bill of lading or for the benefit of third parties. The terms of the bill of lading can be confirmed that the terms of the bill of lading impose a corresponding obligation on the consignee or the holder of the bill of lading. So long as the form of incorporation is appropriate, the arbitration clause of the bill of lading incorporated into the charter party shall also be valid for the holder. Even if the holder of the non-carrier bill of lading did not participate in the formulation of the relevant terms, the maritime law of our country did not provide for the form of incorporation. In the form of incorporation, British and American law regards the terms of the bill of lading as a contract. It is worth learning from the method of contract interpretation to find out the parties' intention of arbitration, and to enrich the relevant articles of China's maritime law, except considering the nature of bill of lading, Whether the arbitration clause of bill of lading is incorporated into charter party should also be analyzed from the angle of arbitration law. This paper finds that the validity of arbitration agreement has a tendency to expand to third party. It breaks through the requirement of "writing" and "signing" in the form of arbitration agreement in arbitration law, and this kind of expansion has solid support of arbitration practice and theory, and in legislation, The relevant provisions of the arbitration law of our country also conform to this trend, so as to draw the conclusion: whether the arbitration clause of charter party contract is incorporated into bill of lading should be judged according to the arbitration procedure law chosen by the parties, if not selected or selected is not clear, It may be decided according to the law of the place of arbitration chosen by the parties as the law of arbitration procedure, and only if the parties have not determined the place of arbitration before the place of arbitration. Whether from the point of view of maritime law or from the angle of arbitration law, As long as the law of our country can confirm the intention of the parties to submit to arbitration, they all recognize the effect of incorporation.
