【摘要】：當(dāng)本合同因?yàn)椴豢煽沽Σ荒苈男袝r(shí),以其為基礎(chǔ)的派生合同當(dāng)然履行不能,由于不可抗力,本合同的義務(wù)方被免責(zé),但本合同中的權(quán)利方派生合同中的義務(wù)方能否突破合同的相對(duì)性,利用本合同中的不可抗力條款對(duì)派生合同中的權(quán)利方提出抗辯,使不可抗力條款成為承擔(dān)違約責(zé)任的一般抗辯事由仍值得探討。文章意在討論買賣合同中不可抗力條款對(duì)除合同當(dāng)事人之外其他自然人、法人、其他組織的約束力,即買賣合同中不可抗力條款的對(duì)世效力。
[Abstract]:When this contract cannot be performed because of force majeure, the derivative contract based on this contract cannot of course be performed, and the obligation under this contract is exempted from liability because of force majeure, However, whether the obligor in the derivative contract in this contract can break through the relativity of the contract and make use of the force majeure clause in this contract to defend the right party in the derivative contract, Making force majeure clause a general defense for liability for breach of contract is still worth exploring. This paper intends to discuss the force majeure clause in the contract of sale and purchase of the force majeure clause on other natural persons, legal persons and other organizations except the parties to the contract, that is, the force majeure clause in the contract of sale and purchase on the world effect.
