【摘要】：利益驅(qū)動(dòng)是職務(wù)科技成果有效轉(zhuǎn)化的關(guān)鍵因素之一,合理的利益分配需尊重當(dāng)事人的意思自治,遵循約定優(yōu)先原則。約定優(yōu)先原則有利于厘清復(fù)雜的利益關(guān)系、符合私法意思自治的法理、能克服法律規(guī)定之不足。約定有效是約定優(yōu)先原則適用的前提,對(duì)其效力判斷主要依據(jù)合同法和勞動(dòng)法的相關(guān)規(guī)定。職務(wù)科技成果轉(zhuǎn)化利益分配的約定不受制于法定最低標(biāo)準(zhǔn)(除非為強(qiáng)制性標(biāo)準(zhǔn));利益分配約定的合理性審查,應(yīng)以形式審查為主。同時(shí),基于雇傭雙方地位不平等,應(yīng)對(duì)約定優(yōu)先原則加以限制,以平衡各方主體的利益訴求,促進(jìn)職務(wù)科技成果轉(zhuǎn)化。
[Abstract]:Interest driving is one of the key factors for the effective transformation of the achievements of post science and technology. The reasonable distribution of interests should respect the autonomy of the parties' will and follow the principle of agreement priority.The principle of preemptive agreement is helpful to clarify the complicated interest relation, accord with the legal principle of autonomy of meaning in private law, and overcome the deficiency of the law.The validity of agreement is the premise of the application of the principle of agreement priority, and its validity is judged mainly according to the relevant provisions of contract law and labor law.The agreement on the distribution of benefits in the transformation of post scientific and technological achievements is not subject to the legal minimum standard (except for the mandatory standard; the rational examination of the agreement on the distribution of benefits should be based on formal examination.At the same time, based on the unequal position of both employers and employees, the principle of agreement priority should be restricted in order to balance the interests and demands of all parties and to promote the transformation of the achievements of post science and technology.
