【摘要】：契約自由原則自從在西方得以確立之后,使人擺脫了身份的束縛,使市場(chǎng)經(jīng)濟(jì)配置社會(huì)資源的基礎(chǔ)地位得以確立,但是隨著社會(huì)經(jīng)濟(jì)發(fā)展的多樣化,絕對(duì)的合同自由原則往往難以實(shí)現(xiàn)社會(huì)公正,因此要受到一定的限制。其中,強(qiáng)制締約制度就是限制合同自由的手段之一。強(qiáng)制締約制度散見于各國(guó)法律法規(guī)之中,尚未形成完整的體系。有很多學(xué)者對(duì)強(qiáng)制締約的涵義、分類、適用范圍進(jìn)行了研究,力求完善該制度,本文在先前學(xué)者研究的基礎(chǔ)上,擬從一新角度對(duì)該制度進(jìn)行進(jìn)一步探討,主要從市場(chǎng)經(jīng)濟(jì)、計(jì)劃指導(dǎo)與強(qiáng)制締約關(guān)系的視角來分析強(qiáng)制締約的適用范圍。本文主要以文獻(xiàn)研究分析法、案例分析法為主要研究方法。對(duì)強(qiáng)制締約制度進(jìn)行梳理,并提出自己的觀點(diǎn)。全文除引言和結(jié)語外共有三部分:第一部分主要論述了強(qiáng)制締約的涵義,首先區(qū)分了強(qiáng)制締約與幾個(gè)相關(guān)概念,總結(jié)出強(qiáng)制締約的內(nèi)涵與本質(zhì)以及區(qū)別于其他法律制度的三大特征。第二部分主要從闡述了強(qiáng)制締約的確立,一方面主要分析由于人的地位不斷演變,合同自由隨之產(chǎn)生、發(fā)展、泛濫,所以強(qiáng)制締約制度出現(xiàn),對(duì)合同自由進(jìn)行矯正,平衡合同自由與合同實(shí)質(zhì)正義之間的關(guān)系。另一方面主要從市場(chǎng)的角度出發(fā),分析了強(qiáng)制締約與市場(chǎng)競(jìng)爭(zhēng)和國(guó)家宏觀調(diào)控的密切聯(lián)系。第三部分主要根據(jù)強(qiáng)制締約與市場(chǎng)的緊密程度,將其劃分為絕對(duì)強(qiáng)制締約與相對(duì)強(qiáng)制締約。絕對(duì)強(qiáng)制締約主要適用于涉及民生、生命健康以及人格平等的領(lǐng)域。相對(duì)強(qiáng)制締約則是首先要尊重市場(chǎng)規(guī)律,讓市場(chǎng)配置社會(huì)資源,當(dāng)市場(chǎng)運(yùn)行出現(xiàn)弊端時(shí),通過強(qiáng)制締約制度對(duì)市場(chǎng)進(jìn)行規(guī)制,主要適用于與市場(chǎng)緊密相關(guān)的壟斷組織與強(qiáng)勢(shì)企業(yè)。并且就這兩大領(lǐng)域的關(guān)系而言,每一領(lǐng)域強(qiáng)制締約適用的側(cè)重點(diǎn)均有不同,但是這兩個(gè)個(gè)領(lǐng)域也不是截然分離的,也會(huì)有相互之間的交叉。
[Abstract]:Since the establishment of the principle of freedom of contract in the West, it has made people get rid of the bondage of identity and established the basic position of market economy in the allocation of social resources, but with the diversification of social and economic development,The principle of absolute freedom of contract is often difficult to realize social justice, so it is restricted to some extent.Among them, the compulsory contracting system is one of the means to restrict the freedom of contract.The compulsory contracting system is scattered in the laws and regulations of various countries and has not yet formed a complete system.Many scholars have studied the meaning, classification and applicable scope of compulsory contracting, and tried to perfect the system. Based on the previous research by scholars, this paper intends to further discuss the system from a new angle, mainly from the market economy.The scope of application of compulsory contracting is analyzed from the perspective of the relationship between planning guidance and compulsory contracting.This article mainly takes the literature research analysis method, the case analysis method as the main research method.This paper combs the system of compulsory contracting and puts forward its own viewpoint.In addition to the introduction and conclusion, there are three parts: the first part mainly discusses the meaning of compulsory contracting, first of all, it distinguishes compulsory contracting from several related concepts.This paper summarizes the connotation and essence of compulsory contracting and three characteristics which are different from other legal systems.The second part mainly expounds the establishment of compulsory contracting. On the one hand, it mainly analyzes that the freedom of contract arises, develops and overflows because of the continuous evolution of human status, so the system of compulsory contracting appears and corrects the freedom of contract.Balance the relationship between freedom of contract and substantive justice of contract.On the other hand, it analyzes the close relationship between compulsory contracting, market competition and state macro-control from the point of view of market.The third part divides the compulsory contracting and the relative compulsory contracting into absolute compulsory contracting and relative compulsory contracting.Absolute compulsory contracting mainly applies to areas involving people's livelihood, life and health, and equality of personality.Relative compulsory contracting is the first to respect the laws of the market, let the market allocate social resources, when the market operation of malpractice, through the compulsory contracting system to regulate the market,It mainly applies to monopoly organizations and strong enterprises which are closely related to the market.And as far as the relationship between these two fields is concerned, the emphases of compulsory contracting in each field are different, but the two fields are not completely separated, and there will also be a cross between them.
