【摘要】：政府和社會(huì)資本合作(PPP)模式是我國(guó)近三年大力推進(jìn)的經(jīng)濟(jì)模式,本文著力于這一模式下的項(xiàng)目合同法律關(guān)系,在對(duì)PPP項(xiàng)目合同的性質(zhì)和內(nèi)容作出理論上的界定后,通過(guò)分析我國(guó)和域外立法對(duì)于PPP項(xiàng)目合同爭(zhēng)議解決機(jī)制的規(guī)定,結(jié)合我國(guó)PPP項(xiàng)目合同爭(zhēng)議解決相關(guān)實(shí)踐情況,指出PPP項(xiàng)目合同爭(zhēng)議解決機(jī)制在立法和實(shí)踐中的問(wèn)題,并為構(gòu)建完善的PPP項(xiàng)目合同爭(zhēng)議解決機(jī)制提出建議。全文共分為四章。第一章PPP項(xiàng)目合同及其爭(zhēng)議的概述。本章通過(guò)對(duì)PPP項(xiàng)目合同的概念及體系進(jìn)行界定和闡釋,分析了 PPP項(xiàng)目合同的法律性質(zhì)和相關(guān)爭(zhēng)議的性質(zhì)。第二章PPP合同爭(zhēng)議解決機(jī)制的基本內(nèi)容。本章從我國(guó)和域外PPP立法出發(fā),梳理了與爭(zhēng)議解決相關(guān)的法律規(guī)定,分析了主要的爭(zhēng)議解決機(jī)制的基本構(gòu)造。第三章我國(guó)PPP項(xiàng)目合同爭(zhēng)議解決機(jī)制的困境。本章立足于我國(guó)PPP立法以及項(xiàng)目運(yùn)行現(xiàn)實(shí)情況,分析總結(jié)了 PPP項(xiàng)目合同爭(zhēng)議解決在立法上和實(shí)踐中的困境。第四章我國(guó)PPP項(xiàng)目合同爭(zhēng)議解決機(jī)制完善建議。本章在前三章分析所得的結(jié)論下,認(rèn)為構(gòu)建完善的PPP爭(zhēng)議解決機(jī)制應(yīng)當(dāng)注重指導(dǎo)原則和理念,在統(tǒng)一立法規(guī)定的基礎(chǔ)上,完善配套機(jī)制,建立起PPP爭(zhēng)議解決綜合體系。
[Abstract]:The cooperation between government and social capital is an economic model that has been vigorously promoted in China in the past three years. This paper focuses on the legal relationship of the project contract under this model, after making a theoretical definition of the nature and content of the PPP project contract.Based on the analysis of the regulations of PPP contract dispute settlement mechanism in our country and foreign legislation, and the practice of PPP contract dispute settlement in China, the paper points out the problems of PPP project contract dispute settlement mechanism in legislation and practice.And for the construction of a perfect PPP project contract dispute settlement mechanism put forward suggestions.The full text is divided into four chapters.The first chapter is an overview of PPP project contract and its disputes.By defining and explaining the concept and system of PPP project contract, this chapter analyzes the legal nature of PPP project contract and the nature of related disputes.The second chapter is the basic content of PPP contract dispute settlement mechanism.Based on the legislation of PPP in China and abroad, this chapter analyzes the basic structure of the main dispute settlement mechanism.The third chapter is the dilemma of the dispute settlement mechanism of PPP project contract in China.This chapter is based on the reality of PPP legislation and project operation in China, and analyzes and summarizes the dilemma of PPP project contract dispute resolution in legislation and practice.The fourth chapter is the suggestion to perfect the dispute settlement mechanism of PPP project contract in our country.Based on the conclusions of the first three chapters, this chapter holds that the construction of a perfect PPP dispute settlement mechanism should pay attention to guiding principles and concepts, perfect the supporting mechanism on the basis of unified legislation, and establish a comprehensive system of PPP dispute resolution.
