【摘要】:本文基于中國(guó)當(dāng)前的法律規(guī)定,從動(dòng)產(chǎn)抵押權(quán)登記對(duì)抗的基本原理和構(gòu)造出發(fā),探討了動(dòng)產(chǎn)抵押權(quán)和其他類(lèi)型權(quán)利發(fā)生對(duì)抗時(shí)的權(quán)利優(yōu)先順位問(wèn)題,并以此來(lái)確定動(dòng)產(chǎn)抵押權(quán)登記對(duì)抗在我國(guó)法律實(shí)踐中的真實(shí)樣貌,并從應(yīng)然角度進(jìn)一步明確其理論內(nèi)涵和外延。文章分為四章。第一章簡(jiǎn)要概述動(dòng)產(chǎn)抵押權(quán)登記對(duì)抗的立法例。進(jìn)入現(xiàn)代后,動(dòng)產(chǎn)抵押權(quán)采用登記對(duì)抗主義的立法例較為常見(jiàn)。筆者簡(jiǎn)要介紹了法國(guó)、日本、美國(guó)、中國(guó)臺(tái)灣地區(qū)和中國(guó)大陸關(guān)于登記對(duì)抗主義的立法現(xiàn)狀。第二章分析動(dòng)產(chǎn)抵押權(quán)登記對(duì)抗的基本理論。第一節(jié)介紹并分析日本法上登記對(duì)抗的多種理論構(gòu)造,并提出"第三人主張說(shuō)"是較為適合中國(guó)動(dòng)產(chǎn)抵押權(quán)登記對(duì)抗的理論構(gòu)造。第二節(jié)介紹了我國(guó)理論界對(duì)"對(duì)抗"一詞含義的理解,并認(rèn)為動(dòng)產(chǎn)抵押權(quán)和其他權(quán)利之間對(duì)抗的本質(zhì)是權(quán)利的優(yōu)先實(shí)現(xiàn)順位的問(wèn)題。第三節(jié)分析動(dòng)產(chǎn)抵押登記的對(duì)抗力與公信力,并認(rèn)為動(dòng)產(chǎn)抵押權(quán)登記僅具有對(duì)抗力。最后提出動(dòng)產(chǎn)抵押權(quán)登記的對(duì)抗力和"第三人主張說(shuō)"是從法律關(guān)系的內(nèi)部和外部?jī)煞矫?內(nèi)外呼應(yīng)以實(shí)現(xiàn)對(duì)動(dòng)產(chǎn)抵押權(quán)登記對(duì)抗的統(tǒng)一解釋。第四節(jié)分析了未登記的動(dòng)產(chǎn)抵押權(quán)的性質(zhì)。第三章宏觀分析第三人的范圍。第一節(jié)通過(guò)分析日本和我國(guó)關(guān)于第三人范圍的理論,提出動(dòng)產(chǎn)抵押權(quán)未登記不得對(duì)抗的第三人是指處于與抵押人的有效交易關(guān)系中,需要根據(jù)動(dòng)產(chǎn)抵押權(quán)登記與否確定權(quán)利優(yōu)先實(shí)現(xiàn)順位的人。第二節(jié)通過(guò)分析日本法上關(guān)于第三人主觀心態(tài)的學(xué)說(shuō)發(fā)展歷程,并結(jié)合我國(guó)的現(xiàn)狀和立法目的,認(rèn)為我國(guó)應(yīng)堅(jiān)持我國(guó)當(dāng)前法律對(duì)第三人"善意"的要求。第三節(jié)從抵押權(quán)登記與否的社會(huì)成本角度提出,當(dāng)前中國(guó)應(yīng)對(duì)第三人的范圍做擴(kuò)張解釋,以限制未登記的動(dòng)產(chǎn)抵押權(quán)的效力,反向刺激登記,進(jìn)一步促進(jìn)動(dòng)產(chǎn)抵押權(quán)登記制度的完善。第四章詳細(xì)分析動(dòng)產(chǎn)抵押權(quán)和其他類(lèi)型權(quán)利發(fā)生對(duì)抗的多種具體情形。第一節(jié)分析認(rèn)為完全無(wú)權(quán)利人等與動(dòng)產(chǎn)抵押權(quán)人在法律上不發(fā)生權(quán)利對(duì)抗。第二節(jié)分析動(dòng)產(chǎn)抵押權(quán)與一般債權(quán),認(rèn)為與動(dòng)產(chǎn)抵押權(quán)人產(chǎn)生對(duì)抗的主要是破產(chǎn)債權(quán)人、扣押債權(quán)人、查封債權(quán)人等,并應(yīng)當(dāng)適用登記對(duì)抗。第三節(jié)分析動(dòng)產(chǎn)抵押權(quán)與租賃權(quán),認(rèn)為動(dòng)產(chǎn)不應(yīng)當(dāng)適用"買(mǎi)賣(mài)不破租賃",而應(yīng)適用動(dòng)產(chǎn)抵押權(quán)的登記對(duì)抗。第四節(jié)分析抵押物轉(zhuǎn)讓中的動(dòng)產(chǎn)抵押權(quán)。在抵押物轉(zhuǎn)讓的區(qū)分說(shuō)下,登記對(duì)抗只有在抵押權(quán)人不同意的情形才有些許發(fā)揮作用的空間。第五節(jié)分析動(dòng)產(chǎn)抵押權(quán)與他物權(quán)。動(dòng)產(chǎn)抵押權(quán)之間的對(duì)抗應(yīng)當(dāng)適用物權(quán)法第199條的特殊規(guī)定。動(dòng)產(chǎn)抵押權(quán)和質(zhì)權(quán)之間,不應(yīng)忽視質(zhì)權(quán)占有的公示作用。動(dòng)產(chǎn)抵押權(quán)和留置權(quán)之間,對(duì)商事留置權(quán)應(yīng)當(dāng)適用登記對(duì)抗;一般留置權(quán)應(yīng)當(dāng)以立法政策為導(dǎo)向,恒優(yōu)于動(dòng)產(chǎn)抵押權(quán)。筆者從法律實(shí)然的角度出發(fā),從具體的權(quán)利對(duì)抗中直觀地觀察動(dòng)產(chǎn)抵押權(quán)登記對(duì)抗的內(nèi)涵及外延。由于我國(guó)目前立法中的一些特殊利益考量、特殊權(quán)利性質(zhì)、以及立法規(guī)定的疏漏或過(guò)于概括等原因,登記對(duì)抗在動(dòng)產(chǎn)抵押具體的權(quán)利對(duì)抗中并未得到充分適用。筆者的分析最終落腳于應(yīng)然角度,認(rèn)為動(dòng)產(chǎn)抵押權(quán)的登記對(duì)抗應(yīng)當(dāng)在動(dòng)產(chǎn)抵押權(quán)與其他權(quán)利發(fā)生對(duì)抗的大多數(shù)情形中得到適用。
[Abstract]:In this paper, the current legal provisions China based on the basic principle and the structure of chattels mortgage registration counter based on the chattel mortgage right and other rights type confrontation the rights of priority issues, and to determine the true appearance of chattel mortgage registration confrontation in our legal practice, and further clear the theoretical connotation and extension from the theoretical point of view. The article is divided into four chapters. The first chapter summarizes the chattel mortgage registration against the legislation. In the modern, chattel mortgage legislation by registration antagonism is more common. The author briefly describes the United States, France, Japan, on the legislative status of registration antagonism in Taiwan, Chinese and Chinese. The second chapter analysis the basic theory of real estate mortgage registration confrontation. The first section introduces and analyzes several theoretical structure of Japanese law registration confrontation, and put forward the "No. Three people say that "is more suitable for theoretical construction of chattel mortgage registration against the real China. The third section from the mortgage registration and the social cost perspective whether the proposed scope of the current Chinese deal with third people do interpreted to limit the unregistered effect of chattel mortgage right, reverse stimulation and further improve the registration of chattel mortgage registration system. The fourth chapter detailed analysis of chattel mortgage and other types of rights against the specific circumstances vary. The first section analysis that no obligee and chattel mortgage rights in the law does not occur right against the second section. Analysis of chattel mortgage and general creditor's rights, and that mortgagee confrontation is mainly creditors, creditors and other creditors seized, seized, and shall be registered against. The chattel mortgage and lien, shall apply to the registration of commercial lien against a lien; Right to legislative policy oriented, constant is better than that of chattel mortgage. The author from the perspective of legal practice, the specific rights against the direct observation of dynamic connotation and extension of chattel mortgage registration counter. Because our country at present some special interest in the legislation of special considerations, rights of nature, and legislation too general omission or other reasons, the registration confrontation in chattel mortgage has not been specific rights against the full application. The author analysis eventually settled in the ideal perspective, think of chattel mortgage right shall be registered against most cases occurred in the confrontation of chattel mortgage rights and he applied.
