【摘要】：自動交易逐漸成為經(jīng)濟活動中的主要經(jīng)營模式,然而現(xiàn)有的調(diào)整自動交易的法律規(guī)制依然有待完善。以預(yù)防及解決自動交易過程中自動交易系統(tǒng)錯誤引起的法律問題為目的,首先應(yīng)對自動交易的基礎(chǔ)問題進行分析,力求在考察自動交易自身特點及運作方式的基礎(chǔ)上研究自動交易系統(tǒng)錯誤的相關(guān)問題。其次針對目前法律有關(guān)自動交易系統(tǒng)做出錯誤意思表示時的相關(guān)救濟手段并不完善這一現(xiàn)狀,可以附條件限定自動締約系統(tǒng)的使用方行使撤銷權(quán)。再次應(yīng)對自動交易系統(tǒng)支配方據(jù)以承擔責(zé)任的義務(wù)來源進行分析,并對系統(tǒng)保障義務(wù)的具體內(nèi)容進行研究,同時重點研究自動交易系統(tǒng)錯誤時支配方承擔責(zé)任的方式及賠償范圍。最后在分析自動交易安全機制的基礎(chǔ)上,探討在自動交易系統(tǒng)支配方履行了其系統(tǒng)保障義務(wù)前提下,如何在平衡自動交易參與人經(jīng)濟利益的基礎(chǔ)上做出法律風(fēng)險的預(yù)先劃分。
[Abstract]:Automatic trading has gradually become the main business model in economic activities. However, the existing regulation of the regulation of automatic trading still needs to be improved to prevent and solve the legal problems caused by the mistakes of automatic trading system in the process of automatic trading. First of all, the basic problems of automatic trading should be analyzed. On the basis of investigating the characteristics and operation mode of automatic transaction, the paper tries to study the related problems of automatic trading system error. Secondly, the relevant relief means when making false expression of will in the current law related to automatic transaction system is studied. It's not perfect. The users of the automatic contracting system may exercise the right of rescission. Once again, the source of the obligation under which the automatic trading system should assume responsibility should be analyzed, and the specific content of the system guarantee obligation should be studied. At the same time, focus on the automatic trading system when the fault of the dominator to assume responsibility and compensation range. Finally, on the basis of the analysis of automatic trading security mechanism. This paper discusses how to make the advance division of legal risks on the basis of balancing the economic interests of automatic transaction participants on the premise that the automatic trading system fulfills its system guarantee obligations.
