【摘要】：浮動(dòng)抵押制度最初起源于英國(guó)的衡平法,于2007年《物權(quán)法》出臺(tái)正式被引入我國(guó)。相較于普通抵押,浮動(dòng)抵押財(cái)產(chǎn)具有不特定性、浮動(dòng)性及集合性的特點(diǎn),這使一些無(wú)法以一般抵押形式進(jìn)行融資的企業(yè)有了新的方向,同時(shí)以其特有的優(yōu)勢(shì)支持了我國(guó)經(jīng)濟(jì)生活的良好發(fā)展。但因在《破產(chǎn)法》中僅對(duì)擔(dān)保權(quán)對(duì)特定財(cái)產(chǎn)的優(yōu)先受償權(quán)做了原則性規(guī)定,缺少具體可操作的規(guī)范指引,更未明確到浮動(dòng)抵押權(quán),導(dǎo)致在實(shí)踐中產(chǎn)生了一系列問題。本文從《物權(quán)法》和《企業(yè)破產(chǎn)法》兩個(gè)角度分別對(duì)浮動(dòng)抵押權(quán)清償順位問題進(jìn)行了分析和闡述,并就問題提出了自己的建議,全文由以下五個(gè)部分組成:第一部分,破產(chǎn)法別除權(quán)權(quán)利基礎(chǔ)之浮動(dòng)抵押權(quán)。在《破產(chǎn)法》中,對(duì)浮動(dòng)抵押權(quán)能否作為別除權(quán)的權(quán)利基礎(chǔ)進(jìn)而優(yōu)先受償?shù)认嚓P(guān)問題進(jìn)行了討論,并闡明了研究浮動(dòng)抵押清償順位的主要意義。第二部分,浮動(dòng)抵押權(quán)清償順位問題比較研究。用比較法介紹了英國(guó)、美國(guó)、日本及我國(guó)香港地區(qū)對(duì)浮動(dòng)抵押?jiǎn)栴}的相關(guān)規(guī)定,希望能對(duì)推動(dòng)我國(guó)浮動(dòng)抵押制度的發(fā)展和完善有所啟示。第三部分,我國(guó)浮動(dòng)抵押權(quán)清償順位問題的相關(guān)立法及缺陷。闡述了目前浮動(dòng)抵押在我國(guó)《物權(quán)法》中的相關(guān)規(guī)定和特點(diǎn),以及《企業(yè)破產(chǎn)法》中對(duì)包含浮動(dòng)抵押權(quán)的擔(dān)保物權(quán)的限制性條款。并用一個(gè)案例引出我國(guó)浮動(dòng)抵押權(quán)受償順位尚不明晰的事實(shí)現(xiàn)狀。第四部分,完善建議。因浮動(dòng)抵押不同于一般抵押的制度特性,其在實(shí)踐中容易產(chǎn)生權(quán)利的競(jìng)合,筆者從《物權(quán)法》和《企業(yè)破產(chǎn)法》兩方面就競(jìng)合權(quán)利的清償順位問題提出了自己的建議。
[Abstract]:Equitable floating mortgage system originated in Britain in 2007, "property law > formally was introduced in China. Compared with the ordinary mortgage, floating mortgage property is less specific, floating and collection of features, which makes some to general mortgage financing to form enterprise in a new direction, at the same time in support of the good development of the economic life of our country with its unique advantages. But in the" bankruptcy law > only guarantee right for a particular property priority had stipulated in principle, the lack of specific operational guideline, not clear to the floating mortgage, resulting in a series of problems in practice. This paper from the two aspects of "property law" and "enterprise bankruptcy law > of floating mortgage priority is analyzed and discussed, and some suggestions on the problems, this paper consists of five parts: the first part, The bankruptcy law exemption rights based floating mortgage. In "bankruptcy law", on the right of floating charge can be used as the foundation of rights and right of priority of compensation related issues were discussed, and expounds the research significance of the main floating mortgage cis position. Using comparative method introduced in Britain, the United States, the relevant provisions of the floating charge of Japan and China's Hongkong region, hoping to give some inspiration to the development of our country to promote and perfect the floating mortgage system. The third part, the related legislation and the defects of our floating mortgage priority problem.
