【摘要】：中國籃球協(xié)會制定的格式條款合同——CBA國內(nèi)職業(yè)球員個人聘用合同(以下簡稱CBA職業(yè)球員格式合同)是職業(yè)籃球運動員和俱樂部進行商品交換和經(jīng)濟往來的實現(xiàn)形式,是體育運動商業(yè)化的法律基礎(chǔ)。其相關(guān)法律問題主要有:職業(yè)球員和俱樂部的法律關(guān)系及其地位,中國籃協(xié)在調(diào)整合同主體的權(quán)利義務(wù)關(guān)系中的作用,格式條款定入CBA職業(yè)球員格式合同的規(guī)則,以及球員合同的解釋、有效性、規(guī)制等法律問題。通過研究促進職業(yè)球員格式合同的規(guī)范化、合法化,使職業(yè)球員合同即有利于保護職業(yè)球員的合法權(quán)益,又有利于維護俱樂部的利益,保障職業(yè)聯(lián)賽的健康發(fā)展,從而提高我國的籃球競技水平。 本研究主要采用了文獻資料法、系統(tǒng)分析法、專家訪談法、比較分析法、規(guī)范分析法、實證分析法。主要結(jié)論:(1) CBA職業(yè)球員格式合同是勞動合同,具有勞動合同的法律特征。職業(yè)球員和職業(yè)俱樂部既存在勞動法律關(guān)系,又存在一般民事法律關(guān)系。(2)勞動合同法的適用范圍包括職業(yè)球員和職業(yè)俱樂部的勞動關(guān)系,職業(yè)球員通過法律途徑解決勞動爭議并不是最佳途徑,但當(dāng)勞動爭議無法調(diào)解時,雙方當(dāng)事人可以依據(jù)勞動法進入勞動仲裁和訴訟程序。(3)CBA職業(yè)球員格式合同存在以下幾個方面的問題:職業(yè)球員的自由擇業(yè)權(quán)、休息權(quán)、言論自由權(quán)、人格標識權(quán)等權(quán)利不能得到充分保障;部分條款用詞模糊,不夠嚴謹;缺少勞動合同的必備條款;合同的格式化性質(zhì)存在復(fù)雜性;合同內(nèi)容具有雙重性。(4)運動員權(quán)利保護的內(nèi)容應(yīng)更多地納入法律之中。應(yīng)制定職業(yè)球員合同的相關(guān)法規(guī),作為法院審理合同糾紛和行政規(guī)制的依據(jù)。(5)司法規(guī)制在解決職業(yè)球員格式合同的不公正條款問題上存在一定的局限性。今后應(yīng)完善對職業(yè)球員格式合同的司法規(guī)制。(6)中國籃協(xié)有為獲取更多的經(jīng)濟利益而過分使用行政權(quán)利的可能,對職業(yè)球員合同的公平制定產(chǎn)生不利的作用,不能充分保護職業(yè)球員的合法權(quán)益。中國籃協(xié)應(yīng)政企分開,建立公開聽證會方式的職業(yè)球員格式合同審查手段。(7)加強CBA國內(nèi)職業(yè)球員格式合同的社會控制。(8)CBA職業(yè)球員格式合同的規(guī)制應(yīng)以實現(xiàn)雙方當(dāng)事人的力量均衡為出發(fā)點,進行改革和完善:中國籃協(xié)與聯(lián)賽的關(guān)系;球員工會問題;俱樂部聯(lián)盟實體化問題;建立簡潔、高效、專業(yè)的仲裁機制。
[Abstract]:The contract of format clauses made by the Chinese Basketball Association (CBA) is a form of exchange of goods and economic exchanges between professional basketball players and clubs, namely, individual employment contracts for domestic professional players (hereinafter referred to as CBA professional player format contracts). It is the legal basis of the commercialization of sports. The related legal issues include: the legal relationship between professional players and clubs and their status, the role of the Chinese Basketball Association in adjusting the rights and obligations of the contract subjects, and the rules for the format clauses to be included in the CBA professional players' format contracts. And player contract interpretation, effectiveness, regulation and other legal issues. Through the research to promote the standardization and legalization of the professional player format contract, the professional player contract is not only conducive to protecting the legitimate rights and interests of the professional players, but also conducive to safeguarding the interests of the club and ensuring the healthy development of the professional league. In order to improve our basketball competitive level. This research mainly adopts the literature method, the system analysis method, the expert interview method, the comparison analysis method, the standard analysis method, the positive analysis method. The main conclusion is that the CBA professional player format contract is a labor contract, which has the legal characteristics of labor contract. Professional players and professional clubs have both labor legal relationship and general civil legal relationship. (2) the scope of application of labor contract law includes that of professional players and professional clubs. It is not the best way for professional players to settle labor disputes through legal means, but when labor disputes cannot be mediated, The parties may enter the labor arbitration and litigation procedure according to the labor law. The CBA professional player format contract has the following problems: the professional player's right to free choice of employment, the right to rest, and the right to freedom of speech. The rights such as the right of personality identification can not be fully guaranteed; some terms are vague and not rigorous enough; the necessary clauses of labor contract are lacking; the formative nature of the contract is complicated; The content of the contract has duality. 4) the content of the athlete's right protection should be brought into the law more. The relevant regulations of professional players' contract should be formulated, which is the basis for the court to deal with contract disputes and administrative regulations. The judicial regulation has some limitations in solving the unfair clause of professional players' contract. In the future, it is necessary to perfect the judicial regulation of professional players' format contracts. (6) the Chinese Basketball Association has the possibility of overusing administrative rights in order to obtain more economic benefits, which will have an adverse effect on the fair formulation of professional players' contracts. The legitimate rights and interests of professional players cannot be fully protected. The China Basketball Association should separate the government from the enterprises. To establish the professional player format contract review method of public hearing. 7) to strengthen the social control of CBA professional player format contract the regulation of CBA professional player format contract should be based on the realization of the balance of power between the two parties. Reform and perfection: the relationship between the Chinese Basketball Association and the league; the problem of the players' union; the materialization of the club league; and the establishment of a simple, efficient and professional arbitration mechanism.
